Bond Counsel Services Agreement, Port Hadlock Wastewater Facility
STATEMENT OF ISSUE:
The Department of Community Development requests Board approval of the attached Bond Counsel
Services Agreement with Foster Pepper PLLC.
The Port Hadlock Wastewater Facility project is at the stage of developing an interim financing plan for the
remaining project tasks that take us to construction. The Bond Counsel will assist county and consultant
staff with outlining what kind of obligations the County could issue, how the debt would be financed, and
provide technical legal services.

Strategic Goals:
The contract request enables further action toward the County's 2010-2011 Strategic Plan Mission, Vision,
5-10 year Strategies and Goals toward Economic Prosperity and Strong Communities, and several 2010-2011
Priorities:
o Strengthen Our Local Economy,
o Planfor the Future,
o Support our Unique Communities.
The contract also enables further action toward the Department of Community Development's 2011 budget
goal to: Prioritize activities which promote employment opportunities for Jefferson County citizens.
Analysis:
The Jefferson County Prosecuting Attorney shall be the overall client representative for services performed
under the contract.
The Jefferson County Treasurer shall be the County's day-to-day representative for bond counsel services.

The scope of the contract covers traditional bond counsel services, as found in Exhibit 1. These services
include items such as advising on applicable state, federal and federal income tax and securities law and legal
requirements; project finance planning; drafting bond ordinances; and reviewing special assessment district
formation documents.
The law firm will provide additional bond and project-related work if requested by the County.
Term of proposed contract is from the date of execution to December 31, 2012.
FISCAL IMPACT:
Bond counsel services will be compensated in accordance with the general obligation bond schedule and
revenue bond schedule in Exhibit 2 of the proposed contract, using a base rate and additional rate per $1000
par amount. Bond counsel shall also be reimbursed for any actual out-of-pocket expenses. All costs will be
rolled into the final obligation package.
The maximum compensation given for services for any bond issue shall not exceed $35,850 without further
express authorization by the Board of County Commissioners.
The payment of the fee is contingent on the successful delivery of the Bonds and Notes, respectively.
RECOMMENDATION:
The Department of Community Development recommends that the Board execute the Legal Services
Contract and return two signed copies to the Department for further processing.
