ANALYSIS: Proposals for the JeffCom 911 VHF and UHF Simulcast Radio System Improvements were opened at the Boazd of Commissioners meeting on September 7, 2010. The Je$Com Administrative Boazd recommended award of contract to Day Wireless Systems at their September 23 meeting subject to a reduction in price offered by Day Wireless Systems for rental of temporary radios while the system is being staged at their facilities. The adjusted amount of the contract is $ 369,345.11. FISCAL IlVH'ACT: Funds will be provided by the JeffCom Enhancement Fund 121 which was funded by a 2007 bond issue. The total amount of the original contract with sales tax is $369,345.11 Sufficient funds aze available. A LOT CAN HAPPEN IN A DA Y L?aY~ EXHIBIT C -CONTRACT JEFFCOM 9-1-1 JEFFERSON COUNTY, WASHINGTON THIS AGREEMENT, made and entered into this 12th day of October, 2010, between JEFFCOM 9-1-1, a Jefferson County, Washington, local government department ("JEFFCOM 9-1-1 ") under and by virtue of Title 36, RCW, as amended and Ratelco Communication Services, Inc, a dba of Day Wireless Systems of 2415 South 200th Street, SeaTac WA 98198 hereinafter called the Contractor. WITNESSETH: That in consideration of the terms and conditions contained herein and attached and made a part of this agreement, the parties hereto covenant and agree as follows: 1. The Contractor agrees to furnish all labor and equipment and do certain work, to-wit: That the Contractor herein will undertake and complete the following described work: JEFFCOM 911 Simulcast Radio System Improvements, Version 2 -August 2010 for the total sum of three hundred sixty-nine thousand three hundred forty-five dollars and eleven cents dollars ($369,345.11) in accordance with and as described in the attached Request for Proposals, Contract Documents and System Requirements which are by this reference incorporated herein and made a part hereof. The Contractor shall perform any alteration in or addition to the work provided in this contract and every part thereof. The Contractor agrees to perform the complete contract work as specified for final completion, including corrections, finish and cleanup within four (4) months, beginning on the date given in the Notice to Proceed by JEFFCOM 9-1-1. The Contractor shall provide and bear the expense of all equipment, work and labor of any sort whatsoever that may be required for the transfer of materials and for constructing and completing the work provided for in this contract and every part thereof. Payment shall be made by JEFFCOM 9-1-1 upon submittal of a request for payment by the Contractor for work Contractor has performed to date. The request for payment will be subject to review by JEFFCOM 9-1-1 and payment of approved amounts owing to the Contractor will be paid within 45 business days of the date of the request for payment. Upon failure by the Contractor to perform any of its obligations under this Contract, JEFFCOM 9-1-1 is authorized to notify Contractor in writing of the alleged failure to perform and that it will withhold any payment unless substantial compliance with the contract term in question or a remedy for the alleged failure is achieved within ] 0 business days or any longer time frame agreed to in writing by the parties. The right of JEFFCOM 9-1-1 to withhold any payment shall include the cost incurred by JEFFCOM 9-1-1 to complete any punch list items. COORDINATION OF CONTRACT DOCUMENTS The complete contract includes these parts: the Request for Proposals, Contract Documents and Specifications; completed Proposal forms; Exhibit C -Contract; Exhibit D -Contract Bond; Exhibit E -Prevailing Wage Rates; addenda, various certifications and affidavits; supplemental agreements and change orders (if any). These parts complement each other in describing a complete work. Any requirement in one part binds as if stated in all parts. The Contractor shall provide any work or materials clearly implied in the contract even if the contract does not mention it specifically. Any inconsistency in the parts of the contract shall be resolved by following this order of precedence: 1. Contract 2. Addenda 3. Request for Proposals, Contract Documents and System Requirements This order of precedence shall not apply when work is required by one part of the contract but omitted from another part or parts of the contract. The work required in one part must be furnished even if not mentioned in other parts of the contract. If any part of the contract requires work that does not include a description for how the work is to be performed, the work shall be performed in accordance with standard trade practice(s). For purposes of the contract, a standard trade practice is one having such regularity of observance in the trade as to justify an expectation that it will be observed by the Contractor in doing the work. In case of any ambiguity or dispute over interpreting the contract, JeffCom 9-1-1 or its designated representative's decision will be final. 2. JEFFCOM 9-1-1 hereby promises and agrees with the Contractor to employ, and does employ, the Contractor to furnish the goods and equipment described and to furnish the same according to the attached specifications and the terms and conditions herein contained, and hereby contracts to pay for the same according to the attached specifications and the schedule of unit or itemized prices hereto attached, at the time and in the manner and upon the condition provided for in this contract. JEFFCOM 9-1-1 further agrees to employ the Contractor to perform any alterations in or additions to the work provided for in this contract that may be ordered and to pay for the same under the terms of this contract and the attached specifications at the time and in the manner and upon the conditions provided for in this contract. 3. The Contractor for himself, and for his heirs, executor, administrators, successors, and assigns, does hereby agree to the full performance of all the covenants herein contained upon the part of the Contractor. 4. Prior to commencing work, the Contractor shall obtain at its own cost and expense the following insurance from companies licensed in the State with a Best's rating of no less than A:VII. The Contractor shall provide to JEFFCOM 9-1-1 certificates of insurance with original endorsements affecting insurance required by this clause prior to the commencement of work to be performed. The insurance policies required shall provide that thirty (30) days prior to cancellation, suspension, reduction or material change in the policy, notice of same shall be given to JEFFCOM 9-1-1 by registered mail, return receipt requested, for all of the following stated insurance policies. If any of the insurance requirements are not complied with at the renewal date of the insurance policy, payments to the Contractor shall be withheld until all such requirements have been met, or at the option of JEFFCOM 9-1-1, JEFFCOM 9-1-1 may pay the renewal premium and withhold such payments from the moneys due the Contractor. All notices shall name the Contractor and identify the agreement by contract number or some other form of identification necessary to inform JEFFCOM 9-1-1 of the particular contract affected. A. Workers Compensation and Employers Liability Insurance. The Contractor shall procure and maintain for the life of the contract, Workers Compensation Insurance, including Employers Liability Coverage, in accordance with the laws of the State of Washington. B. General Liability(1) - with a minimum limit per occurrence of one million dollars ($1,000,000) and an aggregate of not less than two million dollars ($2,000,000) for bodily injury, death and property damage unless otherwise specified in the contract specifications. This insurance coverage shall contain no limitations on the scope of the protection provided and indicate on the certificate of insurance the following coverage: 1. Broad Form Property Damage with no employee exclusion; JEFFCOM 911 Simulcast Radio System Improvements, VERSION 2 Contract page 2 EXHIBIT C -CONTRACT 2. Personal Injury Liability, including extended bodily injury; 3. Broad Form Contractual/Commercial Liability including completed operations (contractors only); 4. Premises -Operations Liability (M&C); 5. Independent Contractors and Subcontractors; and 6. Blanket Contractual Liability. (1)Note: JEFFCOM 9-1-1 shall be named as an additional insured party under this policy. C. Automobile (2) - with a minimum limit per occurrence of $1,000,000 for bodily injury, death and property damage unless otherwise specified in the contract specifications. This insurance shall indicate on the certificate of insurance the following coverage: 1. Owned automobiles; 2. Hired automobiles; and, 3. Non-owned automobiles. (2) Note: JEFFCOM 9-1-1 shall be named as an additional insured party under this policy. D. Builders Risk insurance covering interests of JEFFCOM 9-1-1, the Contractor, Subcontractors, and Sub- subcontractors in the work. Builders Risk insurance shall be on an all-risk policy form and shall insure against the perils of fire and extended coverage and physical loss or damage including flood and earthquake, theft, vandalism, malicious mischief, collapse, temporary buildings and debris removal. This Builders Risk insurance covering the work will have a deductible of not more than $5,000 for each occurrence, which will be the responsibility of the Contractor. Higher deductibles for flood and earthquake perils may be accepted by JEFFCOM 9-1-1 upon written request by the Contractor and written acceptance by JEFFCOM 911. Any increased deductibles accepted by JEFFCOM 9-1-1 will remain the responsibility of the Contractor. The Builders Risk insurance shall be maintained until final acceptance of the work by JEFFCOM 9-1-1. Builders Risk insurance shall be written in the amount of the completed value of the project with no coinsurance provisions. Any deductibles or self-insured retention shall be declared to and approved by JEFFCOM 9-1-1 prior to the approval of the contract by JEFFCOM 9-1-1. At the option of JEFFCOM 9-1-1, the insurer shall reduce or eliminate deductibles or self-insured retention or the Contractor shall procure a bond guaranteeing payment of losses and related investigations, claim administration and defense expenses. The Contractor shall include all subcontractors as insured under its insurance policies or shall furnish separate certificates and endorsements for each subcontractor. All insurance provisions for subcontractors shall be subject to all of the requirements stated herein. Failure of the Contractor to take out and/or maintain any required insurance shall not relieve the Contractor from any liability under the Agreement, nor shall the insurance requirements be construed to conflict with or otherwise limit the obligations concerning indemnification. It is agreed by the parties that insurers shall have no right of recovery or subrogation against JEFFCOM 9-1-1 (including its employees and other agents and agencies), it being the intention of the parties that the insurance policies so affected shall protect both parties and be primary coverage for any and all losses covered by the above described insurance. It is further agreed by the parties that insurance companies issuing the policy or policies shall have no recourse against JEFFCOM 9-1-1 (including its employees and other agents and agencies) for payment of any premiums or for assessments under any form of policy. It is further agreed by the parties that any and all deductibles in the above described insurance policies shall be assumed by and be at the sole risk of the Contractor. It is agreed by the parties that judgments for which JEFFCOM 9-1-1 may be liable, in excess of insured amounts provided herein, or any portion thereof, may be withheld from payment due, or to become due, to the Contractor until such time as the Contractor shall furnish additional security covering such judgment as may be determined to be satisfactory by JEFFCOM 9-1-1. JEFFCOM 911 Simulcast Radio System Improvements, VERSION 2 Contract page 3 EXHIBIT C -CONTRACT JEFFCOM 9-1-1 reserves the right to request additional insurance on an individual basis for extra hazardous contracts and specific service agreements. 5. The Contractor shall comply with all Federal, State, and local laws and ordinances applicable to the work to be done under this Agreement. This Agreement shall be interpreted and construed in accord with the laws of the State of Washington and venue shall be in Jefferson County, WA. The Contractor shall indemnify and hold JEFFCOM 9-1-1, and its officers, employees, and agents harmless from and shall process and defend at its own expense, including all costs, attorney fees and expenses relating thereto, all claims, demands, or suits at law or equity arising in whole or in part, directly or indirectly, from the Contractor's negligence or breach of any of its obligations under this Agreement; provided that nothing herein shall require a Contractor to indemnify JEFFCOM 9-1-1 against and hold harmless JEFFCOM 9-1-1 from claims, demands or suits based solely upon the conduct of JEFFCOM 9-1-1, its officers, employees and agents, and; provided further that if the claims or suits are caused by or result from the concurrent negligence of: (a) the Contractor's agents or employees; and, (b) JEFFCOM 9-1-1, its officers, employees and agents, this indemnity provision with respect to claims or suits based upon such negligence, and/or the costs to JEFFCOM 9-1-1 of defending such claims and suits, etc., shall be valid and enforceable only to the extent of the Contractor's negligence, or the negligence of the Contractor's agents or employees. Claims against JEFFCOM 9-1-1 shall include, but not be limited to assertions that the use and transfer of any software, book, document, report, film, tape, or sound reproduction of material of any kind, delivered hereunder, constitutes an infringement of any copyright, patent, trademark, trade name, or otherwise results in an unfair trade practice or an unlawful restraint of competition. The Contractor specifically assumes potential liability for actions brought against JEFFCOM 9-1-1 by Contractor's employees, including all other persons engaged in the performance of any work or service required of the Contractor under this Agreement and, solely for the purpose of this indemnification and defense, the Contractor specifically waives any immunity under the state industrial insurance law, Title 51 R.C.W. The Contractor recognizes that this waiver was specifically entered into pursuant to provisions of R.C.W. 4.24.115 and was subject of mutual negotiation. 6. The Parties intend that an independent Contractor relationship will be created by this Contract. No agent, employee, servant or otherwise of the Contractor shall be or shall be deemed to be an employee, agent, servant or otherwise of JEFFCOM 9-1-1 for any purpose, and the employees of the Contractor are not entitled to any of the benefits that JEFFCOM 9-1-1 provides for JEFFCOM 9-1-1 employees. The Contractor will be solely and entirely responsible for its acts and for the acts of its agents, employees, servants, subcontractors, or otherwise during the performance of this contract. This Contract is for the employment of the Contractor as an independent contractor. The Contractor holds itself out as an independent contractor doing business as listed above and is solely responsible for paying any and all taxes associated with the work of this Contract including but not necessarily limited to income and social security taxes. In the performance of the services herein contemplated, the Contractor is an independent Contractor with the authority to control and direct the performance and details of the work, JEFFCOM 9-1-1 being interested only in the results obtained; however, the work contemplated herein shall meet the approval of JEFFCOM 9-1-1 pursuant to the provisions of the Contract under which the services and work were let to the Contractor. 7. The Contractor shall not sublet or assign any of the services covered by this contract without the express written consent of JEFFCOM 9-1-1 or its authorized representative. Assignment does not include printing or other customary reimbursable expenses that may be provided in an agreement. 8. Nothing in the foregoing clause shall prevent JEFFCOM 9-1-1, at its option, from additionally requesting that the Contractor deliver to JEFFCOM 9-1-1 an executed bond as security for the faithful performance of this contract and for payment of all obligations of the Contractor. No modification or amendment to this Contract shall be valid until the same is reduced to writing, in the form of an amendment/change order, executed with the same formalities as this present Contract. 10. The Contractor shall not be considered in default by reason of any failure in performance if such failure arises out of causes reasonably beyond the Contractor's control and without its fault or negligence. Such causes may include, but are not limited to: acts of God; natural or public health emergencies; labor disputes; freight embargoes; and severe weather conditions. Upon the Contractor's request, JEFFCOM 9-1-1 shall consider the facts and extent of any failure to perform the work and, if the Contractor's failure to perform was without it or its subcontractors fault or negligence, the Contract schedule and/or any other affected provision of this Contract shall be revised accordingly; subject to JEFFCOM 9-1-1's rights to change, terminate, or stop any or all of the work at any time. 11. This Contract may be terminated in whole or in part under the following conditions: 1) by mutual written amendment; 2) by JEFFCOM 9-1-1 for breach by the Contractor of any of the obligations and the failure of the Contractor to timely (defined as 'within not more than ten (10) business days') remedy the breach or satisfy the obligation that was allegedly not met; 3) for the convenience of JEFFCOM 9-1-1; or 4) by JEFFCOM 9-1-1 for non-appropriation of funds. Unless the Contractor is in breach of this Contract, the Contractor shall be paid for services rendered to JEFFCOM 9-1-1's satisfaction through the date of termination. After receipt of a Termination Notice and except as otherwise directed by JEFFCOM 9-1-1 the Contractor shall: a. Stop work on the date and to the extent specified; and b. Terminate and settle all orders and subcontracts relating to the performance of the terminated work; and c. Transfer all work in process, completed work, and other material related to the terminated work to JEFFCOM 9-1-1; and d. Continue and complete all parts of the work that have not been terminated. 12. No officer, employee, agent or otherwise of JEFFCOM 9-1-1, has the power, right or authority to waive any of the conditions or provisions of this Contract. No waiver of any breach of this Contract shall be held to be a waiver of any other or subsequent breach. All remedies afforded in this Contract or a law shall be taken and construed as cumulative, that is, in addition to every other remedy provided herein or by law. Failure of JEFFCOM 9-1-1 to enforce at any time any of the provisions of this Contract or to require at any time performance by the Contractor of any provision hereof, shall in no way be construed to be a waiver of such provisions, nor in any way affect the validity of this Contract or any part hereof, or the right of JEFFCOM 9-1-1 to hereafter enforce each and every such provision. 13. In the event any term or condition of this Contract or application thereof to any person or circumstance is held invalid, such invalidity shall not affect other terms, conditions, or applications of this Contract which can be given effect without the invalid term, condition, or application. To this end the terms and conditions of this Contract are declared severable. 14. Time is of the essence in the performance of the contract. Because JEFFCOM 9-1-1 finds it impractical to calculate the actual costs of delays, the parties agree that liquidated damages running to JEFFCOM 9-1-1 shall accrue in the amount of zero point twenty five percent (0.25%) of the total contract amount for each day beyond the agreed-upon completion date that the satisfactory (to JEFFCOM 9-1-1) completion of the JEFFCOM 9-1-1 Radio System Improvements are delayed. Liquidated damages will not be assessed for any days for which an extension of time is granted. No deduction or payments of liquidated damages will in any degree, release the Contractor from further obligation and liabilities to complete the entire work. 15. The Contractor hereby represents and warrants that it has and will continue to maintain all licenses and approvals required to conduct its business, and that it will at times conduct its business activities in a reputable manner. The Contractor will declare one of the following management options for the statutory retained percentage. CONTRACTOR'S DECLARATION OF OPTION FOR MANAGEMENT OF STATUTORY RETAINED PERCENTAGE A. 1 hereby elect to have the retained percentage of this contract held in a fund by the Owner until (30) days following final acceptance of the work. BLANKET WAVER OF SUBROGATION Section N -Transfer of Rights of Recovery Against Otfiers to Us Condition is amended to add the following: We will waive any right of recovery we may have against any pennon or organization because of payments we make for injury or damage arising out of your ongoing operations done under a written contract or agreement with that person or organization and included in "your work" or the "products-completed operations hazard". The insurance afforded herein does not apply to any entity which is also an insured under another policy or would be an insured under such policy but for its termination or the exhaustion of its limits of insurance. 7. BROADENED PROPERTY DAMAGE -BORROWED EQUIPMENT, CUSTOMERS' GOODS AND USE OF ELEVATORS The insurance for "property damage" liability is subject to the following: a. Section II -Who !s An Insured is amended to include as an insured for any watercraft that is covered by this policy, any person who, with your expressed or implied consent, either uses or is responsible for the use of a watercraft. However, no pennon or organization is an insured with respect to: 1. "Bodily injury" to a co= employee" of the person operating the watercraft; or Z. "Property damage" to property owned by, rented to, in the charge of or occupied by you or the employer of any person who is an insured under this provision. b. In the exception to the Aircraft, Auto Or Watercraft exclusion under Coverage A Bodily Injury And Property Damage Liability, the limitation on the length of a watercraft is increased to 51 feet. c. AUTO THEFT REWARp We will pay up to a $2,OD0 reward in the event of a covered loss, for information leading to the arrest and con- viction of anyone stealing a covered "auto". A reward will not be paid to you, a family member, employee or any public official while performing their duty. 4. Day Wireless proposes to provide the necessary simulcast equipment that will interface with your existing MTR2000 repeaters. Our project plan has been modified to best comply with the technical and budget requirements of the system. The requested bid bond is provided. We are able to comply with your insurance requirements. We attended your mandatory pre-bid meeting and have good awareness of your facilities. We acknowledge the project is prevailing wage. This project has a high level of complexity in that it requires the use of your existing MTR2000 VHF and LTHF repeaters and that some of the final sites are not yet ready for the system. We have extensive experience with multi-site simulcast systems and know how important it is for the system to be carefully configured prior to installation. Our concept is to provide temporary repeaters while the current equipment is removed for configuration, staging and reinstallation. Customer Obiectives It is understood that JEFFCOM 9-1-lhas several specific objectives in mind with this project. • Complete the ongoing upgrade to public safety communications • Use existing equipment • Work with an experienced turnkey provider VHF and UHF Simulcast/Voted Radio System Description Day Wireless has reviewed RFP sections 1.1 through 1.3 and proposes a mix of equipment that will meet the project goals. We are completely familiar with the elements of the proposed design and expect to comply. Final design is needed to confirm. Temporary Repeater System Our concept for a successful project continues to be a plan of temporarily removing current repeaters for complete configuration, optimization and staging in our SeaTac office and then redeploying at the field sites. We do not believe a simulcast system can be overlaid on field units in a cost effective manner due to the exacting configuration and timing elements of a sophisticated system such as simulcasting. Overlaying on existing repeaters will require far more field technical time to properly tune and adjust the system. Key to the overall plan is use of temporary repeaters while the existing MTR2000 are integrated with the simulcast system. Day Wireless proposes the use of the Motorola XPR8300 VHF Repeater (6 units) and XPR8300 UHF Repeater (6 units). These continuous duty repeaters are the newest in Motorola's professional series product and have a solid track record of performance. It is important to note that the XPR8300 will operate with lower ERP than the MTR Series resulting in approximately 3 db less output which will shrink the coverage footprint slightly, an estimated 5% or less. This should have minimal effect on system users A LOT CAN HAPPENINA DAY DaY during the short time the XPR is in operation. Day Wireless proposes to supply a temporary repeater system for the duration of the project. 1.1 Understand. 1.2.1.1 Comply. 1.2.1.2 We are an authorized partner of Alcatel Lucent and have specific experience with design, installation and maintenance of the MDR Series of microwave radio. 1.2.2 Understand. Timing of the simulcast deployment will depend on the civil sites being completed for system deployment. 1.2.3 Understand. Should any additional upgrade yet be needed that would be a change order to this proposal. JEFFCOM 9-1-1 is providing all needed repeaters for the five TX-RX sites and 6~h RX site. To ensure a properly implemented simulcast requires staging of a complete system. We propose to provide temporary repeaters to the Agency. The current radios must be removed, staged and reinstalled. We have the technical expertise to handle the work. The temporary equipment cost is nominal compared to new equipment purchase. As an authorized partner of Motorola we have full access to all needed materials and technical support. We will ensure the MTR2000 units completely match and are suitable for simulcast operation. 1.3.1 Understand. We have the design expertise and experience to correctly configure the system. Maps are not available until completion during the design phase when all necessary details are available. Civil sites will need to be completed in order to finalize design. JEFFCOM 9-1-1 is to provide the necessary receivers. 1.3.2 Understand. We have specific experience with the described plan. 1.3.3 Understand. The complexity of simulcast requires system staging. 1.3.4 Understand. 1.3.5 Understand. We are familiar with the JPS system and have experience with the product line. A LOT CAN HAPPEN ING DAY DAYS Services 1.4.1.1 Comply. Our proposal includes final design preparation, schedule and review for approval. Completion of civil work will be required prior to installation of the simulcast system. The temporary repeaters will allow for completion of the civil work while the system is being staged. Day Wireless is budgeting for one deployment of the system after civil work is completed. 1.4.1.2 Comply. Staging will take place in our SeaTac service tenter which has ample room and support. This process will require the use of temporary repeaters installed with the current system while Agency equipment is removed for staging. Field installation will take place after staging. We are an authorized Zetron partner and are familiar with the requirements. 1.4.1.3 Comply. An acceptance test plan will be developed based on the final design and schedule. An example ATP for a recently completed sophisticated, multi-site paging system is enclosed. Final implementation plan and schedule will be prepared after project kickoff as part of scope of work. 1.5.1.1 Understand. Reliability of the simulcast system is dependent on the other elements of the overall system which are beyond the scope and control of this portion. 1.5.1.2 Understand. Day Wireless Systems Warranty Policy Following is the warranty policy for Day Wireless Systems. No other warranty policy applies unless stated in writing and agreed to by Day Wireless Systems and the End User. Warranty is for product and for services provided. Scope Day Wireless Systems may provide material and service of its own, or may act as the provider of a supplied system to the End User. A system is defined as infrastructure product from Original Equipment Manufacturers (OEM) and services from Day Wireless Systems that are configured and installed to make a functioning system for the End User. Equipment Warranty Warranty for the OEM product is the responsibility of the specific OEM for each product in the system. OEM warranty begins on receipt of the equipment and invoice from the OEM, whether to the End User or to Day Wireless Systems on behalf of the End User. Warranty from an OEM is customarily one year, but may be more or less. The product must be returned to the OEM for repair or replacement per their specific warranty and the cost of freight to the OEM is borne by the End User. The OEM will normally pay for the cost of freight to return the product to the End User. Cost of field service to assist the End User with in-warranty support of OEM product shall be borne by the End User. Such services may include: troubleshoot, repair if possible, remove and return product to the OEM, re-install, configure and optimize, update documentation and return the system to normal usage. Field services for OEM support are billed to End User on time and material at published service rates. Day Wireless Systems will notify the End User if the specific OEM provides reimbursement for in-warranty field services. Services Warranty Warranty for services and craftsmanship supplied by Day Wireless Systems is 12 months. Craftsmanship consists of the labor tasks such as defects in design, programming and installation performed to implement the system. This warranty begins on the date of a Certificate of Acceptance signed by the End User. Should the system be put into beneficial use by the End User prior to completion of a Certificate of Acceptance, the warranty for services and craftsmanship will begin on the date of beneficial usage. Warranty for installation and repair service of mobile, portable and other basic subscriber equipment is 90 days from completion. A LOT CAN HAPPEN IN A DA Y ~~~ ~.•n~rr r sn. r Day Wireless Systems can provide field support on a time and material basis at published service rates Monday -Friday, 8 am to 5 pm. Service is available after hours on an overtime rate of 1.5 times normal rate. Services can also be supplied on a Maintenance Agreement with negotiated rates and priority handling. Limitations Total liability for Day Wireless Systems arising out of or related to this warranty is limited to the price of the supplied system. It is at the option of Day Wireless Systems to repair, replace or refund purchase price of the OEM product or supplied services. OEM warranty and craftsmanship warranty may be void if the system is altered, neglected or misused by End User or any third party. Day Wireless Systems is not responsible for any ancillary product or service applied to the system not supplied by Day Wireless Systems. Day Wireless Systems is not responsible for defects due to weather, accident, or natural phenomena. Day Wireless Systems has no authority to make warranty policy in behalf of the OEM and bears no liability for performance and specifications stated by the OEM. 1.8.2 Understand. An extended warranty will be offered but cannot be defined until final system design and equipment components are identified. 1.8.3 Understand. The proposed simulcast solution is largely hardware based with little software component. Upon final design an extended warranty for relevant software will be offered if appropriate. 1.8.4 Understand. A maintenance agreement will be offered at conclusion of the design process when final equipment is identified. 1.8.5 Understand. We are able to offer maintenance programs for up to five years and can provide that upon completion of final design. Motorola equipment is supported for 7 years after notice of discontinuance. 1.8.6 Comply. Based upon our recommended equipment list a spare parts list is provided. These spares will be property of JEFFCOM 9-1-1 and will be separate from future proposed maintenance programs. Compliance and Standards 2.0 Understand. We operate within the referenced standards on all our work. We also have on internal staff a certified R56 auditor. Should final design identify any issues with meeting standards those exceptions will be noted and reported for resolution. A LOT CAN HAPPEN IN A DA Y DAY 3. Project Management Approach 1.7.1 Comply. Day Wireless uses MS Project as our management tool. Our internal operating system, MSS21, includes a project module for internal team and cost management. Final schedule is to be determined by the mutual project managers. 1.7.1.2 Understand. The proposed project schedule demonstrates our awareness of the steps needed to implement a system as proposed. More detailed schedule will be supplied upon award. Payment schedule will coincide with the major milestones shown in the schedule and upon mutual agreement after award. 1.7.1.3 Agreed. Construction and as-built documents will be provided during the project and at completion. Customer Responsibilities A LOT CAN HAPPEN IN A DAY DAYS 10 To enable Day Wireless Systems to perform the tasks listed above, JEFFCOM 9-1-lmust provide the following: • Single point of contact for project management • Provide the MTR2000 radios required • Completion of microwave backhaul suitable for simulcast operation • Completion of sites with RF and antenna systems ready for simulcast installation • Timely and scheduled access to facilities • Power and grounding suitable for simulcast operation • Update FCC licenses for simulcast operation at required sites • Update subscriber radios for simulcast operation Schedule The target delivery of the system will be within 120 days of receipt of order. Final schedule is to be determined by the respective project managers. Day Wireless has the technical and financial resources to complete the project in a prompt manner. Completion is subject to issues not in our control, including but not limited to delivery of equipment, access to facilities, FCC licensing, completion of proposed sites, availability of microwave backhaul and weather. FCC Licensing After review of Agency licenses, it appears several will need modification to fit the proposed simulcast usage. Change Order Process The Scope of Work may be changed at any time by following this change order process. This procedure will be used by [Customer] and Day Wireless Systems to control change. A Project Change Order will be the vehicle for communicating changes. The Change Order must describe the change; the rationale for the change and the effect the change will have on the project schedule and budget. 2. If further investigation of the proposed change requires funding to determine the change, the Project Managers will make that determination. If the investigation is authorized, the Customer will issue a purchase order for the change investigation. Day Wireless will invoice the Customer for any such charges. The investigation will determine the effect that the implementation of the Change Order will have on price, schedule and other terms and conditions of the Agreement, as amended by the Customer and Day Wireless Systems. 4. Deschutes County Emergency services agencies in Deschutes County communicate via paging and previously used a public carrier. Day Wireless was contracted to design and implement a private paging system. System design began with analysis of County sites and microwave capability to support paging infrastructure and signaling. Numerous coverage maps were produced until a combination of sites and systems were determined that would meet County objectives. The system hardware was then designed to match needed requirements. Acceptance Test Plan Acceptance Test Plan (ATP) A formal Acceptance Test Plan will be completed upon award. A checklist of items to test will be prepared and a representative from the customer and Day Wireless will conduct the test together. Upon completion of the ATP, the system will be considered accepted and a project completion certificate will be signed. A template is enclosed in Appendix of an example system ATP which will be prepared for this project. Unless otherwise negotiated, the proposed ATP will consist of the following. • Test transmitter power and deviation to factory specification. • Test simulcast timing to factory specification. • Test dispatch console operation of simulcast to agreed upon confrguration. • Test mobile and portable radio simulcast functions to agreed upon confrguration. • Test for repeater connectivity with an audio check between each talk group. Coverage Acceptance Test Plan (CATP) A formal coverage test will be completed upon award_ The proposed approach will be to test five specific locations within propagation signal overlap areas and measure signal level to demonstrate proper simulcast operation. A report of performance will be provided with location and signal data. Final test procedure will be determined during system design. System Acceptance The system shall be accepted by the customer upon completion of a successful performance period and sign-off on the Acceptance Certificate. A performance period of 7 calendar days after the installation shall be used to determine acceptable operation. During this period the equipment shall be placed in service and monitored by the designated evaluators of both the customer and Day Wireless Systems. Operating modes of the system can be tested and any documented faults can be corrected promptly. The system equipment shall be accepted by the purchaser after successful operation during the period. Successful operation is defined as the absence of any major failure of equipment of function that would substantially disable the equipment.
