TO: FROM: DATE: RE: ANALYSIS: The contract with Day Wireless Systems for the subject project was executed by the Commissioners on November 1, 2010 with a time of completion offour (4) months from the date of the Notice to Proceed which was November 23. That time limit would end on March 23,2011. Day Wireless can't begin installation of the radio equipment at the City water reservoir site until Buchanan General Contracting Company has completed construction of the site facilities which is currently scheduled to be in mid-May 2011. The Day Wireless Systems contract needs to be extended sufficiently beyond the construction of the site facilities -180' tower and equipment shelter, to allow for installation of microwave radio system under a separate contract and the simulcast radio systems under this contract. Extension of the Day Wireless Systems contract to June 30, 2011 is proposed. The Contract 'Scope of Equipment and Services' includes a requirement that the new VHF and UHF Simulcast Radio System Improvements be implemented in "narrowband (12.5) kHz" as compared to the current standard of25 kHz. The FCC has adopted regulations that require all radio systems to convert to narrowband by the end of20 13 so the contract calls for the new system to be implemented under the new regulations. However, implementation of "narrowband" requires that all other radio components throughout the JeffCom users' domain (base stations, mobile radios, portable radios, pagers, etc.) be also capable of operating in ''narrowband'' but they are not currently capable. Further, JeffCom communicates with other public safety agencies within the region that mayor may not be currently capable of implementing "narrowband" communications. For those reasons, it has been determined that all public safety agencies in the region will convert to and implement "narrowband" operation in June 2012. That requires this new radio system to be implemented under the current standard and be capable of being switched over to "narrowband" in June 2012 in coordination with the other regional public safety agencies. There are no other changes to the contract. This COR No. I was approved by the JeffCom Administrative Board at their meetings on December 2,2010 and March 3, 2011. FISCAL IMPACT: Funds will be provided by the JeffCom Enhllncement Fund 121 which was funded by bond issues in 2007 and 2011. The total amount of the original contract is $369,345.11 not including sales tax and is not changed by this COR No.1. The Contract 'Scope of Equipment and Services' includes a requirement that the new VHF and UHF Simulcast Radio System Improvements "shall be capable of supporting analog narrowband (12.5 kHz) VHF and UHF radio system users on conventional channels on the proposed system." The Request for Proposals document contains numerous l"fe.tences to the requirement for "narrowband" equipment with the expectation that the syste.tn will be imple.tnented in "narrowband." HOWEVER. implementation of "narrowband" further requires that all other mdio components throughout the Je:ffUlm users' domain (base stations, mobile radios, portable radios, pagers, etc.) be also capable of operating in "narrowband" but they are not currently capable. WASHINGTON 'T?! . , 'I TIllS AGREEMENT, made and entered into this 12th day of October, 2010, between JEFFCOM 9-171, a Jefferson County, Washington, local government department ("JEFFCOM 9-1-1 ") under and by virtue of Title 36, RCW, as amended and Ratelco Communication Services, Inc, a dba of Day Wireless Systems of2415 South 200th Street, SeaTac W A 98198 hereinafter called the Contractor. WITNESSETII: That in considemtion of the terms and conditions contained herein and attached and made a part of this agreement, e parties hereto covenant and agree as follows: 1. The Contmctor agrees to furnish all labor and equipment and do certain work, to-wit: That the Contmctor here' will undertake and complete the following described work: JEFFCOM 911 Simulcast Radio System Improvements, Version 2 - August 2010 for the total sum of three hundred sixty-nine thousand three hundred forty-five dollars and eleven cent dollars ($369,345.11) in accordance with and as described in the attached Request for Proposals, Contract .Documen and System Requirements which are by this reference incorpomted herein and made a part hereof. The Contmctor s perform any altemtion in or addition to the work provided ill this contract and every part thereof. The Contractor agrees to perform the complete contract work as specified for final completion, includin corrections, finish and cleanup within four (4) months, beginning on the date given in the Notice to Proceed JEFFCOM 9-1-1. The Contmctor shall provide and bear the expense of all equipment, work and labor of any sort whatsoever tha may be required for the transfer of materials and for constructing and completing the work provided for in this con and every part thereof. The Contractor shall provide any work or materials clearly implied in the contract even if the contract does not mention . specifically. (I)Note: JEFFCOM 9-1-1 shall be named as an additional insured party under this policy. ,.t , " C. Automobile (2) - with a minimum limit per occurrence of $1,000,000 for bodily injury, death an property damage unless otherwise specified in the contract specifications. This insumnce shall indicate on th certificate of insumnce the following coverage: 1. Owned automobiles; 2. Hired automobiles; and, 3. Non-owned automobiles. (2) Note: JEFFCOM 9-1-1 shall be named as an additional insured party under this policy. D. Builders Risk insumnce covering interests of JEFFCOM 9-1-1, the Contractor, Subcontractors, and Su subcontractors in the work. Builders Risk insumnce shall be on an all-risk policy form and shall insure a . the perils of fire and extended coverage and physical loss or damage including flood and earthquake, the vandalism, malicious mischief, collapse, tempormy buildings and debris removal. This Builders Risk insumn covering the work will have a deductible of not more than $5,000 for each occurrence, which will be th responsibility of the Contractor. Higher deductibles for flood and earthquake perils may be accepted JEFFCOM 9-1-1 upon written request by the Contractor and written acceptance by JEFFCOM 911. An increased deductibles accepted by JEFFCOM 9-1-1 will remain the responsibility of the Contractor. The Builde Risk insumnce shall be maintained until finaI acceptance of the work by JEFFCOM 9-1-1. Builders Ris insurance shall be written in the amount of the completed value of the project with no coinsumnce provisions. Any deductibles or self-insured retention shall be declared to and approved by JEFFCOM 9-1-1 prior to th approval of the contract by JEFFCOM 9-1-1. At the option of JEFFCOM 9-1-1, the insurer shall reduce or er . deductibles or self-insured retention or the Contractor shall procure a bond guamnteeing payment of losses and re investigations, claim administration and defense expenses. The Contractor shall include all subcontractors as insured under its insumnce policies or shall furnish sep certificates and endorsements for each subcontractor. All insumnce provisions for subcontractors shall be subject to of the requirements stated herein. Failure of the Contractor to take out and/or maintain any required insumnce shall not relieve the Contractor from any liability under the Agreement, nor shall the insumnce requirements be construed to conflict with or otherwise lim' the obligations concerning indemnification. It is agreed by the parties that insurers shall have no right of recovery or subrogation against JEFFCOM 9-1-1 (including its employees and other agents and agencies), it being the intention of the parties that the insumnce policies so affected shall protect both parties and be primary coverage for any and all losses covered by the above described . insurance. . It is fin1her agreed by the parties that insumnce companies issuing the policy or policies shall have no recourse against JEFFCOM 9-1-1 (including its employees and other agents and agencies) for payment of any premiums or for assessments under any form of policy. It is fin1her agreed by the parties that any and all deductibles in the above . described insui:ance policies shall be assUmed by and be at the sole risk of the Contractor. It is agreed by the parties that judgments for which JEFFCOM 9-1-1 may be liable, in excess of insured ~ounts provided herein, or any portion thereof, may be withheld from payment due, or to become dl!e, to the Contractor until such time as the Contractor shall furnish additional security covering such judgment as may be determined to be satisfactory by JEFFCOM 9-1-1. VERSION 2 ContnIOt 3 . - \~' f>, EXIllBIT C - CONTRACT JEFFCOM 9-1-1 reserves the right to request additional insurance on an individual basis for extra hazardous contracts and specific service agreements. 5. The Contractor shall comply with all Federal, State, and loca11aws and ordinances applicable to the work to be done under this Agreement. This Agreement shall be interpreted and construed in accord with the laws of the State of Washington and venue shall be in Jefferson County, WA. The Contractor shall indellllliJY and hold JEFFCOM 9-1-1, and its officers, employees, and agents harmless from' and shall process and defend at its own expense, including all costs, attorney fees and expenses relating thereto, all claims, demands, or suits at law or equity arising in whole or in part, directly or indirectly, from the Contractor's negligence or breach of any of its obligations under this Agreement; provided that nothing herein shall require a Contractor to indemnify JEFFCOM 9-1-1 against and hold harmless JEFFCOM 9-1-1 from claims, demands or suits based solely upon the conduct of JEFFCOM 9-1-1, its officers, employees and agents, and; provided further that if the claims or suits are caused by or result from the concurrent negligence of: (a) the Contractor's agents or employees; and, (b) JEFFCOM 9-1-1, its officers, employees and agents, this indemnity provision with respect to claims or suits based upon such negligence, andlor the costs to JEFFCOM 9-1-1 of defending such claims and suits, etc., shall be valid and enforceable only to the extent of the Contractor's negligence, or the negligence of the Contractor's agents or employees. Claims against JEFFCOM 9-1-1 shall include, but not be limited to assertions that the use and transfer of any software, book, document, report, film, tape, or sound reproduction of material of any kind, delivered hereunder, . constitutes an infringement of any copyright, patent, trademark, trade name, or otherwise results in an unfair trade p~ceoranuala~re~wmcompe~~ The Contractor specifically assumes potentfu1liability for actions brought against JEFFCOM 9-1-1 by Contractor's employees, including all other persons engaged in the performance of any work or service required of the Contractor under this Agreement and, solely for the purpose of this indemnification and defense, the Contractor specifically waives any immunity under the state industrial insurance law, Title 51 R.C. W. The Contractor recognizes that this waiver was specifically entered into pursuant to provisions ofR.C.W. 4.24.115 and was subject of mutual .negotiation. 6. The Parties intend that an independent Contractor relationship will be created by this Contract. No agent, employee, servant or otherwise of the Contractor shall be or shall be deemed to be an employee, agent, servant or otherwise of JEFFCOM 9-1-1 for any purpose, and the employees of the Contractor are not entitled to any of the benefits that JEFFCOM 9-1-1 provides for JEFFCOM 9-1-1 employees. The Contractor will be solely and entirely responsible for its acts and for the acts of its agents, employees, servants, subcontractors, or otherwise during the performance of this contract. This Contract is for the employment of the Contractor as an independent contractor. The Contractor holds itself out as an independent contractor doing business as listed above and is solely responsible for paying any and all taxes associated with the work of this Contract including but not necessarily limited to income and social security taxes. :rn the performance of the services herein contemplated, the Contractor is an independent Contractor with the authority to control and direct the performance and details of the work, JEFFCOM 9-1-1 being interested only in the results obtained; however, the work contemplated herein shall meet the approval of JEFFCOM 9-1-1 puisuant to the provisions of the . Contract under which the services and work were let to the Contractor. 7. The Contractor shall not sublet or assign any of the services covered by this contract withont the express written consent of JEFFCOM 9-1-1 or its authorized representative. Assignment does not include printing or other custoIIUit)t reimbursable expenses that maybe provided in an agreement. 8. Nothing in the foregoing clause shall prevent JEFFCOM 9-1-1, at its option, from additionally requesting that the Contractor deliver to JEFFCOM 9-1-1 an executed bond as security for the faithful performance of this contract and for payment of all obligationS of the Contractor. . No modification or amendment to this Contract shall be valid until the same is reduced to writing, in the form f an amendment/change order, executed with the same formalities as this present Contract. , 10. . . The Contractor shall not be considered in default by reason of any failure in performance if such failure ari out of causes reasonably beyond the Contractor's control and without its fault or negligence. Such causes may includ , but are not limited to: acts of God; natural or public health emergencies; labor disputes; freight embargoes; and sev weather conditions. This Contract may be terminated in whole or in part under the following conditions: 1) by mutual writte amendment; 2) by JEFFCOM 9-1-1 for breach by the Contractor of any of the obligations and the failure of th Contractor to timely (defined as 'within not more than ten (10) business days') remedy the breach or satisfy the obligatio that was allegedly not met; 3) for the convenience of JEFFCOM 9-1-1; or 4) by JEFFCOM 9- I - I for non-appropriation funds. Unless the Contractor is in breach of this Contract, the Contractor shall be paid for services rendered JEFFCOM 9-1-1's satisfaction through the date of termination. After receipt of a Termination Notice and except as otherwise directed by JEFFCOM 9- I-I the Contractor shall: a. Stop work on the date and to the extent specified; and b. Terminate and settle all orders and subcontracts relating to the performance of the terminated work; and c. Transfer all work in process, completed work, and other material related to the terminated work to JEFFCO 9-1-1; and d. Continue and complete all parts of the work that have not been terminated. 12. No officer, employee, agent or otherwise of JEFFCOM 9-1-1, has the power, right or authority to waive any 0 the conditions or provisions of this Coutract. No waiver of any breach of this Contract shall be held to be a waiver of an other or subsequeut breach. All remedies afforded in this Contract or a law shall be taken and construed as cumulative that is, in addition to evety other remedy provided herein or by law. Failure of JEFFCOM 9-1-1 to enforce at any tim llliy of the provisions of this Contract or to reqnire at any time performance by the Contractor of any provision hereo shall !n no way be construed to be a waiver of such provisions, nor in any way affect the validity of this Contract or an part hereof, or the right of JEFFCOM 9-1- I to hereafter enforce each and every' such provision. 13. In the event any term or condition of this Contract or application thereof to any person or circumstance is hel invalid, such' invalidity shall not affect other terms, conditions, or applications of this Contract which can be giveneffi without the invalid term, condition, or application. Because JEFFCOM 9-1-1 finds it impractical calculate the actuaI costs of delays, the parties agree that Iiqnidated damages running to JEFFCOM 9-1-1 shall accrue . the amount of zero point twenty five percent (0.25%) of the total contract amount for each day beyond the agreed-upo completion date that the satisfactory (to JEFFCOM 9-1-1) completion of the JEFFCOM 9-1-1 Radio S Improvements are delayed. Liqnidated damages will not be assessed for any days for which an extension of time i granted. Final design is needed to confirm~ Temoorary Repeater System Our concept for a successful project continues to be a plan of temporarily removing current repeaters for complete configuration, oprimi7arion and staging in our SeaTac office and then redeploying at the field sites. We do not believe a simulcast system can be overlaid on field units in a cost effective manner due to the exacting configuration and timing elements of a sophisticated system such as simulcasting. Overlaying on existing repeaters will require far more field technical time to properly tune and adjust the system. Key to the overall plan is use of temPOrary repeaters while the existing MTR2000 are integrated with the simulcast system. Day Wireless proposes the use of the Motorola XPR8300 VHF Repeater (6 units) and XPR8300 UHF Repeater (6 units). These continuous duty repeaters are the newest in Motorola's professional series product and have a solid track record ofperformaIlce. It is important to note that the XPR83 00 will operate with lower ERP than the MTR Series resulting in approximately 3 db less output which will shrink the coverage footprint slightly, an estimAted 5% or less. Scope Day Wireless Systems may provide material and service of its own, or may act as the provider of a supplied system to the End User. A system is defined as infrastructure product from Original Equipmeut Manufacturers (OEM) and services from Day Wireless S~ that are configured and installed to make a functioning system for the End User. Equipment Warranty Warranty for the OEM Product is the responsibility of the specific OEM for each product in the system. OEM warranty begins on receipt of the equipmeutand invoice from the OEM. whether to the End User or to Day Wireless S~ on behalf of the End User. Warranty from an OEM is c~omarily one year, but may be more or less. The product must be returned to the OEM for repair or rep1acemeut per their specific warranty and the cost of freight to the OEM is borne by the End User. -The OEM will normally pay for the cost of freight to return the product to the End User. - Cost of field service to assist the End User with in-warranty support of OEM product shall be borne by the End User.
