I. Proiect Desil!llation. The CQnsultant isretaip.ed by the County to perform facilitation and project management services in connection with the project designated Water Resource Inventory Area 17 Planning Unit . 2. Scone of Services. Consultant agrees to perform the services, identified on Exhibit" A" attached hereto, including the provision {)f all labor, materials, equipment and supplies. 3. Time for Performance. This Agreement shall commence on July 1, 2009 and continues through June 30, 201 0 unless terminated as provided herein. The agreement may be extended beyond June 30, 2010 upon mutual written consent of the County and the Consultant 4. Pavrnent. The Consultant shall be paid by the County for completed work and Jor services rendered under this agreement as follows: a. Consultant sha1I, in performing the services contemplated by this agreement, faithfully observe and comply with all federal, state, and local laws, ordinances and regullrtions, applicable to the services to be rendered under this agreement. Indeuunfication. Consultant shall indemnify, defeml and hold harmless the County, its officers, agents and employees, f'row and against any and all claims, losses or liability, or any portion thereof. including attomeysfeesand costs, arising from injury or deatb 10 persons. including injuries, sickness, disease or death to Consultant's own employees. or damage to property occasioned by a negligent act, omission or failure of the Consultant. The Consultant shall obtain and keep in force during the terms of the Agreement, Or as otherwise required. the following insurance with companies or through soUrces approved by the State Insurance Commissioner pursuant to RCW 48.05: . a. In the event of the death ofa member, partnilror officer of the Consultant, or a.ny ofits supervisory personnel assigned to the project, the surviving members of the Consultllnt hereby agree .to complete .the work under.the terms of.this agreement, if requested to do so by the County. This section shall not be a bar to renegotiations of this agreement between surviving members of the Consultant and the County, if the County so chooses. 13. Intel!I'8ted Aareernent. This Agreement together with attachments or addenda, represents the entire and integrated agreement between the County and the Consultllnt and supersedes all prior negotiatiotlS, representations, or agreements written or oral. Facilitate Planning Unit and Steerlng Committee Meetings Following the Plenping Unit's usual calendar, Laura Blackmore of Blackmore Consulting will facilitate up to 21 meetings of the Planning Unit and Steerilig Committee. In consultation with the planning Unit and steering Committee, she will design and set agendas. She also will handle meeting logistics, maintain the mailing lists, work with Brisa Services to ensure meeting surrunarles are timely and accurate, and prepare meeting materials as needed to support the committees' work. She will continue to work with the Planning Unit to refme and progress onthe work plan to complete these products discussed at the March 2009 Planning Unit meeting, while helping the Planning Unit respond to other issues and concerns as they arise. As part of her Vt'oPc to support meetings, Laura will spend up to 8 hours per month working through issues directly related to the doCument updates and writing portions of the Plan and DIP (please see Task 2 for more detail). She expects that this workwiU occur naturally in the course of preparing materials to support the Planning Unit and St~ng Committee meetings. Currently, the budget for this proj~t does not support significant additional consulting support for writing the updated plan and DIP . The Planning Unit and Steering Committee have agreed to ( assist with tasks such as researching options to address priority issues and summarizing studies C01Ilpletedsinee theSrage I Technical Assessment was published in 2000. These efforts. will be a vital part of the updlite process.
