Workshop Discussion of Two Jeff Com Interlocal Agreements
STATEMENT OF ISSUE:
In the afternoon of December 15, the JeffCom Administrative Board will be reviewing two draft
Interloca1 Agreements (ILAs) developed by JeffCom staff and its outside attomey: 1) an ILA to
replace the current ILA that created JeffCom and delegated certain authority to the JeffCom
Administrative Board; and 2) an ILA to service bonded indebtedness for JeffCom. On
December 12, County staffwill discuss JeffCom's two proposed Interloca1 Agreeements.
ANALYSIS:
Copies of the two ILAs are included, as well as the expiring JeffCom ILA, recently extended
month-to-month by written agreement.
County staff is still reviewing the primary ILA. To further JeffCom's maturation as an
organization, staffhas suggested JeffCom consider incorporating as a nonprofit corporation with
articles of incorporation and bylaws consistent with the ILA to exercise essential govermnental
functions consistent with Section 115 of the Internal Revenue Code. JeffCom is taking that
suggestion under consideration. The Commissioners will also want to carefully review the status
of County tax revenues under the ILA.
At a JeffCom ILA committee meeting on December 8, it was agreed that JeffCom staffwill
further revise the Bonded Indebtedness ILA, such that $200,000 or more of Fund 119 JeffCom
Capital funds would be used to pay a portion of the agr-oximately $360,000 of debt service for
the RMSIMRMS, with the balance coming from 1/10 ofl% 911 Sales Tax revenue or Call For
Service Fees. The maintenance agreement for the RMSIMRMS is proposed by JeffCom to be
paid from JeffCom's operating fund, effectively payin.g for that cost from Call For Service Fees.
This arrangement differs from the JeffCom Administrative Board motion adopted on May 4,
2011 to have Jefferson County only pay for 1/3rd of the RMSIMRMS debt service and
maintenance cost. Staff believes the newly proposed arrangement may reduce the County's
obligation, and will attempt to complete a financial analysis prior to our December 12 Workshop.
As JeffCom moves toward becoming an independent entity outside of Jefferson County
govermnent, JeffCom staff intends to initiate two separate agreements between JeffCom and
Jefferson County sometime in the future: one c1ari:fYing the status and ownership of assets; and
another to contract to continue certain services the County provides JeffCom. These will be
subject to future review by the Commissioners at a later date.

INTERLOCAL AGREEMENT REGARDING EMERGENCY
DISPATCHING, COMMUNICATIONS AND OTHKR SERVICES
WHEREAS, Jeffilrson County and Recipient(s) are empowered to provide emergency
commlmi<:ations services to the citizens within their respective jurisdictions and may, therefore,
pursuant to RCW 39.34.080, enter into an Interlocal Agreement with one another and with other
public agencies to l""fUUll such services; and,
WHEREAS, JeffeJ:son Colll11y, a Washington StaW municipal Coqxu..noo hereinafter called
"County", has an emel~ communications di~ center and systems capable of providing
en."'~"Y commllJ'lications services to law enforcement agencies, fire <h.pmtment!l, fire districts
and emergency medieal services provideJ:s within Jeff~n Couu1y; and,
WHEREAS, County and the parties to this agreement believe emergency dispatch and
communications services as wen as other services would be best served by being mAmlged
through a "JetR:om .Mmitrilll'\l3tive Board"; and,
WHEREAS, Jefferson Colll11y (Sherift"s Office), (hereinafter called Recipient) desires to obtain
~1~cy dispatch and emergency wmnnmications services from County; and,
WHEREAS, the parties hereto recognize lbat it is in the best interests of the citizens within their
l""pol(:tive pm...!ictions and in the furtbenmce of the health, safety and welfare of the citizens to
have a unified emergency dispatch and commlmWriions system having the advantage of
economies of scale; and,
WHEREAS, the governing body of each party has resolved, agreed. or ordAin(:d that this

NOW, THEREFORE, in considemtion of the m1tht~ covenants contained herein, it is hereby
agreed as fonows:
I. DEFINITIONS AND FUNCTIONS

V. BUDGET

calendar, and the Board shall give due consideration to all comments submitted by member
agencies.
B. The Board shall adopt a finall'llC01llUlended budget no 1ater than the first meeting in
September fur the following calendar year. Once the budget is approved by the Boanl, it shall
be eons:idered adopted, and forwarded to County as such. No increase. decrease. or change to
the final budget shall occur without the approval of the Board.
C. In conjunction with the development of the """n81 budget. the Board will plepare a
methodology, based on the formula in Appendix A. fur the distribution of JeilCom's
OI-MII1lgcosts to the parties totbis agrer.ment and tootheragenciesJetR::om is providing

J. All Jeflt:om monies, grants. tax receipts and interest earned shall remain in fimds that are
separate :from County's other fimds and be available for future use as determined by the
Board.
VI. :rECHNICAL ADVISQRY COMMl'lTEE:
A A technical advisory committee to 1he Board shall be formed fur Technical issues.
B. The Technical Advisory Committee shall be a SIWllUY1g committee comprised of members
who have a special interest or expertise in 1he technical aspects of commUDications. The
comtnittee shall select a CbairpeIson who shall conduct 1he meeting and assume other
functions as the committee shall dP.tP.nnine. The Chairperson of1he Technical Advisory
Committee shall also advise 1he Board at its regularly S('n...!uled ~ of1he needs of1he

vn. MODIFICATIONS:
This agreement may only be modified should the governing body of each party resolve,
agree. or ordain that his Interlocal Agroem""t may be modified as ""n$le-l to by lOigJriY1g

VOl. EQUIPMENT:
A. JeffCom shall own and mmnbUn all equipment and assets as provided in ExlnDit 1. This
includes all office furniture as well as office. radio, data, telephone and computer equipment,

X. TERM:
A. This Intmiocal Agreement shall be in full force and effect upon execution by the parties

XI. pURATIO~ AND TERMINATION:
A. Except as otherwise specificl1Jly provided herein, any party to this agreement may
withdraw 1i:om this Agteeroent upon at least one (1) yeats written notice to the Board. Said
tennination notice must be received by 1une 30 of the year prior to tennination to be effective
on July 1 of the following year.

pmposes shall be retained by lefttom upOn the withdmwal of any party to this agreement

xm. SEVERABJI -1'0':
If any provision of this Agreement or the application thereof to any person or clw,.I..~lau.ces
is held invalid, such invalidity sba1l not affect other provisious or applications of the
Ag1P.ement, which can be given effect without the invalid provision or appJication, and to this
end the provisions of the AlP....illWI. are declared to be liC\CJ..dJ.e.
XIV. FILING:
As provided by RCW 39.34.040, this "lP.......ent sba1l be filed prior to its entry in fun:e with

XVL INDEMNITY AGREEMENT:
A. Each Recipient agrees to defend. fmlemnify and to hold harmless the County and
JefiCom, and other Recipients, from all claims, loss or dAmage. including costs and
reasonable attomey fees. IeSUlfing from the Recipient's sole negligence and from actions or
rnn;..,,;9T''' that are solely atfn'butable to any employee. official. or agent of the Recipient,
including but not limited to the loss or 9-ge of any nature arising fiom provision of law
enf01llCment. fire, or emm~em,-y medical servialS.
B. In addition to and notwithstanding the furegoing, the County is solely responsible for any
liability or claim ofliability which arises out of the etKe1cise or alleged exercise of authority
by any employees or staffmembers. including the director, of JeffCom, and sball defend,
indemnifY and hold harmless the Rilcipients from all c1aims, loss or d_ge. including costs
and reasonable attomey fees, sustained by any person or p.Lv{lw:Lj' resulting from the acls or
omissions of lefiCom, its employees, officers. agents, or volunteers, in connection with the

The allocable proportion sball be computed as follows:
After fomntlR1ing the budget for JeflCom, all outside revenue fiom taxes, grants, contracts for
service and other sources sball be deducted from the total. The resulting balance sball be
dis1r.ibuted proportionally among Je:fR:om's members as determined by each member's actual
usageofJe:fR:om services as evidenced by the number of Calls for Service (C.F.S.) 8"ueuded by
eaeh member agency. Each year a totaI count sba1l be made to determine the number ofC.F.s.'s
each participating agency generated between July 1st of the year previous to the year in which
the budget is being fOIDluIated and June 30th of the year in which the budget is being formulated
for ea1cvJming the allocable proportion for each member for the following calendar year.

INTERLOCAL AGREEMENT REGARDING EMERGENCY
DISPATCHING, COMMUNICATIONS AND OTHER PUBLIC
SAFETY SERVICES
WHEREAS, the parties to this agreement are empowered to provide emergency
communications and public safety services to the citizens within their respective jurisdictions
and may, therefore, pursuant to RCW 39.34.010 et seq., enter into an Interlocal Agreement with
one another and with other public agencies to perform such services; and,
WHEREAS, the parties to this agreement have been operating an emergency communications
dispatch center and systems capable of providing emergency communications services to law
enforcement agencies, fire departments, fire districts and emergency medical services providers
within Jefferson County; and,
WHEREAS, the parties to this agreement believe emergency dispatch and communicationS
services as well as other services would be best served by being managed solely through a
"JeffCom Administrative Board"; and,
WHEREAS, the parties hereto recognize that it is in the best interests of the citizens within their
respective jurisdictions and in the furtherance of the health, safety and welfare of the citizens to
have a unified emergency dispatch and communications system having the advantage of
economies of scale; and,
WHEREAS, the governing body of each party has resolved, agreed, or ordained that this
Interloca1 Agreement may be entered into;
NOW, THEREFORE, in consideration of the mutual covenants contained herein, it is hereby
agreed as folIows:
L DEFINITIONS
A. JeffCom: The name of the interlocal8dministrative agency created by this agreement.
B. The Parties. The parties to this agreement are Jefferson County, the City of Port Townsend,
and Jefferson County Fire Protection Districts 1,2,3,4 and 5. They may be collectively referred
to herein as "the parties" or individuaI1y, as in "each Party" or "a Party".
C. AlIocable proportion: The amount of money chargeable to each Party as its share of capital
costs and maintenance and operational expenses for the emergency communications system. The
allocable proportion is determined by the formula in Appendix A, which by this reference is
hereby incorporated into and made a part of this agreement.

D. JeffCom Director: The Board shall appoint a Director who shall serve under the general
personnel policy guidelines of the Board. The Board will establish policy for the overall
direction of JeffCom through the advice and leadership of the JeffCom Director.
The JeffCom Director shall be responsible for:
a. The maintenance and operation of the emergency co=unications and telephone
systems.
b. Hiring, firing, discipIinary actions, and other personnel matters concerning
JeffCom's staff.
c. The accomplishment of directives from the Board. The Director shall attend the
meetings of, make regular reports to, and act upon reco=endations received
from the Board.
d. Other duties as assigned and consistent with this agreement.
E. Call for Service: A call for service (C.F.S.) is any event or incident resulting in a dispatched
call, including field unit initiated activity, including traffic stops by law enforcement officers.
F. Enhanced 9-1-1 Revenue: A source of revenue generated by a telephone tax on a telephone
system switched access line or a wireless access line. The parties to this agreement shall dedicate
all of said revenue to the maintenance, operation or improvement of eligible items in the
Enhanced 9-1- I system as specified by Washington State E911 Program Office policies.
G. Other Agencies: Any agency or jurisdiction which is not a party to this agreement.
H. Other Revenue Sources: Special levies or monies received by JeffCom directly as a
consequence of providing, pursuant to and with JeffCom Board approval, services concomitant
to its emergency dispatch and co=unications system. Provided, that "other revenue sources"
shall not include the allocable proportion of any Party or any other entity which has entered into
an Interlocal Agreement with JeffCom substantially similar to this one.
I. Criminal Justice Data Co=unications Svstem - ACCESS: JeffCom is connected to the
Washington State Patrol ACCESS system for criminaI history information. Because the
Advisory Council on Criminal Justice Services and the Washington State Patrol have requested
that all participating co=unications centers, such as Jeff Com, which are terminaI users of the
Washington State Patrol Law Enforcement Data Co=unications Systems have certain
provisions in their regulations and enabling InterIocaI Agreements concerning responsibility for
such co=unication, the following is specifically agreed to:
1. JeffCom, under the guidance of the Sheriff of Jefferson County and the Police Chief of
the City of Port Townsend, shall bear full responsibility for ensuring that the law
enforcement data co=unications network and any Criminal History Records
Information received by means of such network shall be used solely for the purposes of
the due "rlministration of the criminaI laws or for the purposes enumerated in RCW
43.43.760(3) and Chapter 314, Laws of 1977, First Ex. Sess., as now or hereafter
amended. JeffCom shall establish roles and regulations governing access to, security for,

and operation of the data communications network for any Criminal Justice Records
Information received by means of such network.
n. POWER AND AUTHORITY
Pursuant to the authoritv conferred bv RCW chapter 39.34. the Parties hereto agree
hereby to delee:ate. grant and confer certain of their municipal powers as it relates to the
ooerations of a 911 communications facilitv to the administrative agencY created by this
agreement. referred to herein as Jeff Com. Jeff Com shall act only throul!h its
AdminiRtrative Board. which shall set policY for and manage the 8l!encY. and through its
appointed Director. who shall implement the policies established by such Board.
A. JeffCom Administrative Board:
1. There shall be a JeffCom Administrative Board, (hereinafter called the "Board"),
composed of five (5) persons, who shall each serve two year terms, as follows:
a. The Sheriff of Jefferson County or his/her designee. .
b. A City of Port Townsend representative, to be selected by the City.
c. A representative of the Jefferson County Fire Commissioner's Association.
d. A representative of the Jefferson County Fire Chiefs Association.
e. One County Commissioner to represent the citizens and residents of the county,
to be appointed by the other County Commissioners.
2. Aunually, there shall be at least one Board meeting to which the department heads and at
least one elected official from each of JeffCom's Parties are invited.
3. AIl decisions made by the Board shall be made by majority vote, unless the decision
involves one of the following exceptions. For said exceptions, Board decisions shall
require a supermajority, either requiring for approval a four to one vote, or a three to one
vote if a Board member is absent:
a. Decisions involving the budget, acceptance of grants, or finance proposals.
b. Any revision to the method of determining a Party's allocable portion of user fees.
c. Decisions regarding the hiring or termination of JeffCom's Director.
4. Each jurisdiction, agency or group represented by a Board member, as provided above,
shall designate an alternate or designee for its Board member. The names of the Board
member and alternate or designee shall be sent to the Director in writing, and shall be
updated in writing by each Party whenever the designees are changed. Alternate Board
members shall have full power to vote and act as a Board member at all such meetings
that such alternate attends in lieu of the regularly designated Board member. Alternate
Board members must be a member of the same organization or group as the primary
member.

5. A quorum for the Board shall consist of any three (3) members. The Chairperson of the
Board shall vote on all issues unless abstaining.
6. The Board shall meet at least monthly, or so often as necessary, to conduct its business.
Annually, at the last meeting of the calendar year, the Board shall elect one of its
members as Chairperson and a second as Vice Chairperson to serve in the absence of the
Chairperson. The Board shaIl appoint a secretary who shall keep good and sufficient
minutes of its meetings.
7. The Parties do hereby grant, delegate and transfer certain powers and authority to the
Administrative Board of JeffCom to manage its affairs. The Board shall have full and
sole authority to set policy, evaluate and adjudicate all matters pertaining to the following
issues, including but not limited to:
a. The annual JeffCom capital and operations budget, funding, cost share allocation
or distribution, the JeffCom Enhanced 91 I Tax Fund, the JeffCom Enhancement
Fund, and the 'accumulated JeffCom Capital Reserve Fund.
b. The full and sole authority for payment of all JeffCom bills, vouchers and
payroll.
c. Overall governing authority of the emergency dispatch and communications
system and related public safety programs.
d. Implementation of new programs and discontinuance of existing programs.
e. Staffing levels, training standards and personnel issues.
f. Evaluation of technical system replacements or upgrades.
g. Appeals for the resolution of matters affecting JeffCom operations, staffing
requirements, or user agency requirements.
h. Employment and termination of the Director of JeffCom and supervision and
evaluation of the Director
i. Approval of all contracts and agreements to which JeffCom is a party or which
purport to bind JeffCom contractually.
j. Any other matter of major policy level importance
8. The Board may provide public safety support services to other agencies. Said agencies, if
approved, shall enter into a services contract with JeffCom.
m. PAYMENTS
For emergency communications services for each calendar year subsequent to the date of this
agreement, each Party agrees to pay to JeffCom its allocable proportion in equal quarterly
installments. The allocable proportion for each calendar year due from each Party is computed
as described in Appendix A. Other agencies may be billed for JeffCom services at a rate as
determined by the Board.

IV. CALLS FOR SERVICE
A. The Board, through the JeffCom Director, shall maintain complete and accurate records
regarding the number of each party's C.F.S.'s. If figures regarding C. F. S.'s for an entire year are
unavailable for any Party or the entire emergency communications system, then the Board may
extrapolate the available figures in order to determine either the yearly C. F. S.'s attributable to
any Party or the yearly C. F. S.'s of the entire emergency communications system.
B. If data is not available concerning the C. F. S.'s which are or will be attributable to any Party,
the Board shall estimate the C. F. S.'s. The Board, shall, through the JeffCom Director, advise
Other agencies, in writing, of charges for use.
V.BUDGET
A. Annually, the JeffCom Adminimrative Board and Director shall develop a budget which will
meet the anticipated maintenance and operations expenses of the emergency dispatch and
communications system, facilities and accessories for the coming calendar year. The Board shall
instruct the Director to submit copies of the JeffCom preliminary budget to all parties to this
agreement for review and comment in accordance with the JeffCom budget calendar, and the
Board shall give due consideration to all comments submitted by the parties.
B. The Board shall adopt a final budget no later than the first meeting in September for the
following calendar year. Once the budget is approved by the Board, it shall be considered
adopted. No increase, decrease, or change to the final budget shall occur without the approval of
the Board.
C. In conjunction with the development of the annual budget, the Board will prepare a
methodology, based on the formula in Appendix A, for the distribution of JeffCom's operating
costs to the parties to this agreement and to other agencies J effCom is providing service to under
contract. Said costs will be distributed proportionally among JeffCom's users as determined by
each user's actual usage of JeffCom services as evidenced by the number of C.F .S.'s generated by
each member agency. Each year a total count shall be made to determine the number of C.F .S's
each participating agency generated between July 1st of the year previous to the year in which
the budget is being formulated and June 30th of the year in which the budget is being formulated.
D. JeffCom shall maintain a cash reserve equal to ten percent (10%) of its total operations
budget.
E. Should the operational revenue for a calendar year or portion thereof prove insufficient to
cover actual expenses, the Director shall submit the budget shortfall to the Board. Should the
Board increase the budget, the Board shall first draw on any available outside revenue, and if
none is available, JeffCom's cash reserves shall be used to cover the shortfall. Should JeffCom
cash reserves be insufficient to meet the shortfall, all Parties shall be assessed to provide the
necessary cash to meet the shortfall. The currently applicable allocation formula shall be used to

determine the allocable shares for each Party. If JeffCom' s cash reserves are depleted below the
minimum level and/or if the parties' cash reserves are used by JeffCom, said reserves shall be
replenished as part of the next annual JeffCom budget.
F. Should the revenue for a calendar year or portion thereof be greater than actual expenditures
the Board shall determine the disposition thereof on a fair and equitable basis.
G. JeffCom may accept gifts, grants, or loans of money, equipment, or services from any lawful
source. JeffCom shall also cooperate in all ways with local, state, and federal government
agencies and any private funding sources to maximize the use of grants or gifts for equipment
and operations.
H. The JeffCom Director shall provide periodic budgetary status reports to the Board.
I. The money collected from all telecommunications, wireless and cellular phone company taxes
shall be sent directly for deposit each year. The Director shall project a budget of the anticipated
amount of money that will be received. This budget, along with a plan for system and/or capital
upgrades, shall be presented to the Board.
J. All JeffCom monies, grants, tax receipts and interest earned shall remain in funds that are
separate from, and not commingled with, other funds held on account by Jefferson County as
treasurer for JeffCom, and be available for future use as determined by the Board.
VIT. MODIFICATIONS:
This agreement may only be modified should the governing body of each party resolve, agree, or
ordain that this Interlocal Agreement may be modified and by signing an addendum to this
agreement, with the exception of article X, Term..
VIII. EOUlPMENT:
A. JeffCom shall own and maintain all equipment and assets as provided in Exhibit 1. This
includes all office furniture as well as office, radio, data, telephone and computer equipment, etc.
JeffCom shall own all future equipment and assets it acquires for any reason including but not
limited to expansion of operations, and including any remote radio equipment deemed necessary
to serve Parties.
B. Each Party hereto shall be individually responsible for the provision of equipment for
communicating with Jeff Com or between their personnel. Each Party shall retain the
responsibility and authority for its operational departments and for such equipment and services
as required at its place of operations to connect to JeffCom's operations. Interconnecting
equipment mayor may not be included in JeffCom's budget, as the Board shall determine. Each
Party shall be responsible for purchasing, maintaining, and repairing their own base, mobile and

portable communications equipment including pagers and computers unless provided for by
separate agreement with JeffCom.
IX. ADMISSION OF NEW PARTIES:
Public Safety entities that are not Parties under this agreement may be added to this agreement as
Parties upon meeting any terms and conditions as determined by the Board.
X. TERM:
A. This Interlocal Agreement shall be in full force and effect upon execution by the parties to
this agreement.
B. This agreement shall terminate on upon its replacement by another interlocal,.
XI. DURATION AND TERMINATION:
A. Except as otherwise specifically provided herein, any party to this agreement may withdraw
from this Agreement upon at least one (1) year's written notice to the Board. Said termination
notice must be received by June 30 of the year prior to termination to be effective on July 1 of
the following year.
B. All equipment purchased or acquired by JeffCom and used in common for JeffCom purposes
shall be retained by JeffCom upon the withdrawal of any party to this agreement. Provided,
however, if this agreement is terminated and JeffCom is dissolved, then disposition of those
assets or proceeds of those assets (in the event that said assets must be sold because they cannot
be partititioned) shall be accomplished on a prorated basis to be agreed upon by the parties. FCC
licenses held by JeffCom shall be transferred to the former member agencies which held the
license prior to this Agreement.
XII. MERGERlENTIRE AGREEMENT:
This Interlocal Agreement, including Appendix A and Exhibit 1, merges and supersedes all prior
negotiations, representations and oral or written agreements between the parties hereto relating to
subject matter hereof and constitutes the entire Interlocal Agreement between the parties.
XIII. SEVERABILITY:
If any provision of this Agreement or the application thereof to any person or circumstances is
held invalid, such invalidity shall not affect other provisions or applications of the Agreement,
which can be given effect without the invalid provision or application, and to this end the
provisions of the Agreement are declared to be severable.

XIV. FILING:
As provided by RCW 39.34.040, this agreement shall be filed prior to its entry in force with
various entities as required by law. Alternatively, this agreement may be listed by subject on the
web site of one or more of the Parties, or JeflCom's web site, prior to its entry in force, in order
to accomplish proper filing, as allowed by such statute.
XV. EXECUTION OF AGREEMENT/COUNTERPARTS:
Each party to this agreement may bind itself with all other parties to this agreement by signing a
duplicate original (counterpart) of this agreement.. It is understood that such execution shall not
require that one original agreement be signed by all parties to this agreement, but that there will
be several duplicate originals (counterparts) signed by the parties to this agreement The purpose
of this provision is to facilitate the signing of the agreement and to avoid undue delay in the
execution of the agreement. This agreement, however, shall be executed on behalf of each
member by its authorized representative and pursuant to the appropriate motion, resolution or
ordinance of each local govermnent or other entity as the case may be. Each party to this
agreement shall be bound to it as of the date it is signed by that member.
XVI. INDEMNITY AGREEMENT:
A Each Party agrees to defend, indemnify and to hold harmless JeflCom, and other Parties, from
all claims, loss or damage, including costs and reasonable attorney fees, resulting from the
Party's sole negligence and from actions or omissions that are solely attributable to any
employee, official, or agent of such Party, including but not limited to the loss or damage of any
nature arising from provision of law enforcement, fire, or emergency medical services.
B. In addition to and notwithstanding the foregoing, JeflCom is solely responsible for any
liability or claim of liability which arises out of the exercise or alleged exercise of authority by
any employees or staff members, including the director, of JeflCom, and shall defend, indemnify
and hold harmless the Parties from all claims, loss or damage, including costs and reasonable
attorney fees, sustained by any person or property resulting from the acts or omissions of
JeflCom, its employees, officers, agents, or volunteers, in connection with the performance of
this Agreement.
XVlL NO PARTNERSHIP:
It is understood and agreed by the parties that nothing within this Agreement shall be construed
as creating or constituting a partnership between the parties.
XVIII. NO THIRD PARTY BENEFICIARIES:
This Agreement is entered into for the benefit of the parties to this Agreement ouly and shall
confer no benefits, direct or implied, on any third persons or entities.

XIX. EFFECTIVE DATE:
This Interlocal Agreement shall be effective upon the latest date any Party's signature is affixed

3. Revenue to~l'Vice 2~ and 2011 bonded indebtedness for a JeffCom
Radio System~'Thep~es agree that the revenue derived from the 11 10th
of 1% Sales Tax P%~1~i:fht to RCW 82.14.420 collected in Jefferson County
shall be ftrst dedicated to pay the annual debt service for the 2007 and 2011
bonds for the JeffCom Radio Tower System until saId bonds are paid in full
and retired. The intent of the parties hereto is that, if the aforesaId tax
revenue is insufficient to pay such annual debt service, the Call for Service
Fees shall be adjusted to cover any shortfall in funds, in accordance with
the currently applicable formula for apportioning such CFS fees among the
parties andlor agencies served by Jeff Com.

4. Term.. This Interloca1 Agreement shall be effective as of the date of the
signature of the parties attached hereto, and shall remain effective until the
2007 and 2011 bonded indebtedness for the Jeff Com Radio System and the
2011 bonded indebtedness for the Jeff Com RMS and MRMS are all paid in
full and retired.
5. Severability. If any provision of this Agreement or the application thereof
to any person or circumstances is held invalid, such invalidity shall not
affect other provisions or applications of the Agreement, which can be given
effect without the invalid provision or applicatiqn;;' and to this end the
provisions of the Agreement are declared to ~e"sl::yerable.

6. Filing. As provided by RCW 39.34.040, t:l:1is/Agr:~~p:tent shall be fIled prior
