STATEMENT OF ISSUE:
Jefferson County Public Health, as the fund manager of the 1/10 of 1°/D sales tax treatment funds, is
requesting Board approval of the Contract Agreement -Jefferson Mental Health Services; January 1, 2013
December 31, 2013; 580,204
ANALYSIS/STRATEGIC GOALS/PRO'S and CON'S:
This is a one year contract with JCPH and Jefferson Mental Health Services (JMHS) to provide services
negotiated by the BoCC Advisory Committee.
This contract funds JMHS serving 24-40 Jefferson County citizens seeking Mental Health treatment. The
treatment partnership with Safe Harbor to treat people >vith co-occurring disorders is included in these
Mental Health services. Mental Health treatment is a priority identified by the committee who chose to
allocate the majority of these funds to adults evith mental health and substance abuse problems.
Throuyh this contract services will be increased for Jefferson County citizens who have no other source of
payment for services.
FISCAL IMPACT/COST BENEFIT ANALYSIS:
This is sales tax revenue raised by the County in fhe 1/10 of 1% Fund and is allocated by the BOCC with
advise `rom Mental Health Substance Abuse Sales Tax Advisory Committee. The contract states if the sales
tax revenue decreases the vendor will be contacted and the contract may be renegotiated. JMHS
responded to a local Request for Proposal which was reviewed and chosen by the Committee.

Section 3: SCOPE OF AGREEMENT:
Contractor will increase mental health treatment options to Jefferson county residents as outlined
in Exhibit A, herein incorporated by reference. Through the use of these fonds the provider will
increase the number of citizens receicin, dental Health services. 'fhe goal of this funding and
sales tai increase is to improve the quality oClife for Jefferson County citizens by improving
access to treatment and improving partnerships with Sale Harbor Kccovcrv Center. Clients who
need services of one agency will be screened and reierred. if necessary, to the other agency.

Section 4: COMPENSA'T'ION:
The total amount payable under this Contract b) County to Contractor shall not exceed
580,204.00 in completion of this project without express written amendment signed by both
panics to this Agreement. 'The parties acknowledge that funding for this conU'act is contingent
on the continuation ot'sales tax rep°emtc in 20] 3. [1'the sales tax revenue decreases by ten percent
(10°'u1 when applicable sales rtz revenues are compared between the most recently completed
quarter year and the same yuartcr year revenues for 2012, then this contract may be renegotiated.

A. Contractor shall be paid for services as outlined in F.xhihil B -Pee Schedule.
B. CO\TR:ICTOR shall submit monthly invoices to JCPk1. 61 ~ Sheridan St.. Port

completed lu dale.
C. htvoices must be submitted by the 2id ~4onday of the month for the previous month's
expenses. The County will revicty such invoices. and upon approval thereof. payment
will be made ro the Contractor in the amount approved. Failure to submit timely invoices
may result in a denial ol'reimburscment.
D. Contractor shall provide necessary backup documentation for all invoices including
timcshcets and statements.:\ny indirect charges require the submittal of an indirect cost
methodology and rate using O\flB Circular's .A-8' and :\-122.
E. 1'hc County will make final payment of any balance clue the Contractor promptly upon
determining that i) the Contractor has completed its oblieations under this Agreement and
iil the Couury eau and does accept the work performed by the Contractor.
F. Contractor records and accounts pertaining to this agreement are to be kept available for
inspection by representatives of the County and state for a period ol• six ~6) years after
final payments. Copies shall he made avaiiable upon request.

The Contractor shall indemnify, defend and hold harmless the County. its officers, agents and

Liability Insurance Program as may be required by the State of Washington.
F.. It is agreed by dm parties that insurers shall have no right of recovery or subrogation
against the County (including its employees and other agents and agencies] it being
the intcrtion of the patties that the insurance policies listed above shall protect both
parties and be primary coverage for any and all losses coveted by the above-listed
insurance poiicics. It is further agreed by the parties [hat any and all deductibles made
part of the above-listed insurance poiicics shall be assumed bv, paid for and at the risk
of the Contractor.

C'onuactvr, its employees, subcontractors and their employees will maintain the confldcntiality
of all infomtation provided by .ICPH or acquired in performance of this :lgrccmcnt as required
by I I IPA,-~ and other privacy latws. This Contract, ones executed by the parties. is and remains a
Public Record subject to the provision of Gt. 42.56 RCW', the Public Kecords Act.
Section 8: INDEPENDENCE
The Contractor and the County agree that the C'onu•actor is an independent ConU•acior with
respect m the serices provided pursuant to this agreement. Nothing in this agreement shall be
considered to create tho rciationship of employer and employee between the parties hereto. The

Contractor shall not be entitled to arty benefits accorded County employees by virtue of the
services provided under this agreement. "I'he County shall not be responsible for +vilhholding or
otherwise dc;ducting federal income tax or social security or for contributing to the state
industrial insurance program. othcnvise assuming the duties of an employer +vith respect to
employee.
Section 9: ASSIGNMEnTS AVll SUBCO~i'TI2ACTINC
The Contractor shall not sublet or assign am' of the services covered by this agreement without
the express written consent oi'the County.
Section 10: 12EPOR"1'IVG
The Contractor +vill provide a monthly service summary report to the County at the same time as
invoices and must be submitted be the 2°~ ~4onday ol'the month fur the previous month-s work.

Section 11: TER~~iINATIOV
l'he County reserves Qte right to tcnniuatc this contract in +vhole or in part, with 30 days notice.
in the event that expected or actual funding Irom arty funding source is withdrawn. reduced. or
limited in any way after the effective date of this agreement. In the event of termination unticr
this clause, the County shall be liable for only payment fin services rendered prior to the
cltccticc date of termination.
A. This agreement may also be terminated as provided below:

party and may be nxtdilied if tax revenue decreases

Any dispute or disaereement concerning the terms and obligations of this Contract shall initially
be brought to the attention of the Public I Ic:alih Director via a written document. The Public
llealth Director shall make fret determination with reasonable promptness, i.c., a decision within
ten business days shall be deemed to have been made with reasonable promptness. if the
aggrieved party is not happy with that decision. then the Jefferson County Administrator (or as
may hereafter be amended). will decide the appeal of the Director's decision.

This Agreement together with attachments or addenda represents the entire and integrated
ae*eetnent between the Cowtty and the Contractor and supersedes all prior negotiations,

The Jefferson dental 3fealth Services agency as a contracted proviJcr, agrees to:
I. Clinical and care management services for 24-40 nearly clients.
2. All employees or subcontractors of the Contractor undertaking the pertirrmance of
mental hcalth'substance abuse services tinder this agreement are required to be
professionally licensed or certified by the State.
3. Background checks arc required for all employees:. to be redone for every employ c.
every 3 ycars.'fhe names of licensed therapists will be given u> the County.
4. Provide crisis interventions.
~. Run groups as appropriate.
