STATEMENT QF ISSUEy
JefFerson County Public. Health, as the fund manager of the 1,119 of ~°f~ sales tax treatment funds, is
requesting 8aard approval of the Contract Agreement for alcohol and Substance Abuse
treatment with Safe Herber Recovery Center; January 1, 2013 -December 31, 2013; $93,000
ANALYSI5ISTI~ATEGIC Gt}ALSf PR~I]'S and CDN'S:
This is a one year contract between JCPH and Safe Harbor Recovery Center (SHRC} to provide services
previously negotiated by the BOCC Advisory Committee.
This cantract funds SHRC to serve additional JefFerson County citizens seeking alcohol ands substance abuse
treatrrlent. The treatment partnership with Jefferson Mental Health Services, to treat people with co~
occurring disorders, is included in these Substance Abuse services. Substance Abuse treatment is a priority
identified by the committee who chose to allocate the largest percentage of these funds to adults v~+ith
mental health and substance abuse problems.
`Through this contract, services wily be increased for Jefferson County citizens who have no other source of
payment for services.
FISCAL INIPACTICOST BENEFIT ANAL~'SIS:
This is safes tax revenue raised by the County in the 1'10 of 1°/a Fund and is allocated by the BCC with
advise frorrl tf7e Mental Health Substance Abuse Sales Tax Advisory Committee. The cantract states if the
sales tax revenue decreases the vender wii'I be contacted and the contract may be renegotiated. Sate
Harbor Recovery Center responded to a local Request for Proposal which was reviewed and chasm by the
Committee.

Section ~: TE~~1~'IS:
This Agreement shall ct~mmence on January 1, X013 and continue through December 31, 20l 3,
unless terminated as provided herein.
Section 3: SCOPE f?F AGY7EEMENT:
Contractor will increase chemical dependency° treatment. options to Jefferson county residents as
outlined in Exhibit A, herein incarparated by reference. Through tl~e use of these funds the
provider will increase the number of citizens receiving.. Chemical f~ependency Treata~ront. TP~~
goad of this funding and safes tax increase is to improve the duality of life for 3efferson Caunty
citizens by improving access to treatment and improving partnerships ~~•ith Jefferson Mental
lfealth. Clients who need services of`one agency wiil be screened and referred, if necessary, to

Section 4: ~QMPENSATIflN:
The total amount payable shall not exceed ~93,Oflf3.Df} in completion of this pro•9ect without
express written arrrendment signed by both parties to this agreement. The parties acknowledge
that funding for this contract is cantiz~gent on the coniinuation of saps tax revenue in 213. If'tl~e
sales tax revenue decreases by ten percent. (1 ~°/a~ whin applicable sales tax ro~vonues are
campared between the most recently completed quarter year and the carne quarter year revenues
for 212, then this contract rrray be renegotiated. The parties acknow°ledge the funding connected
to this contract is revenue of last resort and therefore Contractor will bill all other sources of
revenue first.
~4. Contractor shall be paid for services as outlined in ~xh~biit I3 - I~ee Schedule.
13. Contractor shall submit monthly invoices to ]CPl-I, 615 Sheridan St,, fort Townsend, 1'V~
9$36, ~,ttn: L finance Department, for payment of work actually completed to date.
C, lnvoices must be submitted by the 2~'~ Monday of the month for the previous rr~onth's
expezases. The County will review such invoices, and upon approval thereof payment
will be made to the Contractor in the amount approved. l~ailurc to submit tirnel}~ in~~oices
may result in a denial of reimbursement.
D. Contractor shad provide necessary backup documentation. for all invoices including,
timesheets and staterrrents. any indirect charges require the submittal of an indirect cost
methodology and rate using C~Ml3 Circular's A-87 and ~-122.
~, ~l`he County will make final payment of any balance due the Contractor promptly upon
determining that i} the Contractor has completed its obligations under this Agreement and
ii) the Count}' can and does accept the work performed b}'the Contractor.
F. Contractor records anti accounts pertaining, to this agreement arc to be kept available tc~r
inspection by representatives of the County and state for a period of six (6} years after
nal payments. Copies shall be made available upon request.
Section 5: 1Nll1~<JN1N11FIC:f1?f()N:

employees; from and against. any and all claims, lawrsuits, demands for money damages, losses or
liability, oa' any portion thereof, including attorne}~"s fees and costs, arising from any injury to
person or persons (including tl~e death or injury of tl~e Contractor or damage to personal property}

Section 6: INSURANCE:
The Contractor shall obtain and keep ire force during the terms of this Agreement, or as othertivise

B. General Liability (l } - with a minimum limit per pccurrence of one million dollars

bodily injury, death. and properly damage unless pther~vise specified in the contract
specifications. Tkris insurance coverage shall e:pntain no Iimtatipns on the scope pf
the prptection provided and indicate on the certificate pf insurance the following
coverage:
I . Broad Form Property Damage with no employee exclusion,
2. Personal In}ury Liability, including extended bodily injury;
3. Broad Form ContractuallCommercial Liability including. completed operations

4. Premises -- Clperations Liability (ItiI&C}

b, Blanket Contractual Liability.
{I) Note: The County shall be Warned as an additional insured party under
this policy..

aggregate. Contractor shall Warne 3efferson County Public I-~ealtlr as additional
insured.
C. The Contractor shall participate. in the Worker's Compensation and 1/rnployer's
liability Insurance Program as may be rewired by the Stag of ~'aslrington,
E. It is agreed by the parties that insrirers shall have no right oi'recovery or subrogaticn~
against the County (including its erxrployees and other agents and agencies} it bc:irrg
the intention of the parties that tl~e insurance policies listed above shall protect Moth
parties and be primary coverage for any and all losses covered by the abr~ve-listed
insrrrarr,ce policies. It is further agreed by the parties that any and all deductibles made
part of the above-listed insurance policies shall be assumed by, paid for and at the risk,
of the Contractor.
Section 7: Cf)NI~~~EN"T°I~ILITY:
Contractor, its employees, subcontractors and their cn~ployees will maintain the confidentiality
of all information pro~;~ided by .ICI'I-I or acquired in performance of'tl~is ~~L~;reement as re~Jriired
by HIPAA and other privacy lar~vs. This Contract, oncr executed by the parties, is and remains a
Public Itecprd sribject to the provision pf Ch. d2.5fi ItC:~~', the Public Records Act.
Section 8; IjNIDL.PI?NllIJNCF
1"he Contractor and tl~e County agree that the Contractor is an irzclependent Contractor ti~;`ith
respect to the services provided pursuant to this agreement. Nothi~ig irr this agreerner~t s}rall be
considered to create the rclatianship of` employer and employee betvkreen the parties hereto. The

+Contractor shall not be entitled to any benefits accorded County employees by virtue of the
services provided under this agreement, The Caunty shall not be responsible far withholding or
otherwise deducting federal income tax or social security or for contributing to the state
industrial insurance program, otherwise assuming the duties ofan employer with respect to
employee,
Section 9: aSSIQIVPvIENTS ANI3 SU~3+CQNTIL~CTCNC
The Cc~ntractar shall not sublet or assign airy ofthe services covered by this agreement witl~o~~t
the express written consent of the Caunty.
Section I ~: R>Ii;PORTIINCY
'r'he Contractor will provide a monthly service summary report to the County at the same time as
invoices and must be submitted. by the 2"~ Ulonday of the month for the previous month's work.
`l"he rrronthly report shall contain the report of services and the total hours worked by which staff,
The monthly report shall be submitted to Jefferson Caunty Public Health, Attn: Finance
Department, 615 Sheridan, Fart Tawnsencl, and V4PA 9868. The County will review such
reports, and upon approval thereof, payment will be made to the C.antractar in the amount
approved. Failure to submit timely reports may result in a denial of reimbursement.
Section I I: TLR11'IINATf)I~i
The County reserves tl~e right to terrrrinate this contract in whole or in pant, with 3C1 days nt~tice,
in the event that expected or actual funding from any+ funding source is withdrawn, reduced, or
limited in any way after the effective date of this agreement. In tl~e event of ter'rTrination under
this clause, the County shall be liable for only payment fc~r services rendered pricer to the
effective date of termination.
A. This agreerxrent may also be terminated as provided below:
I . With 3(3 days notice by the E3oard of Caunty Commissioners for any
mason, or
~, Vv'ith 3Q days notice by the Board of County Corrimissioners for non-
perfarrnance of the specific job duties in Lxlribt A.
;. L'e'ith ~~ days notice by the Contractor by voluntary resignation.
Section 12: 17ISPUTE. ItliaSflLi.)TIt)N
Any dispute or disagreerrrent concerning the terms ~rnd abligatiotxs of this Contract shall initially
be brought to the attention of the Public I-Iealth Director via a written docun~cnt. "fhe I't.tblic
1-iealth Director shall rrralCe her deterrninatian with reascrarable l~rorrtptness, i,e., a decision ~~~iti}in
ten business clays shall be deemed to have been made ~.~ith reasonable protxrptrress. If the
aggrie4'ed party is not happy with that decision, tlrcn the Jefferscan County Administrator (or as
rna~ hereafter be amended), will decide the: appeal oi'the Director's decision.

This professional services agreement may be modified at any tune by written agreement of either

Section 14: INTIEG>f~~T~ll AGREEMEI~IT
This Agreement together with attachments or addenda represents the entire and integrated
agreement between the County and the Contractor and supersedes ail prior negotiations,
representations,. or agreements written or oral between the parties. This agreement may be
amended only 17y written instrument signed by both County and Contractor.
