RE: Modification to South PT Bay Shellfish Protection Grant
STATEMENT OF ISSUE:
This modification extends the period of performance for an existing agreement the Jefferson
County Extension has with the Washington State Department of Health.
ANALYSIS:
This modification extends the period of performance for grant deliverables through October
15, 2013.
FISCAL IMPACT:
None -amendment is for a time extension only
RECOMMENDATION:
We recommend that the Commissioners approve this modification to the agreement

The Contract identified herein, including any previous amendments thereto, is hereby amended as set forth in Item 5 below by mutual
consent of all parties hereto.

The Contract identified herein, including any previous amendments thereto, is hereby unilaterally amended as set forth in Item 5 below
ursuant to that than es and modifications clause as contained therein.
5. DESCRIPTION OF AMENDMENT: To add the Suspension of Performance and Resumption of Performance clause to the contract.
This no-cost amendment also retroactively moves the original start date back to September Ol, 2012, and extends the Period of Performance
to continue conducting an outreach campaign aimed at vessel owners in South Port Townsend Bay to protect shellfish beds.
Sa. Suspension of Performance and Resumntion of Performance Clause: In the event funding from state, federal, or other sources is
withdrawn, reduced, ar limited in arty way after the effective date of this contract and prior do normal completion, DOH may give notice to
Contractor to suspend performance as an alternative to termination as provided in the Termination Section. DOHmay elect to give written
notice to Contractor to suspend performance when DOH determines that there is a reasonable likelihood that the funding insufficiency may
be resolved in a ti meframe that would allow performance to be resumed prior to the end date of this contract. Contractor shall suspend
erjormance upon receipt of written notice to suspend. During the period of suspension of performance each party will inform the other of
any conditions that may reasonably affect the potential for resumption of perform ante.
When DOH determines that the funding insufficiency is resolved, DOH may give Contractor written notice to resume performance. Upon
receipt ofwritten notice [o resume performance, Contractor will give written notice to DOH as to whedher it can resume performance, and, of
so, the date upon which it agrees to resume performance. If Contractor gives notice to DOH dhat id cannot resume performance, the parties
agree that the Condracd will be germinated effective on the date Contractor received written notice da suspend performance. /f the dale
Contractor gives notice it can resume performance is not acceptable to DOH, the parties agree to discuss an alternative acceptable date. Lf
an alternative date is not acceptable fa DOH, the parties agree that the Contract will be terminated retroactive to the date Contractor
received written notice ofsuspension of performance.
Sb. Statement of Work: Exhibit A is revised in accordance with Exhibit A-1, attached hereto and incorporated herein.
Sc. Consideration: This amendment neither increases nor decreases [he Contract Consideration; therefore, the revised maximum
consideration ofthis contract and all amendments shall not exceed $27,000.00.
