Unless otherwise defined herein, all capitalized terms have the meanings ascribed to them in the Agreement. 1. Tenant has the right to install, maintain and operate, only the Communications Facility described in the plans and specifications shown on Attachment 2 and Attachment 2-A to this SLA. 3. The Fee due and payable by Tenant to Landlord is per month. The Fee for the Premises will be increased annually on the anniversary date of the Commencement Date (as defined in paragraph 4 herein) by an amount equal to three percent (3%) of the annual Fee for the previous year. All Fees shall be paid to Landlord at AT&T Mobility, Attn: Collocation A/R, P.O. Box 5086, Carol Stream, IL 60197- 5086. All payments must reference FA No. 10092414. 4. The initial term of this SLA("SLA Initial Term") will be five(5)years from its Commencement Date. The Commencement Date for this SLA is defined as the first day of the month following the earlier of: (i) Tenant's receipt of Landlord's NTP or (ii) ninety (90) days following full execution of this SLA. Tenant will notify Landlord, in writing,with the calendar date setting forth the Commencement Date for this SLA. Subject to the terms of the Ground Lease for the Premises (if any), the term of this SLA will be automatically renewed for four (4) additional consecutive terms of five (5) years each (each a "SLA Renewal Term"), unless Tenant provides Landlord with written notice of intention not to renew not less than six (6) months prior to the expiration of the SLA Initial Term or the SLA Renewal Term. The parties acknowledge that Landlord's rights in the Site derive from a certain Site Lease Agreement between Simmons Cellular of Washington, Inc., d/b/a Cellular One,as predecessor in interest to Landlord, and Peter and Roberta Clark, a married couple, as predecessors in interest to Current Landlord Entity ("Land Owner"),dated July 15, 1994, as amended, hereinafter referred to as the"Ground Lease" and attached hereto as Attachment 3 to this SLA. 6. The consent of the Land Owner for the Communications Facility modification in this SLA, if required,is attached hereto as Attachment 4 to this SLA. 7. Through its own due diligence, Tenant has determined that the Premises are free and clear of all liens and encumbrances of record other than the liens and encumbrances described on Attachment 5 to this SLA. Landlord represents and warrants that,to Landlord's knowledge,there are no liens and encumbrances affecting the Premises other than those identified on Attachment 5. 8. Any notice or demand required to be given in the Agreement will, in addition to the parties identified in Section 25 of the Agreement,be made to the parties identified on Attachment 6. 9. Special Provisions: a. Repapered SLA. Landlord and Tenant acknowledge that this SLA is a Repapered SLA as defined and subject to the terms contained in Section 28 of the Agreement. Effective upon the Commencement Date of this SLA, this SLA supersedes and replaces that previous Site Agreement between Landlord, and Nextel West Corp. dated August 2, 2005, as well as any and all amendments and related agreements thereto that pertain to the subject Site,as described in paragraph 1,above. b. Equipment Overlap. Landlord and Tenant acknowledge that the Communications Facility modification allowed under this SLA results in an Equipment Overlap,and Tenant shall pay an Equipment Overlap Fee in accordance with Section 28 of the Agreement. Improvements; Utilities; Access. (a) Subject to any laws or regulations to the contrary. Tenant shall have the right, at its expense, to erect and maintain on the Premises improvements, personal property and facilities, including without limitation an antenna Lower and base, radio transmitting and receiving antennas, and an electronic equipment, shelter (collectively the "Antenna Facilities"). Landlord's prior consent to the plans and specifications for such. buildings and other improvements shalt be obtained but shall oot be unreasonably withheld or delayed and shall be deemed given as to those hems listed in Exhibit C hereto. Tenant shall 'have the right to replace or upgrade the Antenna Facilities at any time during the term of this Lease. Tenant shall cause all construction to occur lien-free and in compliance with'.all applicable laws and Ordinances. The Antenna Facilities shall remain the exclusive property of Tenant. Landlord shall have the right, at Landlord's sole expense. to relocate the Easement to Tenant. provided such now location shall not materially interfere with Tenant's operations. Any Easement provided hereunder shall have the same term as this Lease. The Easement is auached hereto and incorporated herein with the Premises as Exhibit B. If a separate access Easement must be defined it shall be attached and incorporated herein as Exhibit B. G (f) Tenant shall have 24-hour-a-day, 7-day-a-week access to the Premises at all times during the term of this Lease and any Renewal Term. 9. Termination: Except as otherwise provided herein, this Lease may be terminated, without any penalty or further liability as follows: (a) upon 15 days' written notice by Landlord if Tenant fails to cure a default for payment of amounts due under this Lease within that 15 day period; (b) upon 30 days' written notice by either party if the other party defaults and fails to cure such default within that 30-day period, or such longer period as may be required to diligently complete a cure commenced within that 30-day period; (c) upon sixty (60) days' written notice by Tenant, if it is unable to obtain, maintain, or otherwise forfeits or cancels any license, permit or Governmental Approval necessary to the construction and/or operation of the Antenna Facilities or Tenant's business; (d) upon sixty (60) days' written notice by Tenant if the Premises are or become unacceptable under Tenant's sole discretion regarding Tenant's design or engineering specifications for its Antenna Facilities or the communications system to which the Antenna Facilities belong; (e) immediately upon removal of Tenant's equipment if the Premises or the Antenna Facilities are destroyed or damaged so as in Tenant's reasonable judgment to substantially and adversely affect the effective use of the Antenna Facilities. In such event, all rights and obligations of the parties shall cease as of the date of the removal of Tenant's equipment. (f) at the time title of the Property transfers to a condemning authority. pursuant to a taking of all or a portion of the Property sufficient in Tenant's determination to render the Premises unsuitable for Tenant's use. Landlord and Tenant shall each be entitled to pursue their own separate awards with respect to such taking. Sale of all or part of the Premises to a purchaser with the power of eminent domain in the face of the exercise of the power, shall be treated as a taking by condemnation. If the existing conditions are not as represented on the tower elevation contained in this report, we should be contacted immediately to evaluate the significance of the discrepancy. This is not a condition assessment of the tower or foundation. This report does not replace a full tower inspection. The tower and foundations are assumed to have been properly fabricated, erected, maintained, in good condition, twist free, and plumb. The engineering services rendered by GPD GROUP in connection with this Rigorous Structural Analysis are limited to a computer analysis of the tower structure and theoretical capacity of its main structural members. All tower components have been assumed to only resist dead loads when no other loads are applied. No allowance was made for any damaged, bent, missing, loose, or rusted members (above and below ground). No allowance was made for loose bolts or cracked welds. GPD GROUP does not analyze the fabrication of the structure (including welding). It is not possible to have all the very detailed information needed to perform a thorough analysis of every structural sub-component and connection of an existing tower. GPD GROUP provides a limited scope of service in that we cannot verify the adequacy of every weld, plate connection detail, etc. The purpose of this report is to assess the feasibility of adding appurtenances usually accompanied by transmission lines to the structure. It is the owner's responsibility to determine the amount of ice accumulation in excess of the code specified amount, if any,that should be considered in the structural analysis. The attached sketches are a schematic representation of the analyzed tower. If any material is fabricated from these sketches, the contractor shall be responsible for field verifying the existing conditions, proper fit, and clearance in the field. Any mentions of structural modifications are reasonable estimates and should not be used as a precise construction document. Precise modification drawings are obtainable from GPD GROUP, but are beyond the scope of this report. Miscellaneous items such as antenna mounts, etc., have not been designed or detailed as a part of our work. We recommend that material of adequate size and strength be purchased from a reputable tower manufacturer. GPD GROUP makes no warranties, expressed and/or implied, in connection with this report and disclaims any liability arising from material, fabrication, and erection of this tower.
