STATEMENT OF ISSUE: The septic system at the Jefferson County Jail needs to remain in good working order. The agreement with Streamline Environmental, Inc. will help to assess current conditions of the drainfield and establish guidelines for monitoring usage. ANALYSIS: Performing this work will help to maintain the life of the drainfield system FISCAL IMPACT: The cost is within the current maintenance budget. Approve and authorize the Board of Commissioners to sign the agreement. REVIEWED BY: Phi ip Morley, o y Administrator Date Proposal No. 150302 APPENDIX B PROFESSIONAL SERVICES AGREEMENT This Agreement, by and between the Jefferson County Jail (hereinafter called CLIENT), and Streamline Environmental, Inc. (hereinafter called "Streamline "), is effective as of date signed below. ARTICLE I - SCOPE OF WORK Streamline shall perform professional services as described in Proposal No. 150302. ARTICLE II - COMPENSATION 1. These services shall be billed at an hourly rate of $100/hour for productive time only. Streamline will predict the required effort upon each request for assistance. Predictions will not be exceeded without e-mail authorization from CLIENT. 2. Streamline will invoice CLIENT for all services rendered under this Agreement, at a regular basis not to exceed once per month. Invoiced amounts shall be due upon receipt. A deposit for services maybe requested at Streamlines' discretion. If a deposit is required the CLIENT will be notified before commencement of services. 3. The obligation of CLIENT to compensate Streamline for services performed are not contingent or conditioned upon the receipt of insurance or other third party payments. Should the CLIENT terminate the contract before services are completed the CLIENT is obligated to compensate Streamline for time and material expense up to the date of termination of contract. ARTICLE III - CONFIDENTIAL INFORMATION In the course of performance of services by Streamline for CLIENT, it is possible that certain confidential informatiori.wA be ieLealed'td StrcamliriAY CLIENT or that Streamline will obtain knowledge of such confidential information through other sources. Likewise, it is possible that CLIENT will become acquainted with certain techniques and procedures used by Streamline which Streamline considers confidential. Streamline and CLIENT will maintain the confidentiality'of an y 11 hot release or allow access to, information, documents, or materials which are designated as confidential by Streamline or CLIENT. , ARTICLE IV - INDEMNITY 1. Streamline agrees to hold harmless and indemnify CLIENT from and against any and all claims, demands, actions, or causes of action, including, but not limited to, any and all costs, expenses, legal fees and liabilities incurred in and about the investigation and defense thereof, for personal injuries, including death, or property damage suffered by any person, firm of corporation whatsoever and arising from the gross negligence of Streamline, its agents, servants, or employees under this Agreement. 2. Streamline shall not be liable to CLIENT for any special, indirect or consequential damages whatsoever, whether caused or alleged to be caused by Streamline's negligence, errors, omissions, strict liability, breach of contract, or performance of services under this Agreement. 3. In any event, Streamline's entire liability under this Agreement is limited to the greater of (i) $25,000 or (ii) the total dollar value of this Agreement. ARTICLE V - STANDARD OF PERFORMANCE 1. Streamline shall deliver its services under this Agreement in a thorough, efficient, and professional manner, promptly and with due diligence and care, and in accordance with the standard practices of the engineering profession. NO WARRANTY REPRESENTATION, EITHER EXPRESSED OR IMPLIED, IS INCLUDED OR INTENDED IN STREAMLINE PROPOSALS, CONTRACTS OR REPORTS. 2. If any part of Streamline's work is found to be defective for reasons attributable to Streamline within a period of 12 months after completion of the work, Streamline's entire liability for such defective work shall be to re- perform at its own expense those aspects of the work found defective, provided CLIENT notifies Streamline in writing as soon as the defect is discovered and within the above mentioned 12 months warranty period. Proposal No. 150302 ARTICLE VI - INSURANCE Streamline carries General Liability, Errors and Omissions, Automobile, and Workman's Compensation insurance in the amount of $3,000,000. Streamline Environmental, Incorporated (Streamline) proposes to provide engineering services in support of ongoing system diagnostics and maintenance, at an hourly rate of $100/hour, plus any incurred costs, marked up 10 %. The current work scope with respect to the referenced LOSS involves: • Assessing recent volumetric flows based on pumping data (monthly and daily peaks and averages), • Revising a System Performance Spreadsheet that will allow easy calculations of volumetric flows based on inputted pumping data, • Assessing the condition of the three existing drainfields, and • Assisting with completion of an Annual Monitoring & Maintenance Report, to be submitted to the Washington State Department of Health LOSS Program. The above work scope is likely to not exceed 8.0 hours. Only actual productive time will be charged. Should the effort expand so that this prediction may be exceeded, Streamline will notify you in advance, to obtain written approval. Page 2 Future consulting tasks may arise, and will be addressed, as requested via e-mail. Streamline has already tallied 3.0 hours on a site visit & planning meeting, and for ongoing telephone and e-mail consultations. We would like to include these hours on our first invoice to be completed after additional work is completed. This would increase the predicted charge for the above scope plus past efforts to 11.0 hours. Please feel free to contact me directly if you have any questions.
