STATEMENT OF ISSUE:
Jefferson County Public Health, Water Quality Division, requests Board approval of the Personal Services
Agreement between JCPH and Port Angeles School District for pathways to engagement, education, and
employment re. west end natural resources and internships options; July 1, 2014 - June 30, 2015;
$5,472.00
ANALYSIS STRATEGIC GOALS PRO'S and CON'S:
This purpose of this agreement is to provide educational opportunity to west end students, and to engage
those students, via the North Olympic Peninsula Skills Center, in natural resources mentoring programs with
partner organizations including Washington Sea Grant, Pacific Coast Salmon Coalition, Olympic National
Park, CoastSavers, and/ or the Olympic Coast National Marine Sanctuary throughout the 2014 -2015 school
year. Funding is provided by the WDFW grant # 13 -2200. The Agreement contains language that protects
the county from incurring expenses should funds be reduced, withdrawn, or otherwise limited in any way.
FISCAL IMPACT COST BENEFIT ANALYSIS:
The contract is fully funded by the WDFW.

PERSONAL SERVICES AGREEMENT
Between
Jefferson County
And
Port Angeles School District
For
Pathways to Engagement, Education and Employment:
West End Natural Resources Options and Internships for Students
A Forks High School and /or Forks Alternative High School Natural Resources Options crew will
conduct at least six different science projects at Pacific Coast beaches and watersheds and create
high quality presentations to earn school credit or internships. The North Olympic Peninsula
Skills Center ( NOPSC) will also create documents and templates to support the student
internship program. This project was selected by the North Pacific Coast Marine Resources
Committee.
THIS AGREEMENT is entered into between the County of Jefferson a municipal corporation,
hereinafter referred to as "the County ", and Port Angeles School District, hereinafter referred to
as "the Subcontractor ", in consideration of the mutual benefits, terms, and conditions hereinafter
specified.
1 . IL c Jet D scriptioii. The Subcontractor, through the North Olympic Peninsula Skills Center,
is retained by the County to engage students in natural resources mentoring programs with
partner organizations including Washington Sea Grant, Pacific Coast Salmon Coalition,
Olympic National Park, CoastSavers, and /or the Olympic Coast National Marine Sanctuary
during the 2014 -2015 school year. NOPSC will generate documents and templates to support
student internships. The personal services are funded by a grant ( #13 -2200) to Jefferson
County from the Washington State Department of Wildlife (DFW) through the annual RFP
process of the North Pacific Coast Marine Resources Committee.
2. Scope cal Services Subcontractor agrees to perform the services, identified on Exhibit A,
attached hereto, including the provision of all labor, materials, equipment, and supplies.
3. Tirtic Ilim Pedormatice. This Agreement shall commence on July 1, 2014, and continues
through June 30, 2015, unless terminated as provided herein. The agreement may not be
extended beyond June 30, 2015.
4. 1-1 mmaieiit. The Subcontractor shall be paid by the County for completed work and for services
rendered under this agreement as follows:
i. The Subcontractor will be reimbursed for all work performed under the terms of this
contract. Payment for the work provided by the Subcontractor shall not exceed $5,472 in
the completion of this project without express written amendment signed by both parties
to this Agreement.
ii. Funding for this contract will be provided by a DFW grant. If funding from DFW is
withdrawn, reduced, or limited in any way after the effective date of this agreement, this
contract may be renegotiated or terminated as provided herein.

iii. The Subcontractor may submit invoices, which are consistent with the budget document
incorporated herein, to the County not more than once per month, but not less than
quarterly, during the progress of the work for work completed to date. Such invoices will
be checked by the County, and upon approval thereof, payment will be made to the
Subcontractor in the amount approved.
iv. Final payment of any balance due the Subcontractor of the total contract price earned will
be made promptly upon its ascertainment and verification by the County after the
completion of the work under this agreement and its acceptance by the County.
V. Payment as provided in this section shall be full compensation for work performed,
services rendered and for all materials, supplies, equipment and incidentals necessary to
complete the work.
vi. The Subcontractor's records and accounts pertaining to this agreement are to be kept
available for inspection by representatives of the County and state for a period of six (6)
years after final payments. Copies shall be made available upon request.

materials produced by the Subcontractor in connection with the services rendered under this
agreement shall be the property of the County whether the project for which they are made is
executed or not. The Subcontractor shall be permitted to retain copies, including reproducible
copies, of drawings and specifications for information, reference and use in connection with
Subcontractor's endeavors.
6. Comp liance Wwithm Laws. Subcontractor shall, in performing the services contemplated by this
agreement, faithfully observe and comply with all federal, state, and local laws, ordinances
and regulations, applicable to the services to be rendered under this agreement.
7. Indemnification.
i. The Subcontractor will hold harmless, indemnify and defend the County, its officers,
officials, employees and agents, from and against any and all claims, actions, suits,
liability, loss, expenses, damages and judgments of any nature whatsoever, including
reasonable costs and attorneys' fees in defense thereof, for injury, sickness, disability or
death to persons or damage to property or business, caused by or arising out of the
Subcontractor's acts, errors or omissions in the performance of the Contract. Provided,
however, that the subcontractor's obligation under this provision will not extend to
injury, sickness, disability, death or damage caused by or arising out of the sole
negligence of the County, its officers, officials, employees or agents.
ii. Should a court of competent jurisdiction determine that this agreement is subject to RCW
424,115, then, in the event of liability for damages arising out of bodily injury to persons
or damages to property caused by or resulting from the concurrent negligence of the
parties, its officers, officials, employees, and volunteers, the party's liability hereunder
shall be only to the extent of the party's negligence. It is further specifically and expressly
understood that the indemnification provided herein constitutes the parties waiver of
immunity under Industrial hisurancC Ji e 5 1 RCW, solely for the purposes of this

indemnification. This waiver has been mutually negotiated by the parties. The provisions
of this section shall survive the expiration or termination of this agreement.
Ilas� ra.ncl .m The School District shall, at its own expense, obtain and continuously maintain
the following insurance coverage. All insurers providing such insurance shall be licensed to
do business in the State of Washington and admitted by the Washington State Insurance
Commissioner. Coverage limits shall be the minimum limits identified in the Agreement, or
the coverage limits provided or available under the policies maintained by the School District
without regard to the Agreement, whichever are greater OR the requirements of this
subsection "a)" may be satisfied by the School District upon the School District providing to
the County proof of its current membership in a governmental entity Risk Pool providing
third party liability coverage or joint self - insurance to the School District with liability limits
equal or exceeding those listed here:
i. General Commercial Liability - $1,000,000 Minimum, Each Occurrence
$2,000,000 Minimum, Annual Aggregate
Coverage shall include personal injury, bodily injury, property damage for Premises /
Operations Liability, Products / Completed Operations, Personal / Advertising Injury,
Contractual Liability, Independent Contractor Liability, and Stop Gap / Employer's Liability.
Coverage shall not exclude or contain sub - limits less than the minimum limits required,
unless approved in writing by the County.
ii. Business Automobile Liability - $500,000 Minimum, Each Occurrence
$500,000 Minimum, Annual Aggregate
Coverage shall include liability for any and all owned, non -owned and hired motor vehicles.
Coverage may be satisfied by way of endorsement to the General Commercial Liability.
a.) Primary, Non - contributory Insurance: The School District's insurance policies and
any endorsements shall provide primary insurance coverage and any third party liability
coverage, self - insured retention, deductible or joint self - insurance provided to the County by
its membership in a governmental entity Risk Pool shall be non - contributory and excess to
such insurance policies.
b.) Endorsements and Certificates of Insurance: The School District shall, for each
required insurance policy, provide a Certificate of Insurance, with endorsements attached,
evidencing all required coverages, limits, deductibles, self - insured retentions and
endorsements and which is conditioned upon the County receiving thirty (30) days prior
written notice of reduction in coverages, cancellation, or non - renewal. Each Certificate of
Insurance and all insurance notices shall be provided to the Clerk of the Jefferson County
Board of County Commissioners, P.O. Box 1220, Port Townsend, WA 98368.
c.) No Limitations on Liability: The insurance maintained under this Agreement shall not in
any manner limit or qualify the liabilities or obligations of the School District under this
Agreement. All insurance policy deductibles and self - insured retentions for policies

maintained under this Agreement shall be paid by the School District,
d.) Payment Conditioned on Insurance: Compensation and / or payments due to the School
District under this Agreement are expressly conditioned upon the School District's strict
compliance with all insurance requirements. Payment to the School District may be
suspended in the event of non - compliance. Upon receipt of evidence of School District's
compliance, payments not otherwise subject to withholding or set -off with be released to the
School District.
e.) Workers' Compensation: The School District shall maintain Workers' Compensation
coverage as required under the Washington State Industrial Insurance Act, RCW Title 51, for
all School District's employees, agents, and volunteers eligible for such coverage under the
Industrial Insurance Act.
9. r� lay c �lcrr mmd: r. ptractor, The Subcontractor and the County agree that the Subcontractor is an
independent contractor with respect to the services provided pursuant to this agreement.
Nothing in this agreement shall be considered to create the relationship of employer and
employee between the parties hereto. Neither Subcontractor nor any employee of
Subcontractor shall be entitled to any benefits accorded County employees by virtue of the
services provided under this agreement. The County shall not be responsible for withholding
or otherwise deducting federal income tax or social security or for contributing to the state
industrial insurance program, otherwise assuming the duties of an employer with respect to
Subcontractor, or any employee of Subcontractor.
10. Discrimination Prohibited. The Subcontractor, with regard to the work performed by it under
this agreement, will not discriminate on the grounds of race, color, national origin, religion,
creed, age, sex, or the presence of any physical or sensory handicap in the selection and
retention of employees or procurement of materials or supplies.
11. 'Ter aiimatioii, The County reserves the right to terminate this contract in whole or in part,
without prior written notice, in the event that expected or actual funding from any funding
source is withdrawn, reduced, or limited in any way after the effective date of this agreement.
In the event of termination under this clause, the County shall be liable for only payment for
services rendered prior to the effective date of termination.
This agreement may also be terminated as provided below:
i. With 30 days notice by the Board of County Commissioners for any reason, or
ii. With 30 days notice by the Board of County Commissioners for non - performance of
the specific job duties in Exhibit A.
iii. With 30 days notice by the Subcontractor by voluntary resignation.
12. Inlegr aled Agweniept, This Agreement together with attachments or addenda, represents the
entire and integrated agreement between the County and the Subcontractor and supersedes all
prior negotiations, representations, or agreements written or oral. This agreement may be
amended only by written instrument signed by both County and Subcontractor.

Exhibit A: Scope of Work
Port Angeles School District and the North Olympic Peninsula Skills Center's Natural Resources Options
( NOPSC) West End students and student interns will engage in at least six different science projects at
Pacific Coast beaches and watersheds in partnership with the Pacific Coast Salmon Coalition and other
partner organizations. The students will create high quality presentations about their work. NOPSC
Natural Resources teacher Dan Lieberman will create and distribute documents and templates for the
internship program. The students will be strongly encouraged to participate in annual coast cleanup
events, the River & Ocean Film Festival and other NPC MRC RainFest activities. Student outcomes and
participation will be tracked and documented. This task addresses the Sound Science and Education and
Outreach benchmarks of the Coastal MRC program.
