HIDDEN CONDITIONS: If after the commencement of work,SolTerra Systems finds any conditions that must be corrected in order to satisfactorily complete the installation services but which defect(s)could not reasonably have been detected during our original estimate, SolTerra shall immediately inform the customer of such defect.The Customer acknowledges and agrees that SolTerra reserves the right to ' charge the customer an additional fee, at SolTerra's then current rates for similar work,for correcting such defect(s) DAMAGE/DEFICIENCIES: If the Customer makes or wishes to make a claim in relation to any work performed by SolTerra Systems,the Customer agrees to permit SolTerra to inspect the work complained of and make all necessary corrections and repairs in order to correct any deficiencies in the work performed.The sole obligation of SolTerra in relation to any such claim is to repair or correct any such deficiencies at its own expense.The failure of the Customer to permit SolTerra Systems or its agents to make the necessary correction or repairs fully releases SolTerra Systems or its agents from any and all liability in relation to the complained of work and renders any warranties,whether actual or implied, null and void. TIME OF ESSENCE:Time is of the essence of this Agreement. PARTS AND LABOR WARRANTY: System components covered under this agreement with a Parts and Labor Warranty shall be warranted against failure under normal circumstances. If components are opened,removed, replaced, moved,tampered with,or damaged by anyone other than a representative of SolTerra Systems,any warranty stated herein shall be null and void. If customer wishes to make any changes to components installed by SolTerra Systems,they must receive, in writing, permission to do so stating that customer's requested activity will be approved under this warranty. If a product is covered herein under the Parts and Labor Warranty,it shall be warranted against any performance not outlined in the manufacturer's specifications. In the event of component failure and Customer notification of SolTerra Systems within 30 days, SolTerra Systems shall replace said failed component and furnish necessary labor to replace said failed component. SEVERABILITY The invalidity or unenforceability of any portion or provision of this customer agreement shall in no way affect the validity or enforceability of any other portion or provisions hereof Any invalid or unenforceable portion or provision shall be severed from this customer Agreement and the balance of this Customer Agreement shall be construed and enforced as if the Customer Agreement did not contain such invalid or unenforceable portion or provision. PAYMENT SCHEDULE: At the time the contract is signed, a$1,000 deposit is required. This deposit applies to the total contract amount 50%of the remaining contract amount is due to order materials and begin installation of the project. The remainder of the contract is due when contract is completed and all inspections are passed. If,for reasons out of our control. the project goes longer than projected, SolTerra may bill in accordance with the progress of the project. LATE PAYMENT: All payments are due when invoiced. Any invoices with an outstanding balance after 30 days shall be charged interest at a rate of 1.5% per month. FULL AGREEMENT:This Customer Agreement contains the full understanding of the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous proposals. agreements, statements or representations,written or oral, between the parties with respect to such subject matter.The Customer acknowledges that it is not relying on any representations or statement as to the subject matter of this Customer Agreement or as to the efficacy of the services to be supplied or provided by SolTerra or with respect to any other matter not specifically set forth herein. CONTINGENCIES: This Customer Agreement is contingent upon buyer's satisfaction with available financing options within 10 days of contract signing. Deposits will be returned if contract is canceled within 10 days. This bid is contingent upon SolTerra's technical staff approval within 10 days of contract signing. SolTerra reserves the right to withdraw this bid if not accepted within 30 days of bid date.
