J INTERLOCAL AGREEMENT Between JEFFERSON COUNTY And JEFFERSON HEALTHCARE This Agreement, hereinafter referred to as the "Agreement", is entered into between Jefferson County, a municipal corporation, hereinafter referred to as the "County", and Jefferson Healthcare, hereinafter referred to as the "Hospital', in consideration of the mutual benefits, terms, and conditions hereinafter specified. Section 1. Purpose The County, on behalf of Jefferson County Public Health, through this Agreement, will contract with the Hospital to provide one Community Health Improvement Plan Coordinator. Section 2. Term This Agreement shall commence on September 1, 2015, and will terminate on August 31, 2016, unless both parties agree to extension or early termination. Section 3. The Hospital and Jefferson County Public Health are mutually engaged in program goals and objectives Scope of Work A. The County agrees to employ a qualified Community Health Improvement Plan (CHIP) coordinator with health education and community based coordination experience and education. The role of this person is to manage the process of the four CHIP groups to move to clear community goals and action steps. B. Tasks include attend meetings, support volunteer coordinators and facilitators, liaison to the larger data steering group and JHC and JCPH management. Maintain the coordination between groups, post information on the web and be a contact for community members with questions, comments or ideas. Work with JHC administrative assistants, JHC/JCPH staff to post work progress on the web pages, manage invitation list to ensure rounded community participation. C. The Hospital agrees to provide compensation for up to 10 hours of work per week to be performed by the Community Health Improvement Plan Coordinator Section 4. Compensation The Hospital shall pay the County for completed work and for services rendered under this Agreement as follows: A. Payment for the services provided by the Community Health Improvement Plan Coordinator shall not exceed $25,000 in the completion of this project without express written amendment signed by both parties to this agreement. In the event that expected or actual funding from any funding source is withdrawn, reduced, or limited in any way after the effective date of this agreement, this agreement may be renegotiated or terminated as provided herein. B. Pay County the actual cost of Employee's services to Hospital for Community Health Improvement Plan Coordinator. This reimbursement rate will be based on the Employee's current rate of compensation as a Jefferson County Public Health employee at the time of service provided, plus a proportionate share of benefits, and covered employee expenses incurred by JCPH. The reimbursement rate for Employee for 2015 is currently $47.35 / hour. If the position continues, the reimbursement rate would be readjusted in January of each calendar year, or as needed, to reflect changes in Employee's current rate of compensation as a Jefferson County Public Health employee. JCPH will provide services described herein at 10 hours weekly. Additional hours worked above the agreed upon 10 hours weekly, will be charged at the same hourly rate. C. Jefferson County Public Health will provide match of additional 10 hours per week compensation for services provided by the Community Health Improvement Plan Coordinator, doing community projects. Section 5. Compliance with Laws The Hospital shall faithfully observe and comply with all federal, state, and local laws, ordinances and regulations, applicable to the services to be rendered under this Agreement. Section 6. Indemnification The County shall indemnify, defend and hold harmless the Hospital, its officers, agents and employees, from and against any and all claims, losses or liability, or any portion thereof, including attorneys' fees and costs, arising from injury or death to persons, including injuries, sickness, disease or death to County's own employees, or damage to property occasioned by a negligent act, omission or failure of the County. Section 7. Insurance The County shall obtain and keep in force during the terms of the Agreement, policies of insurance as follows: Worker's Compensation Insurance in an amount or amounts that are not less than the required statutory minimum(s) as established by the State of Washington or the state or province where the Hospital is located. Commercial Automobile Liability Insurance providing bodily injury and property damage liability coverage for all owned and non -owned vehicles assigned to or used in the performance of the work for a combined single limit of not less than $500,000 each occurrence with the County named as an additional insured in connection with the Hospital's performance of the contract. General Commercial Liability Insurance in an amount not less than a single limit of one million dollars ($1,000,000) per occurrence and an aggregate of not less than two (2) times the occurrence amount ($2,000,000.00 minimum) for bodily injury, including death and property damage, unless a greater amount is specified in the contract specifications. The insurance coverage shall contain no limitations on the scope of the protection provided and include the following minimum coverage: Broad Form Property Damage, with no employee exclusion; a. Personal Injury Liability, including extended bodily injury; b. Broad Form Contractual/Commercial Liability — including completed operations; c. Premises — Operations Liability (M&C); Independent Contractors and subcontractors; Blanket Contractual Liability. County membership in Washington Counties Risk Pool. Certificates of coverage as required by this section shall be delivered to the Hospital within fifteen (15) days of execution of this agreement. It is agreed by the parties that insurers shall have no right of recovery or subrogation against the Hospital (including its employees and other agents and agencies), it being the intention of the parties that the insurance policies so affected shall protect both parties and be primary coverage for any and all losses covered by the above described insurance. It is further agreed by the parties that insurance companies issuing the policy or policies shall have no recourse against the Hospital (including its employees and other agents and agencies) for payment of any premiums or for assessments under any form of policy. It is further agreed by the parties that any and all deductibles in the above described insurance policies shall be assumed by and be at the sole risk of the County. Section 8. Independence Nothing in this agreement shall be considered to create the relationship of employer and employee between the parties hereto. The Community Health Improvement Plan Coordinator shall not be entitled to any benefits accorded Hospital employees by virtue of the services provide under this agreement. The Hospital shall not be responsible for withholding or otherwise deducting federal income tax or social security or for contributing to the state industrial insurance program, otherwise assuming the duties of an employer with respect to employee. Section 9. Assignments and SubcontractiniZ JCPH and the Hospital will assign the services provided by the Community Health Improvement Plan Coordinator. Section 10. Termination A. Termination for Convenience Either party may terminate this Agreement for convenience, including as a result of changes in available funding, by providing at least 30 days' advance written notice to the other party. B. Termination for Default In the event of a default by either party under this Agreement, the non - defaulting party may give written notice to the defaulting party that it intends to terminate this Agreement if the default is not cured within 30 days of the date of the notice or such longer period of time as may be reasonable under the circumstances. If the default is not cured within that time, the non - defaulting party may then notify the defaulting party in writing that this Agreement is terminated. In the event of such termination, the non -defaulting party shall have all rights and remedies available to it under general law. C. General Termination Provision Whenever this Agreement is terminated in accordance with this Section, the County shall be entitled to payment for actual work performed, for work completed by the Community Health Improvement Plan Coordinator. Section 12. Modification This Agreement may be modified at any time by written agreement of all parties. Section 13. Inteerated Aereement This Agreement, represents the entire between the County and the Hospital and supersedes all prior negotiations, representations, or agreements written or oral, between the parties. This Agreement may be amended only by written instrument signed by both County and the Hospital. Section 1.4.
