STATEMENT OF ISSUE:
Jefferson County Public Health, Community Health, requests Board approval of the Professional Services
Agreement with Apiary Digital for search engine optimization; March 21, 2018 — June 30, 2018; $5,000
ANALYSIS/ STRATEGIC GOALS/PRO'S and CON'S:
This agreement is for the purpose of providing setup, developing, improving, and auditing technical search
engine optimization for the Jefferson County Public Health Family Planning program. The goal of this work
is to improve organic internet traffic to Family Planning and Family Health Services.
FISCAL IMPACT/COST BENEFIT ANALYSIS:
This contract is funded by a grant from DOH Title X.

CONTRACT AGREEMENT
Between
Jefferson County Public Health
And Apiary Digital
Section 1: PURPOSE
This AGREEMENT for professional services is by and between Jefferson County Public Health,
herein "COUNTY", and Apiary Digital, herein "CONTRACTOR", for the purpose of providing
setup, developing, improving, and auditing technical search engine optimization for the Jefferson
County Public Health Family Planning program.
Section 2: TERMS
This AGREEMENT shall commence on March 21, 2018 and continue through June 30, 2018.
Work performed consistent with this Agreement during its term, but prior to the adoption of this
Agreement, is hereby ratified.
Section 3: SCOPE OF AGREEMENT
CONTRACTOR will function as a Subcontractor to COUNTY and provide services as outlined
herein in Exhibit A.
Section 4: AGREEMENT REPRESENTATIVES
The COUNTY and the CONTRACTOR will each have agreement representatives who will have
the responsibility to administer the agreement for that party. Representatives are as follows:

Section 5: COMPENSATION

CONTRACTOR will be reimbursed for all work performed under the terms of this Agreement.
The total amount payable under this Agreement by COUNTY to CONTRACTOR shall not exceed
$5,000.00 for the completion of the Scope of Work detailed in Exhibit A.
CONTRACTOR will submit invoices, for actual expenses, to Jefferson County Public Health, 615
Sheridan Street, Port Townsend, WA 98368, Attn: Finance.
Invoices must be submitted no more than monthly by the 2nd Monday of the month for the
previous month's expenses. COUNTY will review such invoices, and upon approval, payment will
be made to CONTRACTOR in the amount approved within 30 days.

COUNTY will make final payment of any balance due to CONTRACTOR promptly upon
determining that CONTRACTOR has completed its obligations under this Agreement and
COUNTY can and does accept the work performed by CONTRACTOR.
CONTRACTOR records and accounts pertaining to this Agreement are to be retained and
available for inspection by representatives of COUNTY and state for a period of six (6) years after
final payments.
Section 6: INDEMNIFICATION
The CONTRACTOR shall indemnify, defend, and hold harmless the COUNTY, its officers,
agents, and employees, from and against any and all claims, lawsuits, demands for money
damages, losses, or liability, or any portion thereof, including attorney fees and costs, arising
from any injury to persons or a person (including death or injury of any party to this Agreement
or damage to personal property) if said injury or damage was caused by negligent acts or
omissions of the CONTRACTOR or its employees or representatives. In the event of concurrent
liability, the CONTRACTOR and the COUNTY shall have the right of contribution in
proportion to respective determined liability. Nothing contained herein shall be deemed to waive
immunities established pursuant to state statute or to create third -party rights or immunities.
Section 7: INSURANCE
CONTRACTOR shall obtain and keep in force during the terms of this Agreement, or as
otherwise required:
A. The CONTRACTOR will maintain commercial general liability for bodily injury,
personal injury and property damage, subject to a limit of not less than $1 million per
occurrence. The general aggregate limit will apply separately to the Contract and be
no less than $2 million. The CONTRACTOR will provide commercial general
liability coverage that does not exclude any activity to be performed in fulfillment of
the Contract. Specialized forms specific to the industry of the CONTRACTOR will
be deemed equivalent provided coverage is no more restrictive than would be
provided under a standard commercial general liability policy, including contractual
liability coverage.
B. The CONTRACTOR will maintain automobile liability insurance with a limit of not
less than $250,000 each accident combined bodily injury and property damage. The
aggregate limit will be at least $500,000. Coverage will include owned, hired and
non -owned automobiles.
C. The general liability and automobile liability insurance policies shall name the
COUNTY as an additional named insured and shall include a provision prohibiting
cancellation of said policy except upon thirty (30) days prior written notice to the
County. Certificates of coverage as required by this section shall be delivered to the
COUNTY within fifteen (15) days of execution of the Contract.
D. It is agreed by the parties that insurers shall have no right of recovery or subrogation

against the COUNTY (including its employees and other agents and agencies), it
being the intention of the parties that the insurance policies so affected shall protect
both parties and be primary coverage for any and all losses covered by the above
described insurance. It is further agreed by the parties that insurance companies
issuing the policy or policies shall have no recourse against the COUNTY (including
its employees and other agents and agencies) for payment of any premiums or for
assessments under any form of policy. It is further agreed by the parties that any and
all deductibles in the above described insurance policies shall be assumed by and be
at the sole risk of the CONTRACTOR.
E. If and only if the CONTRACTOR employs any person(s) in the status of employee or
employees separate from or in addition to any equity owners, sole proprietor,
partners, owners or shareholders of the CONTRACTOR, Worker's Compensation
Insurance in an amount or amounts that are not less than the required statutory
minimum(s) as established by the State of Washington or the state or province where
the CONTRACTOR is located.
F. Any coverage for third party liability claims provided to the COUNTY by a "Risk
Pool" created pursuant to Ch. 48.62 RCW shall be non-contributory with respect to
any policy of insurance the CONTRACTOR must provide to comply with the
Contract.
G. The COUNTY may, upon the CONTRACTOR'S failure to comply with all
provisions of the Contract relating to insurance, withhold payment or compensation
that would otherwise be due to the CONTRACTOR.
H. If the proof of insurance or certificate indicating the COUNTY is an "additional
insured" to a policy obtained by the CONTRACTOR refers to an endorsement (by
number or name) but does not provide the full text of that endorsement, then it shall
be the obligation of the CONTRACTOR to obtain the full text of that endorsement
and forward that full text to the COUNTY.
Section 8: CONFIDENTIALITY
All parties to this Agreement and their employees or representatives and their subcontractors and
their employees will maintain the confidentiality of all information provided by the
CONTRACTOR and the COUNTY or acquired in performance of this Agreement as required by
HIPPA and other privacy laws. This Agreement, once executed by the parties, is and remains a
Public Record and is therefore subject to the provision of Ch. 42.56 RCW, the Public Records
Act.
Section 9: OWNERSHIP AND USE OF DOCUMENTS
All documents, drawings, notes, records, drawings, designs, improvements, and other materials
produced by the CONTRACTOR in connection with services rendered under this Agreement shall
be the property of the COUNTY whether the project for which they are made is executed or not.

Section 10: INDEPENDENCE
CONTRACTOR and COUNTY agree that CONTRACTOR is an independent CONTRACTOR
with respect to the services provided pursuant to this Agreement. Nothing in this Agreement
shall be considered to create the relationship of employer and employee between the parties
hereto. CONTRACTOR shall not be entitled to any benefits afforded to COUNTY employees
by virtue of the services provided under this Agreement. COUNTY shall not be responsible for
withholding or otherwise deducting federal income tax or social security or for contributing to
the state industrial insurance program, otherwise assuming the duties of an employer with respect
to employee.
Section 11: REPORTING
CONTRACTOR will provide a report to COUNTY, whichever is agreed upon by COUNTY and
CONTRACTOR, for payment for services rendered. The report shall contain a brief summary of
the work performed, relationship to the tasks identified in Exhibit A.
Section 12: ASSIGNMENTS AND SUBCONTRACTING
CONTRACTOR shall not sublet or assign any of the services covered by this Agreement without
the express written consent of COUNTY.
Section 13: TERMINATION
COUNTY reserves the right to terminate this Agreement in whole or in part, with 30 days notice,
in the event that expected or actual funding from any funding source is withdrawn, reduced, or
limited in any way after the effective date of this Agreement. In the event of termination under
this clause, COUNTY shall be liable only for payment for services rendered prior to the effective
date of termination.
CONTRACTOR reserves the right to terminate this Agreement immediately if COMPANY
refuses to or is unable to pay for the services rendered within the terms specified in Section 5 of
this Agreement.
Section 14: DISCRIMINATION PROHIBITED
Neither party shall discriminate or permit discrimination against any person or group of persons
on the basis of race, color, creed, national origin, age, gender, sexual orientation, or material
status. Both parties shall comply with the Americans with Disabilities Act and all regulations
interpreting or enforcing such Act.
Section 15: INTEGRATED AGREEMENT
This Agreement together with attachments or addenda represents the entire and integrated
agreement between COUNTY and CONTRACTOR and supersedes all prior negotiations,
representations, or agreements written or oral between the parties. This Agreement may be
amended only by written instrument signed by both COUNTY and CONTRACTOR.
