Analysis/Strategic Goals/Pro's Et Con's: The Upper Hoh Road/Olympic National Park FLAP project is being managed by the Federal Highway Administration Western Federal Lands Division (WFL). The project will encompass three sites on Upper Hoh Road and will require temporary and permanent utility relocations by CenturyLink. It is standard practice for WFL to have project -specific agreements with affected utilities, and therefore WFL has requested that Jefferson County, as the land owner, enter into this agreement with CenturyLink for the term of the project. Fiscal Impact/Cost Benefit Analysis: This a non -reimbursable agreement. There will be no reimbursement to CenturyLink for utility relocation/adjustment as a result of this agreement. The agreement commits Jefferson County to coordinating with CenturyLink on the utility relocations/adjustments, and Jefferson County will incur staff expenditures typical for utility coordination on construction projects. Recommendation: The Chair of the Board is requested to sign all three originals of the Agreement and return two originals to Public Works. Date Non -Reimbursable UTILITY RELOCATION/ADJUSTMENT AGREEMENT Federal Highway Administration Project "WA JEFF 91420(1) Upper Hoh Road, Ph. 2" RELOCATION AND/OR ADJUSTMENT OF FACILITIES THIS AGREEMENT, by and between Jefferson County, Washington, hereinafter called "County", and CenturyLink, hereinafter called "Company," is authorized by Title 23 CFR 645. WHEREAS, the Department of Transportation, Federal Highway Administration ("Department"), in cooperation with the County, plans to reconstruct approximately 1.05 miles of the Upper Hoh Road, also known as County Road 91420, at three locations: 1) Milepost 3.2- 4.0, install large fish passage culvert and bank stabilization, 2) Milepost 7.8-8.1, replace Tower Creek Bridge, and bank stabilization, and 3) Milepost 10.1-10.4, construct Canyon Creek Bridge, and bank stabilization. WHEREAS, due to the construction of this project, it is necessary to relocate and/or adjust underground phone cable facilities at all conflict locations within the County road right of way. The Company and County agree to the temporary and permanent relocation and/or adjustment of those phone facilities in conflict with the project, according to the Company's engineering and relocation planning referenced as part of this agreement, and according to the Department's construction plans and cross sections sheets. WHEREAS, it is deemed to be in the best public interest that necessary relocation and/or adjustment of said phone facilities shall be accomplished by the Company before the beginning of planned road construction AND during road construction, and shall be performed under the terms of this agreement and in accordance with and governed by the provisions of the Government's Code of Federal Regulations 23 CFR 645. PERFORMANCE OF WORK NOW, THEREFORE, in consideration of the foregoing, IT IS MUTUALLY AGREED that: The Company shall perform or cause to be performed the work herein described, furnishing all materials and supplies necessary and incidental to the relocation and/or adjustment of its facilities; Preliminary relocation engineering activities will be performed by Company forces. Relocation construction work will be performed by Company forces, to include, but not limited to: • Permanent relocation of phone line at road construction conflict areas identified by the Company. The Company will determine how and where the permanent relocations will occur, according to its relocation plan. • Coordinate with the County on permanent locations, to ensure relocations occur within existing County rights of way and newly -acquired permanent easement areas. Page 1 of 4 • Temporary relocation of phone line at those locations, including culverts, identified by the Company. The Company will determine how and where the temporary relocations will occur, according to its relocation plan. • Move temporarily -relocated phone line to permanent locations after road construction is completed in those conflict areas. The Company MUST avoid damaging the new road construction when moving its temporarily -relocated line to permanent locations. • Measure and document the depths and locations at which the phone line and conduit have been relocated, and provide this information to the County and Department prior to the beginning of road construction. • Contact the County and Department immediately, if, during relocation activities, that other possible, unanticipated conflicts may occur during road construction. • Coordinate with the County and Department on standards for installing conduit at Tower Creek and Canyon Creek bridges, and at other areas, if needed. Equipment and materials needed for the work will be furnished by Company forces. The Company will complete all necessary temporary and/or permanent relocation work needed to avoid the known road construction conflicts by February 5, 2021. The Company, after the Department installs conduit at the locations noted in the construction plans, will permanently relocate the phone cable in the conduit no more than 60 days after conduit is installed. Costs The Company's cost share will be 100% of all costs incurred to temporarily and permanently relocate its underground phone facilities. The County's cost share will be 0% of all costs incurred. NOW, THEREFORE, in consideration of the foregoing, IT IS MUTUALLY AGREED that: The County shall perform or cause to be performed the work herein described, necessary and incidental to the coordination with the Company of planned relocations and of unforeseen conflicts with phone facilities during relocation and during road construction; • Review the Department's construction plans and the Company's relocation plan, and give concurrence in writing, via email or letter, that the Company's proposed relocations are sufficient to avoid conflicts with the project construction. • Be available during relocation and road construction to help coordinate quick, efficient mitigation of conflicts with the Company's facilities. • Before road construction commences, concur with the Company that all needed relocations have been completed, and notify the Department when all relocations have been completed. • Provide to the Department and its Highway Contractor the relocation depths and locations from the Company, for inclusion into the project drawings. Costs The County's cost share will be 100% of all costs incurred for the above Performance of Work tasks listed under "The County". Page 2 of 4 The Company's cost share will be 0% of all costs incurred. SCHEDULING AND COORDINATION The County and the Company will coordinate before and during relocation construction to avoid delays to the subject project schedule, and to avoid hindrance of other road work in the vicinity. The Company will provide the County at least 14 days advance notice of when relocation construction work will begin. The Company will afford the County the opportunity to inspect the relocation work. Permits The Company shall make application to appropriate authorities to obtain all necessary permits and/or easements required to perform work herein described.
