SUBJECT: Amendment No. 1 to Agreement Of Jefferson County And Kelli Parcher,
Inc. For Proctor House and Proctor Program Services
STATEMENT OF ISSUE:
The Board of County Commissioners (BoCC) will consider approving Amendment No. 1 to
Agreement Of Jefferson County And Kelli Parcher, Inc. For Proctor House and Proctor
Program Services. The amendment adds three months to the term of the original agreement,
so that it will expire after March 31, 2020. The amendment also adds funding for the
extension, prorated at the same rate as the original agreement.
ANALYSIS:
Proctor House and Proctor Program Services serve youth referred to them by Jefferson
County's Juvenile Services and Juvenile Court.
Amendment No. 1 extends the existing contract until March 31, 2020, which otherwise would
have ended on December 31, 2019. The terms of the three-month extension were jointly
negotiated by Barbara Can, Philip Hunsucker and myself with Kelli Parcher.
FISCAL IMPACT:
The 2020-2021 Biennial Budget includes adequate funding for Amendment No. 1.
RECOMMENDATION:
Staff recommends the BoCC approve Amendment No. 1 to Agreement Of Jefferson County
And Kelli Parcher, Inc. For Proctor House and Proctor Program Services.

AMENDMENT NO. 1 TO AGREEMENT OF JEFFERSON COUNTY AND
KELLI PARCHER, INC
FOR PROCTOR HOUSE AND PROCTOR PROGRAM SERVICES
The Agreement of Jefferson County and Kelli Parcher, Inc. For Proctor House And Proctor
Program Services, executed on January 22, 2019, between Jefferson County and Kelli Parcher,
Inc. (the Agreement) is hereby amended as follows.
1. Section 2. Term of the Agreement is hereby amended as follows:
2. Term. The term of this Agreement shall commence on January 1, 2019 and shall, unless
terminated or renewed as provided elsewhere in this Agreement, terminate on March 31,
2020. Work performed consistent with this Agreement on or after January 1, 2019 before
the execution of this Agreement is hereby ratified.
2. Section 3. Compensation is hereby amended as follows:
3. Compensation. For the period of January 1, 2019 through December 31st, 2019, the
amount of this Agreement shall be one-hundred thirty-seven thousand six hundred fifty
two dollars ($137,652.00); in accordance with and as described in the attached duties and
responsibilities and program description. For the period of January 1, 2020 through
March 31st, 2020, the amount of this Agreement shall be thirty four thousand four
hundred thirteen dollars ($34,413.00) in accordance with and as described in the attached
duties and responsibilities and program description.
The total sums above represent the amount that would be owed the Contractor for
successfully completing the duties and obligations imposed on the Contractor by this
Agreement for the term of this Agreement. However, in 2019 the Contractor shall
receive four (4) equal payments, the first not more than thirty (30) days after the date
when this Agreement is executed and each of the remaining payments on or about the
ninetieth (90th) day subsequent to the initial payment, and in 2020 the Contractor shall
receive one payment not later than February 14, 2020.
The Contractor may submit vouchers for payment pursuant to the schedule described
above. The vouchers to be submitted must include a schedule of youth incarcerated with
dates of incarceration, vendor receipts for any pre-approved program related expenses and
any other pertinent documentation. The County will make payment promptly, upon
ascertainment and verification by Juvenile Services, after completion of the work under
this Agreement and its acceptance by the County.
The Contractor shall provide and bear the expense of all equipment, work and labor of
any sort whatsoever that may be required for completing the work provided for in this
Agreement and every part thereof, although the Contractor shall not be responsible for the
costs associated with Respite Personnel.

3. All other terms and conditions of the Agreement remain in effect unchanged.
IN WITNESS WHEREOF, the parties have executed this Amendment No. 1 to the Agreement
on the day and year written below.
