SUBJECT: AGREEMENT, Interlocal re: Strategic Tourism Study; In the Amount of
$10,000; Clallam County, City of Port Angeles, and City of Sequim
STATEMENT OF ISSUE:
This interlocal agreement is required to begin the "Strategic Tourism Study." To collectively fund a
5-year strategic plan to address and optimize the regional tourism industry. "The Plan" will be known
as the "2021-2026 Olympic Peninsula Tourism Strategic Plan."
FISCAL IMPACT:
Jefferson County'sportion of the studyis $10,000.
RECOMMENDATION:
Approve and sign the agreement.

INTERLOCAL AGREEMENT
AUTHORITY Chapter 39.34 RCW, also known as the Interlocal Cooperation Act.
PARTIES In alphabetical order:
• City of Port Angeles
• City of Sequim
• Clallam County
• Jefferson County
PURPOSE To collectively fund a 5-year strategic plan to address and optimize
the regional tourism industry. "The Plan"will be known as the
"2021-2026 Olympic Peninsula Tourism Strategic Plan."
DURATION This Agreement shall expire on September 30, 2021 and shall be
effective on the date when signed by the authorized representative
of the last Party to execute this Agreement.
ADMINISTRATIVE The Olympic Peninsula Strategic Tourism Committee or"the
ENTITY CREATED BY Committee." The Committee will determine the winning proposal.
THIS AGREEMENT
COMMITTEE The Committee includes representatives from Olympic Peninsula
MEMBERSHIP counties and municipalities, as well as other stakeholders, such as
representatives from the Olympic National Park, Olympic National
Forest, Washington State Parks and coastal tribes.
FISCAL AGENT AND Clallam County, by and through its employees and representatives.
LEAD ENTITY The County will,with the approval of the Committee, publish a
Request for Proposals and be the recipient of same,then forwarding
same to the Committee for a decision as to which proposer to
contract with. The winning proposal will contract with Clallam
County and act under the direction of Clallam County personnel.
METHOD OF Clallam County will serve as the umbrella organization and
FINANCING contribute the sum of One Hundred Fifty Thousand Dollars
($150,000) to the project. Each additional party will contribute the
sum of Ten Thousand Dollars ($10,000.00)to help pay for the Plan.
These contributions will be sent to the County to act as the Fiscal

Agent and Lead Entity within 30 days of a Party executing this
Agreement.
OTHER None, other than individuals connected to a Party who may be
CONTRIBUTIONS serving as members of the Committee.
REQUIRED OF THE
PARTIES
REAL AND PERSONAL This Agreement does not contemplate or authorize the Committee
PROPERTY to acquire,hold or dispose of any real or personal property other
than the Plan.
EMPLOYEES All employees of any Party remain the employee of that Party for
purposes of supervision, compensation and training.
LIABILITY Each Party to this Agreement agrees that with respect to
implementation of the Purpose of this Agreement it is solely
responsible for the acts and omissions of its employees, agents or
representatives.
NOTICE Each Party to this Agreement shall name a person to receive all
notices relating to this Agreement and the generation of the Plan.
MODIFICATION This Agreement represents the entire Agreement between the
parties and supersedes any prior statements, discussions or
understandings between the Parties. This Agreement may only be
modified in writing mutually assented to by all parties.
WITHDRAWAL Any Party to this Agreement may withdraw its participation in this
Agreement for any reason upon 30 days' written notice to all other
Parties to the person listed as their recipient of Notice. Funds
submitted to the Fiscal Agent and Lead Entity will not be refunded
if the Withdrawal occurs after the funds have been submitted.
NO THIRD PARTY This Agreement is intended for the benefit of only the Parties
BENEFICIARIES executing it and does not confer any benefits, rights or privileges
upon any third party.

SEVERABILITY If any term or condition of this Agreement or the application of this
Agreement to any Party or circumstances is held to be invalid, such
invalidity shall not affect other terms or conditions which can be
given effect without the invalid term or condition. To this end,the
terms and conditions of this Agreement are declared severable.
SEPARATE COPIES The Parties to this Agreement may each sign separate copies of this
Agreement.
