SUBJECT: Request for Board of County Commissioners approval to amend the term of a
professional services agreement with Maul Foster Alongi and the related
Department of Commerce grant to conduct a Phase 1 Environmental Site
Assessment and Cultural Resources Study of county property (parcel
001034010) located near the intersection of 27th Street and Discovery Road,
adjacent to Laurel Grove Cemetery
STATEMENT OF ISSUE:
Jefferson County applied for and obtained an Environmental Protection Agency Grant to study
county land adjacent to Laurel Grove Cemetery. Subsequent to this the county applied for and
obtained a$25,000 grant from the Washington State Department of Commerce's Brownfield
Revolving Fund Load Program to complete the assessment and study. Subsequent to obtaining
the grant the Board of County Commissioners, on August 19, 2019, approved a professional
services contract with Maul Foster Alongi to perform the work. The agreement contained an
expiration date of October 31, 2019. Due to the complex nature of the project it took longer to
mobilize than expected. Therefore, the term of the agreement was extended to be extended to
March 31, 2020, which mirrored the expiration date of the grant.
Maul Foster has almost completed the work funded by the grant, but will need additional time.
Further, based on their findings additional grant funding for more in depth work will likely
become available. Because of this the Department of Commerce is recommending we extend the
professional services agreement with Maul Foster to allow them time to finish up the Phase 1
work and to add time to accomplish any additional grant funded work related to the project.
Should additional grant funds become available would amend the contract and grant cost and
scope work to accommodate the additional work.
There are two attachments to this agenda request:

ANALYSIS:
The scope of work and the cost of the contract and grant are unchanged. The term extension to
March 31, 2021 will allow the work to be completed in accordance with the terms of the grant
and our agreement with Maul Foster Alongi and any subsequently grant funded work.
FISCAL IMPACT: This action has no fiscal impact.
RECOMMENDATION: That the Board of County Commissioners approve the attached
amendment to the professional services agreement with Maul Foster Alongi and the related
Department of Commerce grant amendment.

AMENDMENT 2 TO PROFESSIONAL SERVICES AGREEMENT BETWEEN
MAUL FOSTER ALONGI AND JEFFERSON COUNTY FOR A PHASE'1
ENVIRONMENTAL SITE ASSESSMENT AND CULTURAL RESOURCES SURVEY
This Amendment to the Professional Services Agreement is made and entered into by
and between Maul Foster Alongi and Jefferson County, a political subdivision under the laws
of the State of Washington ("Jefferson County"), (collectively "Parties") for a Phase 1
Environmental Site Assessment and Cultural Resources Study.
WHEREAS, the Parties want to amend the Professional Services Agreement entered into
between them;
NOW, THEREFORE, the Parties agree as, follows:
1. Purpose. The purpose of this Amendment is to revise the time for performance of the
scope of work provided in the Professional Services Agreement between the Parties for the Project.
All other terms of the Professional Services Agreement between the Parties remain unchanged,
except as modified in this Amendment.
2. Amendment.
The first sentence of Paragraph 3. Which now reads: "This Agreement shall
commence on August 19, 2019 and continue through October 31, 2019" is further
amended to read: "This Agreement shall commence on August 19,2019 and continue
through March 31, 2021."

14.Amendment Purpose
The purpose of the Contract Amendment is to extend the Contract End Date of this Contract to 03/31/2021.
COMMERCE defined as the Department of Commerce,and Contractor, as defined above, acknowledge and
accept the terms of this Contract as amended and attachments and have executed this Contract Amendment on
the date below to start as of the date and year referenced above. The rights and obligations of both parties to this
Contract as Amended are govemed by this Contract Amendment and the following other documents incorporated
by reference: Attachment I—Statement of Work,Schedule and Budget;Attachment II—Legal Description of
Property; Attachment III—Administrative Prohibition and Eligible Costs;Attachment IV—Disadvantaged Business
Enterprise Requirements;Attachment V—Certification Regarding Debarment,Suspension,and Other
Responsibility Matters; and, Attachment VI—Approval/ Decision Memorandum. A copy of this Contract
Amendment shall be attached to and made a part of the original Contract between COMMERCE and the
Contractor. Any reference in the original Contract to the"Contract'shall mean the"Contract as Amended".

AMENDMENT TERMS AND CONDITIONS
BROWNFIELD REVOLVING LOAN FUND PROGRAM
The purpose of the Contract Amendment is to extend the Contract End Date of the Washington State Department of
Commerce Brownfield Revolving Loan Fund Program Contract displayed on the Face Sheet and Declarations Page to
03/31/2021.
Commerce has agreed to Contractor's request to extend the end date,and Contractor has agreed to complete the project
by 3/31/2021.
The Face Sheet and Declarations Page are hereby revised to change the Contract End Date as stated on the Declaration
Page.
ALL OTHER TERMS AND CONDITIONS OF THIS CONTRACT INCLUDING ANY AMENDMENTS AND
ATTACHMENTS REMAIN IN FULL FORCE AND EFFECT.
