ANALYSIS/STRATEGIC GOALS/PRO'S and CON'S: Advanced Environmental is retained by the County to remove and property dispose of all asbestos- containing materials (ACM) from the house located at 151 Fremont Ave. in Quilcene, WA that were identified in inspection reports by NWA Northwest Environmental, including siding, dry wall, windows, and some flooring. After the house is cleared of ACM, Advanced Environmental is also retained by the County to demolish what remains of it and the other improvements, properly dispose of all materials, and to replant the site. FISCAL IMPACT/COST BENEFIT ANALYSIS: Funding for the Project Agreement is provided by RCO #16-1480, Lower Big Quilcene Acquisitoins project matched with Department of Ecology Terry Husseman Funds (SEATHA-VER3-JeCoPH-00037). There is no impact to the Jefferson County General Fund for this agreement. REVT,FWFD BY: flip Morle, ,'Cour Administrator Date Community Health Environmental Public Health Developmental Disabilities 360-385-9444 360-385-9400 (f)360-379-4487 360-385-9401 (f) Always working for a safer and healthier community CONTRACT JEFFERSON COUNTY,WASHINGTON THIS AGREEMENT entered into this_day of 2020,by and between Jefferson County,a political subdivision and municipal corporation of the State of Washington,hereinafter referred to as "Jefferson County,"and Advanced Environmental,Inc. of Olympia,WA,hereinafter referred to as "Contractor;"in mutual desire of the parties hereto that Contractor should undertake and complete a certain Public Works Project on behalf of the Jefferson County,described as follows: Work Order: "151 Fremont Ave.Asbestos Abatement and Demolition Project",JCPH#2020-0206 1. Project Designation.Contractor shall undertake the performance of the said Public Works Project in Jefferson County, Washington.The Contractor shall provide all equipment and personnel necessary to A)undertake the work as contemplated by this Agreement and B)complete same in the time frame contemplated by this Agreement. 2. Scope of Services. Contractor agrees to perform the scope of work identified on Exhibit A, attached hereto, including the provision of all labor,materials,equipment, and supplies. 3. Time of Performance. Contractor shall commence the work as contemplated by this agreement upon Notice to Proceed and shall pursue the work diligently and continuously until the project is completed.All work must be completed no later than May 15,2020. 4. Manner of Performing Work. Contractor has examined the site of work and has decided the manner for performing all necessary labor. Contractor is aware that the work vicinity is a residential neighborhood and care must be taken to prevent unreasonable disturbance. 5. Character of Materials.Contractor has examined the site of work and has recognized and determined the character of the materials to be encountered,demolished and removed. 6. Permits.Contractor shall pay for,obtain,and satisfy all necessary permits to undertake the work as contemplated by this Agreement unless specified otherwise in the bid documents. 7. Agency Notifications. Contractor shall give appropriate notification to all necessary governmental agencies of its intention to undertake the work contemplated by this Agreement,which notifications shall be in addition to any other requirements of other said agencies. Contractor shall provide a copy of such notices to Environmental Public Health. 8. Contract Price. The Contractor shall be paid by the County for completed work and for services rendered under this agreement as follows: a. The Contractor will be reimbursed for all work performed under the terms of this contract. Payment for the work provided by the Contractor shall not exceed$46,000 plus$4,140 Washington State Sales Tax,for the completion of this project without express written amendment signed by both parties to this Agreement. b. Funding for this contract will be provided by Recreation and Conservation Office and Department of Ecology Terry Husseman grant. If funding is withdrawn,reduced,or limited in any way after the effective date of this agreement,this contract may be renegotiated or terminated as provided herein. c. The Contractor may submit invoices to the County not more than once per month,but not less than quarterly,during the progress of the work for work completed to date. Such invoices will be checked by the County, and upon approval thereof,payment will be made to the Contractor in the amount approved. d. Final payment of any balance due the Contractor of the total contract price earned will be made promptly upon its ascertainment and verification by the County after the completion of the work under this agreement and its acceptance by the County. e. Payment as provided in this section shall be full compensation for work performed, services rendered and for all materials, supplies,equipment and incidentals necessary to complete the work. f. The Contractor's records and accounts pertaining to this agreement are to be kept available for inspection by representatives of the County and state for a period of six(6)years after final payments. Copies shall be made available upon request. 9. Ownership and Use of Documents.All documents,drawings, specifications and other materials produced by the Contractor in connection with the services rendered under this agreement shall be the property of the County whether the project for which they are made is executed or not.The Contractor shall be permitted to retain copies, including reproducible copies, of drawings and specifications for information,reference and use in connection with Contractor's endeavors. 10. Compliance with Laws.Contractor shall,in performing the services contemplated by this agreement, faithfully observe and comply with all federal, state,and local laws,ordinances and regulations, applicable to the services to be rendered under this agreement. 11. Indemnification. Contractor shall indemnify and hold harmless the County, its officers,and employees,from and against all claims, losses or liability,or any portion thereof, including reasonable attorney's fees and costs,arising from injury or death to persons, including injuries, sickness, disease or death to Contractor's own employees,or damage to property occasioned by a negligent act,omission or failure of the Contractor. Contractor shall be liable only to the extent of Contractor's proportional negligence. The Contractor specifically assumes potential liability for actions brought against the County by Contractor's employees,including all other persons engaged in the performance of any work or service required of the Contractor under this Agreement and, solely for the purpose of this indemnification and defense,the Contractor specifically waives any immunity under the state industrial insurance law,Title 51 R.C.W. The Contractor recognizes that this waiver was specifically entered into pursuant to provisions of R.C.W.4.24.115 and was subject of mutual negotiation. 12. Insurance. Prior to commencing work,the Contractor shall obtain at its own cost and expense the following insurance from companies licensed in the State with a Best's rating of no less than A:VII. The Contractor shall provide to the County Risk Manager certificates of insurance with original endorsements affecting insurance required by this clause prior to the commencement of work to be performed. The insurance policies required shall provide that thirty (30) days prior to cancellation, suspension, reduction or material change in the policy, notice of same shall be given to the County Risk Manager by registered mail, return receipt requested, for all of the following stated insurance policies. 2 If any of the insurance requirements are not complied with at the renewal date of the insurance policy, payments to the Contractor shall be withheld until all such requirements have been met, or at the option of the County, the County may pay the renewal premium and withhold such payments from the moneys due The Contractor. All notices shall name the Contractor and identify the agreement by contract number or some other form of identification necessary to inform the County of the particular contract affected. A. Workers Compensation and Employers Liability Insurance. The Contractor shall procure and maintain for the life of the contract, Workers Compensation Insurance, including Employers Liability Coverage, in accordance with the laws of the State of Washington. B. General Liability(1) - with a minimum limit per occurrence of one million dollars ($1,000,000) and an aggregate of not less than two million dollars ($2,000,000) for bodily injury, death and property damage unless otherwise specified in the contract specifications. This insurance coverage shall contain no limitations on the scope of the protection provided and indicate on the certificate of insurance the following coverage: 1. Broad Form Property Damage with no employee exclusion; 2. Personal Injury Liability, including extended bodily injury; 3.Broad Form Contractual/Commercial Liability including completed operations (contractors only); 4. Premises-Operations Liability(M&C); 5. Independent Contractors and Subcontractors;and 6. Blanket Contractual Liability. (1)Note: The County shall be named as an additional insured party under this policy. C. Automobile(2) -with a minimum limit per occurrence of$1,000,000 for bodily injury, death and property damage unless otherwise specified in the contract specifications. This insurance shall indicate on the certificate of insurance the following coverage: 1. Owned automobiles; 2. Hired automobiles; and, 3. Non-owned automobiles. (2) Note: The County shall be named as an additional insured party under this policy. Any deductibles or self-insured retention shall be declared to and approved by the County prior to the approval of the contract by the County. At the option of the County, the insurer shall reduce or eliminate deductibles or self-insured retention or The Contractor shall procure a bond guaranteeing payment of losses and related investigations, claim administration and defense expenses. The Contractor shall include all subcontractors as insured under its insurance policies or shall furnish separate certificates and endorsements for each subcontractor. All insurance provisions for subcontractors shall be subject to all of the requirements stated herein. Failure of The Contractor to take out and/or maintain any required insurance shall not relieve The Contractor from any liability under the Agreement, nor shall the insurance requirements be construed to conflict with or otherwise limit the obligations concerning indemnification. 3 It is agreed by the parties that insurers shall have no right of recovery or subrogation against the County(including its employees and other agents and agencies), it being the intention of the parties that the insurance policies so affected shall protect both parties and be primary coverage for any and all losses covered by the above described insurance. It is further agreed by the parties that insurance companies issuing the policy or policies shall have no recourse against the County (including its employees and other agents and agencies) for payment of any premiums or for assessments under any form of policy. It is further agreed by the parties that any and all deductibles in the above described insurance policies shall be assumed by and be at the sole risk of The Contractor. Vehicle and equipment parking on-site during the project is at the owner's own risk. It is agreed by the parties that judgments for which the County may be liable, in excess of insured amounts provided herein, or any portion thereof, may be withheld from payment due, or to become due, to the Contractor until such time as the Contractor shall furnish additional security covering such judgment as may be determined by the County. The County reserves the right to request additional insurance on an individual basis for extra hazardous contracts and specific service agreements. Any coverage for third party liability claims provided to the County by a"Risk Pool"created pursuant to Ch.48.62 RCW shall be non-contributory with respect to any policy of insurance the Contractor must provide in order to comply with this Agreement. If the proof of insurance or certificate of coverage indicating the County is an"additional insured"to a policy obtained by the Contractor refers to an endorsement(by number or name)but does not provide the full text of that endorsement,then it shall be the obligation of the Contractor to obtain the full text of that endorsement and forward that full text to the County within 30 days of the execution of this Agreement. The County may,upon the Contractor's failure to comply with all provisions of this contract relating to insurance,withhold payment or compensation that would otherwise be due to the Contractor. 13. Prevailing Wage. It is the sole responsibility of Contractor and subcontractors to assign the appropriate classifications to all laborers,workmen or mechanics performing any work pursuant to any Public Works Contract and to ascertain the applicable prevailing wage rates and fringe benefits for each such classification.Current prevailing wage data can be obtained by Contractor from the Industrial Statistician of the Department of Labor and Industries,Prevailing Wage Office,P.O.Box 44540, Olympia,Washington 98504-4540, (360)902-5335, or go to their website at https://lni.wa.gov/licensing-permits/public-works-projects/contractors-employers. 14. Performance Bond and Labor&Material Payment Bonds.Prior to execution of the contract, Contractor shall furnish Performance and Labor&Material Payment Bonds covering the faithful performance of the contract and the payment of all obligations arising thereunder in such form approved by the Owner and in the amount of one hundred percent(100%)of the contract. The bidder shall require the attorney-of-fact who executes the required bonds on behalf of the surety to affix thereto a certified and current copy of this power-of-attorney indicating the monetary limit of such power. For contracts under$35,000(including sales tax), in lieu of a performance bond,Contractor may provide written and signed request to have Jefferson County retain 50%of the contract price for 30 4 days following completion of all work or receipt of all necessary releases from the Department of Revenue,the Department of Labor and Industries,and settlement of any liens filed under chapter 60.28 RCW,whichever is later. For work that has no subcontractors and is$2,499.99 or less(including WSST),Jefferson County will file a combined Intent/Affidavit form signed by Contractor following completion of the work(this eliminates the$80.00 filing fee).Payment will be made in a single payment following completion of the work to Jefferson County's satisfaction and receipt of the signed combined Intent/Affidavit form. 15. Independent Contractor. The Contractor and the County agree that the Contractor is an independent contractor with respect to the services provided pursuant to this agreement.Nothing in this agreement shall be considered to create the relationship of employer and employee between the parties hereto. Neither Contractor nor any employee of Contractor shall be entitled to any benefits accorded County employees by virtue of the services provided under this agreement.The County shall not be responsible for withholding or otherwise deducting federal income tax or social security or for contributing to the state industrial insurance program, or otherwise assuming the duties of an employer with respect to Contractor, or any employee of Contractor. 16. Assignment and Subcontracting. Contractor shall not assign this Agreement or any interest therein nor subcontract the whole or any portion of the work contemplated by this Agreement,nor may any interest hereunder be assigned or transferable by operation of law,or by any process or proceedings of any court or otherwise,without the prior written consent of Jefferson County.Contractor shall, when intending to use subcontractors,provide Jefferson County with a Payment Bond as well as the list of the proposed subcontractors to be used to Jefferson County for approval prior to any subcontracting. 17. Subcontractor Responsibility. A. Contractor shall include the language of this section and the provisions of Section 14 above in each of its first-tier subcontracts, and shall require each of its subcontractors to include the same language of this section in each of their subcontracts,adjusting only as necessary the terms used for the contracting parties.Upon request, Contractor shall promptly provide documentation to Environmental Health demonstrating that the subcontractor meets the subcontractor responsibility criteria below and the insurance requirements imposed on the Contractor by Section 14 above.The requirements of this section apply to all subcontractors,regardless of tier. B.At the time of subcontract execution,the Contractor shall verify that each of its first tier subcontractors meets the following bidder responsibility criteria: a. Have a current certificate of registration as a contractor in compliance with chapter 18.27 RCW,which must have been in effect at the time of bid submittal; b.Have a current Washington Unified Business Identifier(UBI)number; c. If applicable: i. Have Industrial Insurance coverage(workers' compensation) coverage for the bidder's employees working in Washington as required in Title 51 RCW; ii. Have a Washington Employment Security Department number as required in Title 50 RCW; and iii. Have a Washington Department of Revenue state excise tax registration number as required in Title 82 RCW; iv. An electrical contractor license, if required by Chapter 19.28 RCW; v. An elevator contractor license, if required by Chapter 70.87 5 RCW. vi. Not be disqualified from bidding on any public works contract under RCW 39.06.010 or 39.12.065(3); 18. Non-Waiver of Breach. Failure of Jefferson County to insist upon the strict performance of any of the covenants of this Agreement or failure to exercise any option herein conferred in any one or more instances shall not be construed to be a waiver or relinquishment of any other covenant of this Agreement or any subsequent default of same covenant or condition. 19. Insolvency.If Contractor shall file a petition in bankruptcy,or if the Contractor shall be adjudged bankrupt or insolvent by any court,or if a receiver of the property of Contractor shall be appointed in any proceeding brought by or against Contractor,or if Contractor shall make an assignment form benefit of creditors,Jefferson County may, at its option,terminate this Agreement at any time. 20. Termination for Default. Time is of the essence of this Agreement. In the event Contractor shall fail to keep and perform any of the covenants or conditions of this Agreement contained,or should Contractor for any reason be unwilling or unable to carry out said Agreement,then Jefferson County may cancel this Agreement upon giving Contractor ten(10)days' notice in writing. 21. Attorney Fees for Breach.In the event of a breach of the contract by either party,the breaching party shall be liable to the non-breaching party for all damages sustained as a result thereof, including consequential damages,reasonable legal expenses incurred,expert witness fees and any costs of suit. 23. Discrimination Prohibited.The Contractor,with regard to the work performed by it under this agreement,will not discriminate on the grounds of race, color,national origin,religion,creed,age, sex, or the presence of any physical or sensory handicap in the selection and retention of employees or procurement of materials or supplies. 24. Integrated Agreement. This Agreement represent the entire and integrated agreement between the County and the Contractor and supersedes all prior negotiations,representations,or agreements written or oral. This agreement may be amended only by written instrument signed by both the County and Contractor. 25. Sullivan,Member Approved as to form only: Ok,iIIg— $/4 to Philip C.Hunsucker Date Chief Civil Deputy Prosecutor 7 Exhibit A Scope of Work Asbestos Abatement: Remove and properly dispose of all asbestos-containing materials from the 950 square-foot house located at 151 Fremont Ave. in Quilcene, WA that were identified in the lab reports from Eurofins dated September 30 and October 17,2019 and January 30,2020 and the inspection reports by NWA Northwest Environmental dated October 2,2019 and February 4,2020. Materials and approximate quantities to be removed are as follows: 3,296 SF of drywall and wallboard with 2%or greater asbestos-containing mud, 10 windows, 60 SF of sheet vinyl and 1,598 SF of exterior Cement Asbestos Board(CAB).Disposal of asbestos containing materials must be at Kitsap County Olympic View Transfer Station,Columbia Ridge Landfill, or Roosevelt Regional Landfill by direct haul via rail or truck by an approved carrier. Disposal and transport must meet all applicable requirements for asbestos containing materials. Contractor shall provide receipts as proof that all materials have been disposed of in an acceptable manner. Thoroughly clean up all areas affected by the work. The certified abatement contractor shall comply with all federal, state and local regulations when performing any work under the resulting contract. Demolition and Replanting: After the house is cleared of asbestos-containing-materials,demolish,remove,and haul to an approved waste site,all manmade structures,materials, debris and on-site system,not including the drinking water well itself,located on the site, scarify driveways and other compacted areas,overlay native topsoil,and re-seed,re-plant and mulch while protecting the site from erosion such that: • Safe access is established.Vehicle,pedestrian and nearby property owner safety is assured. Roads are restored to original condition after work is completed. • The corners of the parcel are located. • Any necessary permits and authorizations from Jefferson County Public Works and utility providers are obtained. (Demolition permit and ORCAA notification will be applied for by Public Health.) • All existing utility connections are safely located,discontinued,disconnected and removed. • All buried utilities are protected from damage. • Remains of all structures,household waste and all litter,and fencing within the parcel boundaries are removed and disposed of properly. • A certified septic system pumper has pumped out any sewage or wastewater in the tank. The tank and distribution components,but not the gravel,are removed and the Certification of Tank Decommissioning is completed and certified by the contractor while Environmental Public Health staff is present.(Fees will be paid by Public Health.) • Any and all roadside culverts, surface drains,and driveway entrances are removed and the ground re-contoured to match the existing ditches. • Any spoils from the roadside ditches are used to bring the existing grades under the demolished buildings to be level with the adjacent present grades. • Existing trees are protected from damage to the extent feasible. • There is no trespassing onto adjacent properties. • Driveways,parking areas,and other areas devoid of vegetation are ripped to a depth of at least twelve inches and overlain with adjacent topsoil to a depth of at least six inches. • All disturbed areas are finely graded or raked in preparation for seeding,planting and mulching. • All disturbed areas are hand-seeded and overlain with generous quantities of clean straw. (Seed to be provided by Public Health). • The site is replanted on 16' centers with bare root seedlings or plugs and protected with tubes staked to the ground.(Seedlings,plugs,tubes and stakes to be provided by Public Health). • The final project site is clean and free of litter and manmade materials,matches existing contours, is seeded,planted,the plants are protected and disturbed areas are controlled for erosion. Disposal of asbestos-free demolition materials must be at the Jefferson County Transfer Station,Kitsap County Olympic View Transfer Station, Columbia Ridge Landfill,or Roosevelt Regional Landfill. Disposal and transport must meet all applicable requirements for asbestos containing materials. Contractor shall provide receipts as proof that all materials have been disposed of in an acceptable manner. The Contractor shall provide all labor,materials,tools,equipment,transportation and services and shall perform all work required for executing the Contract in a satisfactory and professional manner to provide a complete project. Care shall be taken to minimize disturbance to nearby property owners while work is in progress. Work schedules and access shall be coordinated through Jefferson County Environmental Public Health.Work may be suspended by the County at any time due to rain or adverse soil conditions. Vehicle and equipment parking on-site during the project is at the owner's own risk.Potable water and electrical power are not available onsite for use by the Contractor. It is the responsibility of the grant recipient (Sponsor)to ensure all staff(and subcontracted entities)working on the project is familiar with this plan. 2. RECOGNIZING CULTURAL RESOURCES A cultural resource discovery could be prehistoric or historic. Examples include: • accumulation of shell, burned rocks, or other food related materials, • bones or small pieces of bone, • area of charcoal or very dark stained soil with artifacts, • stone tools or waste flakes (i.e. an arrowhead, or stone chips), • clusters of tin cans or bottles, logging or agricultural equipment that appears to be older than 50 years, • buried railroad tracks, decking, or other industrial materials.When in doubt, assume the material is a cultural resource. 3.ON-SITE RESPONSIBILITIES STEP 1:STOP WORK.If an employee, contractor, subcontractor or volunteer believes that he or she has uncovered a cultural resource at any point in the project, all work in the immediate area of the discovery must stop (typically a 10 foot radius, but depends on site conditions). Note that state highways that cross federal and Indian lands are on easements and are not owned by the state. • If the project occurs on non-federal lands, it will comply with applicable state laws, and the following procedure: A. DOCUMENTATION OF ARCHAEOLOGICAL MATERIALS Archaeological deposits discovered during construction will be assumed eligible for inclusion in the National Register of Historic Places under Criterion D per 36CFR800.13(c) until a formal Determination of Eligibility is made. If the project does not have a federal nexus/compliance requirement, contact the Project Manager or DAHP regarding the possible need for an Emergency Excavation Permit per RCW 27.53. In general, expect that: • All prehistoric and historic cultural material discovered during project construction will be recorded by a professional archaeologist on State of Washington cultural resource site or isolate form using standard techniques. Site overviews,feature, and artifacts will be photographed; stratigraphic profiles and soil/sediment descriptions will be prepared for subsurface exposures. Discovery locations will be documented on scaled site plans and site location maps. Units may be dug in controlled fashion to expose features, collect samples from undisturbed contexts, or interpret complex stratigraphy. A test excavation unit or small trench might also be used to determine if an intact occupation surface is present. Test units will be used only when necessary to gather information on the nature, extent and integrity of subsurface cultural deposits to evaluate the site's significance. Excavations will be conducted using state-of-the-art techniques for controlling provenience. • Spatial information, depth of excavation levels, natural and cultural stratigraphy, presence or absence of cultural material, and depth to sterile soil, regolith, or bedrock will be recorded for each probe on a standard form. Test excavation units will be recorded on unit-level forms, which include plan maps for each excavated level, and material type, number, and vertical provenience (depth below surface and stratum association where applicable) for all artifacts recovered from the level. A stratigraphic profile will be drawn for at least one wall of each test excavation unit. • Sediments excavated for purposes of cultural resources investigation will be screened through 1/8-inch mesh, unless soil conditions warrant 1/4-inch mesh. • All prehistoric and historic artifacts collected from the surface and from probes and excavation units will be analyzed, catalogued, and temporarily curated. Ultimate disposition of cultural materials will be determined in consultation with the federal agencies (if any), DAHP, and the affected tribes. If assessment activity exposes human remains (burials, isolated teeth, or bones), the process described in Section 5 above will be followed. 7. PROCEEDING WITH CONSTRUCTION Project construction outside the discovery location may continue while documentation and assessment of the cultural resources proceed. A Cultural Resources Specialist (either from DAHP, a consulting Tribe, or a professional consultant) must determine the boundaries of the discovery location. In consultation with DAHP and affected tribes,the RCO and the grants sponsor will determine the appropriate level of documentation and treatment of the resource. If federal agencies are involved,the agencies will make the final determinations about treatment and documentation.
