HomeMy WebLinkAbout082420_ra03 JEFFERSON COUNTY BOARD OF COUNTY COMMISSIONERS AGENDA REQUEST TO: Board of County Commissioners Philip Morley, County Administrator FROM: Mark McCauley, Central Services Director DATE: August 24, 2020 SUBJECT: One-Year Extension to the Closing Date of September 1, 2020 Listed in the Real Property Purchase and Sale Agreement Between Jefferson County and OlyCAP for Tax Parcel #948-323-702, Located on Castle Hill STATEMENT OF ISSUE: To help alleviate Jefferson County's acute shortage of affordable housing the Board of County Commissioners entered into a Purchase and Sale Agreement with OlyCAP for county parcel tax 9483237. OlyCAP is proposing to build a 44-unit affordable housing facility in Port Townsend, on this tax parcel. The facility would also house a child care/early learning program which would be available to residents of the affordable housing facility and to other Jefferson County residents. ANALYSIS: The Real Property Purchase and Sale Agreement, in paragraph 5, established a required a closing date of September 1, 2020. Because the timing of the next round of project fundraising runs well past September 1, 2020 the Purchase and Sale agreement closing date must be extended until September 1, 2021. The attached Amendment to the Purchase and Sale agreement will accomplish that extension. FISCAL IMPACT: The Amendment to the Real Property Purchase Agreement, in and of itself, has no fiscal impact. Subsequent events may have a fiscal impact, which at this time are impossible to determine. RECOMMENDATION: That the Board of County Commissioners approve the attached Amendment to the Real Property Purchase and Sale Agreement. RE WED BY: (572-eize924v Philip Mor County Administrator Date AMENDMENT NO. 1 TO REAL PROPERTY PURCHASE AND SALE AGREEMENT This Amendment No. 1 is entered into by and Jefferson County, a Washington municipal corporation(the "County") and Olympic Community Action Programs, a Washington non-profit corporation("OlyCAP") amend the Real Property Purchase and Sale Agreement entered into by the parties regarding Tax Parcel No. 948-323-702 ("the Agreement"). 1. The Paragraph 5 (CLOSING DATE; CLOSING AGENT)the Agreement is amended as follows: 5. CLOSING DATE; CLOSING AGENT. Closing shall occur on or before September 1, 2021 (the"Closing Date"). "Closing"or"Close" shall mean the date on which all documents required by this Agreement are recorded, and the sales proceeds are available for disbursement. Closing shall occur at First American Title Company, 2424 S. Park Ave., Port Townsend, WA 98368, (360) 385-1322 ("First American Title"), which shall act as"Closing Agent", unless the parties agree in writing otherwise. OlyCAP and the County shall deposit with the Closing Agent all instruments, monies, and other documents reasonably required to complete the cl IN WITNESS THEREOF, County and the Contractor have executed this Contract on the date first above written. 2. Effective Date of Amendment No. 1. Amendment No. 1 shall be effective as soon as it is fully executed in writing by both parties. 3. Savings. All other provisions of the Agreement remain unchanged and in effect.
