ANALYSIS: For each year the State Park and the Friends of Fort Worden State Park upon receipt of itemized invoice from Weed Control Board, make a payment to Weed Control Board fond for the purpose of controlling noxious weeds prioritized by the State Park, growing within Fort Worden State Park. FISCAL IMPACT: The total revenue over 5 years will total $25,000. RECOMMENDATION: Recommend approval of this memorandum of understanding between the State Parks North Puget Sound Region and Jefferson County Noxious Weed Control Board. REVIEWED BY: Phi ip Morley, C un Admini tras_ for j Date MEMORANDUM OF UNDERSTANDING BETWEEN STATE PARKS NORTH PUGET SOUND REGION AND JEFFERSON COUNTY NOXIOUS WEED CONTROL BOARD This Agreement is made and entered into by and between the Jefferson County Noxious Weed Control Board, 121 Oak Bay Road, Port Hadlock, Washington, 98339, hereinafter referred to as "Weed Control Board"; the Washington State Parks acting through Fort Worden State Park, 200 Battery Way, Port Townsend, WA, 98368 hereinafter referred to as "the State Park"; and the Friends of Fort Worden State Park, 200 Battery Way, Port Townsend, WA, 98368 hereinafter referred to as "Friends". For the purposes of this Agreement, it is understood that all references to State Parks, or the Weed Control Board also include their appointed designee(s). WHEREAS, the Washington State Parks operates and maintains Fort Worden State Park in order to provide safe recreation for people. WHEREAS, the Jefferson County Noxious Weed Control Board has a stated mission "To serve as responsible stewards of Jefferson County by protecting the land and resources from the degrading impact of noxious weeds," and WHEREAS, the Weed Control Board has identified certain noxious weeds requiring control within Fort Worden State Park, NOW, THEREFORE, pursuant to the above recitals, the State Park, the Friends and the Weed Control Board (collectively hereinafter "Parties" to this Agreement) acknowledge and agree to work cooperatively in accordance with the following: PURPOSE OF AGREEMENT The purpose of this Agreement is to define the obligations of all Parties related to the control of noxious weeds in Fort Worden State Park within limits for the term of the Agreement. SCOPE OF WORK The Parties shall undertake the work as set out below: The Friends will, within the limitations of this agreement, perform the following: 1. In 2021, upon receipt of itemized invoice from Weed Control Board, make payment of up to $9,000 to the Weed Control Board fund for the purpose of controlling noxious weeds prioritized by the State Park, growing within Fort Worden State Park. 2. In 2022, upon receipt of itemized invoice from Weed Control Board, make payment of up to $5,000 to the Weed Control Board fund for the purpose of controlling noxious weeds prioritized by the State Park, growing within Fort Worden State Park. 3. In 2023, upon receipt of itemized invoice from Weed Control Board, make payment of up to $5,000 to the Weed Control Board fund for the purpose of controlling noxious weeds prioritized by the State Park, growing within Fort Worden State Park. 4. In 2024, upon receipt of itemized invoice from Weed Control Board, make payment of up to $3,000 to the Weed Control Board fund for the purpose of controlling noxious weeds prioritized by the State Park, growing within Fort Worden State Park. 5. In 2025, upon receipt of itemized invoice from Weed Control Board, make payment of up to $3,000 to the Weed Control Board fund for the purpose of controlling noxious weeds prioritized by the State Park, growing within Fort Worden State Park. Interlocal Agreement, Public Works — Weed Control Board The Weed Control Board will, within the limitations of this agreement, perform the following: 1. Advise and assist Fort Worden State Park staff and volunteers in developing a 5 year comprehensive weed control plan during the first year of this agreement. The plan will detail expected actions to be taken and the calendar for these actions. The plan will indicate which actions will be the responsibility of each of the Parties to this Agreement and will include cost estimates and deliverables for specific control activities during the term of the plan. 2. Utilize the cash transfers for the purpose of controlling poison hemlock and other noxious weed species within Fort Worden park limits by means of employing staff, contractors, or other agencies with the appropriate personnel, equipment, training and certifications to effectively control targeted species. 3. Contribute up to $5,000 annually in matching funds to purchase WCC staff time. 4. Be solely responsible for the activities conducted by its staff and/or contractors within the Fort Worden State Park limits. 5. Will schedule and participate meetings with the Fort Worden State Park staff to review work deliverables, priorities, methods, costs and report on what was accomplished and how the funds were used. 6. Provide one annual training on preventative noxious weed control measures to Fort Worden State Park staff and volunteers in the first year of this agreement. 7. Apply for state and federal grant funds to be utilized to cover expenses incurred on this project. 8. Assist Fort Worden State Park and Friends with public relations and education related to the activities undertaken as a result of this agreement. The State Park will perform the following: 1. Set priorities for the weed control plan and activities. 2. Approve all weed control measures in advance through the Fort Worden State Park Area Manager. 3. Provide staff support and equipment as necessary to support the terms of this agreement. TIME OF PERFORMANCE This Agreement shall be effective from 01-01-2021 through 12-31-2025, a period of five years. �1►l �_ : � i/�1iil�)�:T�'f:���1�1�1►1111 The effectiveness of weed control activities and terms of the Agreement shall be reviewed by the Parties at the end of each year of the Agreement. The terms of the Agreement may be changed by mutual written amendment signed by all Parties herein. PROJECT ADMINISTRATION Administration of this Agreement for the State Park shall be conducted by the Fort Worden State Park Area Manager or his designee. For the Weed Control Board, the Agreement shall be administered by the Coordinator. For the Friends, the Agreement shall be administered by the Board President. EMPLOYEES All employees remain employees of their respective agency at all times and shall perform work under the sole supervision of their agency. PAYMENT Multiple varying transfers will be made from the Friends to the Weed Control Board fund after control work has been completed annually, totaling at Twenty -Five Thousand Dollars ($25,000) during the course Interlocal Agreement, Public Works - Weed Control Board 2 of this agreement. The Parties agree that this shall constitute the full financial obligation of the Friends and the State Park with respect to this Agreement. RIGHT -OF -ENTRY Weed Control Board staff may enter upon Fort Worden State Park facilities to perform work and make the records where work was performed available to the State Park. JOINT HOLD HARMLESS Each party to this Agreement shall be responsible for damage to persons or property resulting from the negligence on the party of itself, its employees, its agents, or its officers. Neither party assumes any responsibility to the other party for the consequences of any act or omission of any person, firm, or corporation not a part to this Agreement. COMPLIANCE WITH LAWS All work performed under this Agreement shall comply with all federal and state laws, local laws and ordinances, and applicable permit requirements. TERMINATION Any party may terminate this Agreement by giving written notice to the others, at the address first noted herein, of such termination and specifying the effective date thereof at least thirty (30) days before the effective date of such termination. SEVERABILITY Should any clause, phrase, sentence or paragraph of this Agreement be declared invalid or void, the remaining provisions of this Agreement shall remain in full force and effect. ENTIRE AGREEMENT The Agreement merges and supersedes all prior applications, representations, negotiations, approvals, and understandings between the Parties hereto relating to the subject matter of this Agreement and constitutes the entire Agreement between the parties.
