HomeMy WebLinkAboutGood Man Sanitation Service - 033121 C7oc 'wtay , V'Lhlh11 °f cc 40) j 21-1.011 JEFFERSON COUNTY GRANT AGREEMENT TO PROVIDE EMERGENCY ASSISTANCE AS A RESULT OF THE COVID-19 PANDEMIC This Grant Agreement to Provide Emergency Assistance as a Result of the COVID-19 Pandemic ("Agreement") by and between Jefferson County, a Washington political subdivision (County), and Good Man Sanitation (Good Man or Grantee). WHEREAS, on February 29, 2020, Governor Jay Inslee declared a State of Emergency in all Counties in Washington State to due to the public health emergency caused by the COVID-19 virus; and WHEREAS, on March 10, 2020, the Jefferson County Health Officer issued a Public Health Order to control and prevent the spread of the COVID-19 virus; and WHEREAS, on March 11, 2020, the World Health Organization declared the outbreak of COVID-19 to be a pandemic; and WHEREAS, on March 13, 2020, the President of the United States declared the COVID- 19 outbreak a national emergency; and WHEREAS, on March 16, 2020,the Jefferson County Board of Commissioners approved a Declaration of Emergency in Jefferson County due to the COVID-19 pandemic in Resolution 12-20, stating in part that "human life may be threatened and the local economy disrupted as a result of this unprecedented pandemic, and immediate extraordinary action must be taken to respond to this crisis and mitigate its impacts," and further stating "Jefferson County is authorized to exercise such other actions authorized by state law during a state of emergency as may be necessary to combat this emergency;" and WHEREAS, on March 19, 2020, the Port Townsend City Council approved a Declaration of Emergency due to the COVID-19 pandemic. WHEREAS,on March 23,2020,Governor Jay Inslee signed Proclamation 20-25 declaring that a State of Emergency continues to exist in all Counties in Washington State due to COVID- 19; and that his prior proclamations are amended and superseded by a Proclamation to impose a Stay Home — Stay Healthy Order throughout Washington State, which prohibits all people in Washington State from leaving their homes or participating in social, spiritual and recreational gatherings of any kind regardless of the number of participants, and all non-essential businesses in Washington State from conducting business, within the limitations provided in Proclamation 20- 25; and WHEREAS, Proclamation 20-25 has been amended several times, with the most recent amendment occurring on November 15, 2020 in Proclamation 20-25.12, which renamed Proclamation 20-25 et seq. "Healthy Washington—Roadmap to Recovery;" and 1 of 17 WHEREAS, Proclamation 20-25.12 makes clear that restrictions in prior proclamations continue to apply, except as amended in Proclamation 20-25.12, which makes clear that Proclamation 20-25 et seq. remain in effect until rescinded,and requires people to wear face masks both while at work and while not at work; and WHEREAS, as a result of the continued worldwide spread of COVID-19, its significant progression in Washington State, and the high risk it poses to our most vulnerable populations, Governor Jay Inslee subsequently issued amendatory Proclamations 20-05 through 20-71, 20-74 and 20-84.1, 21-01, and exercising his emergency powers under RCW 43.06.220 by prohibiting certain activities and waiving and suspending specified laws and regulations; and WHEREAS, Health professionals and epidemiological modeling experts advise that Washington is still in a state of COVID-19 outbreak; and WHEREAS, the COVID-19 pandemic is both a health emergency and a financial emergency, resulting in the worst global economic crisis since the Great Depression; and WHEREAS, as a result of the COVID-19 financial emergency, the largest economic stimulus legislation in American history, a $2 trillion package in Section 601(a) of the Social Security Act, as amended by Section 5001 of the Coronavirus Aid, Relief, and Economic Security Act, called the CARES Act, was signed into law on March 27, 2020; and WHEREAS, in May 2020, Governor Jay Inslee announced that the State of Washington would award $300 million of State's CARES Act Coronavirus Relief Fund (CRF) funding to reimburse local governments for eligible COVID-19 costs and economic support in connection with the COVID-19 public health emergency; and WHEREAS, on August 31, 2020, Governor Inslee announced that Washington State was awarding an additional $125 million of CARES Act CRF funding to local governments for the same purposes; and WHEREAS,the City of Port Townsend has been awarded up to $144,150 from the State's additional CRF award, which the City intends to receive by submitting an invoice to the State for the City's prior eligible expenditures, thereby freeing up City general fund moneys which the City wishes to deploy to address the COVID-19 public health emergency; and WHEREAS, Jefferson County has been awarded up to $638,000 from the State's additional CRF award, which the County intends to receive by submitting an invoice to the State for the County's prior eligible expenditures; and after combining those funds with available funds from the County's first CARES Act CRF award, and after reimbursing the County for its own direct eligible COVID-19 costs, makes available an estimated $633,515 of County general fund moneys which the County plans to deploy to address the COVID-19 public health emergency; and 2 of 17 WHEREAS, on June 17, 2020, the City of Port Townsend, Jefferson County, the Port of Port Townsend, and Jefferson County Public Utility District Number 1 established the Intergovernmental Collaborative Group and the Intergovernmental Coordinating Committee to establish a Recovery and Resiliency Plan with six community groups each responsible for one focus area: culture and events; economy and jobs; children and families; human services; food system resiliency; and broadband; and WHEREAS, each of the Intergovernmental Collaborative Group community groups submitted proposals to benefit all residents of Jefferson County expending local funds, made available by CARES Act CRF reimbursement of County and City costs; and WHEREAS, on September 16, 2020, the Intergovernmental Collaborative Group agreed that the additional funds available by the City of Port Townsend and Jefferson County are best used as a joint resource to support all the residents of Jefferson County; and WHEREAS, the Jefferson County Board of Commissioners ranked the community group proposals considering the input of the Intergovernmental Collaborative Group; and on September 23, 2020 identified 30 projects for funding for a combined total of up to $777,665, subject to adjusting amounts based on time of eligibility, updated information from the grantees and sub- grantees, city funding available, not to exceed the dollars available and revising scalable projects as appropriate (PUD and Culture & Events Grants); and WHEREAS, on November 9, 2020, the City of Port Townsend and Jefferson County entered into an Interlocal Agreement committing to exclusive use a total of$777,665 of combined City and County funds to help fund the 30 projects approved on September 23,to provide COVID- 19 community assistance in addressing the public health emergency and provide economic assistance related to the pandemic, and WHEREAS, spending local governments' funds to help the community respond to the COVID-19 emergency with emergency public health assistance and economic assistance is a fundamental purpose of government which also helps fulfill the public purposes articulated in the CARES Act and Coronavirus Relief Fund; and WHEREAS, the proposed uses will aid the economic recovery and public good of Jefferson County following the economic downturn caused by the COVID-19 pandemic; and WHEREAS, the Grantee was selected as a provider of community assistance in one or more of the 30 approved projects; and WHEREAS, the Grantee desires to complete a community assistance project that was one of the 30 projects approved on September 23, 2020, and that was included in the November 9, 2020 Interlocal Agreement between the City and the County, and seeks funding assistance for equipment, supplies, materials and labor for their project; and 3 of 17 WHEREAS, Jefferson County desires to provide funding for the listed projects, as necessary to combat the COVID-19 pandemic and recession, protecting the health and safety of persons and property, and providing emergency assistance to the victims of such disaster; and WHEREAS, RCW 38.52.070(2) grants to counties in which a disaster occurs, the power to enter into contracts and incur obligations necessary to combat such disaster,protecting the health and safety of persons and property, and providing emergency assistance to the victims of such disaster; and WHEREAS, the economic support provided to Grantee pursuant to this Agreement is necessary and appropriate given the Grantee's critical role and ability to provide services to community members in response to the COVID-19 public health emergency, and such assistance represents an eligible use of county funds consistent with RCW 38.52.070(2). NOW, THEREFORE, in consideration of the foregoing recitals, which are incorporated herein by reference, and the terms and conditions set forth below, the parties agree as follows: 1. Effective Date and Term. The term of this Agreement shall commence when last executed by the parties and remain in effect until December 31, 2023, except for submittal of progress reports and a final report referenced in Section 3 and Section 10, due no later than January 31, 2025. The term may be extended by written amendment pursuant to Section 16 of this Agreement. This Agreement may be terminated by the County before the end of term pursuant to Section 5 of this Agreement. Eligible expenses incurred consistent with this Agreement starting March 1, 2020 or thereafter, but prior to its execution, are hereby ratified 2. Project Designation and Scope of Work. Grantee commits to carry out its project to provide sanitation services using porta potties and a restroom trailer for a variety of community services, including COVID-safe outdoor gathering spaces and amenities in Port Townsend's Uptown and Downtown historic districts; cultural events and non-profit community festivals; a limited number of winter holiday events, a limited number of City and County events; and as it may choose in support of the homeless population; in a manner compliant to federal, state and local COVID-19 mandates and guidelines, as part of pandemic-emergency economic assistance, consistent with the November 9, 2020 Interlocal Agreement and as detailed in Attachment A: Scope of Work and Budget, attached to this Agreement and incorporated herein; all to provide COVID-19 community assistance in addressing the public health emergency or to provide economic assistance related to the pandemic. 3. Grant Payments. The Grantee shall be paid by the County for eligible expenses under this Agreement as follows: a. The County agrees to provide the Grantee a total sum not to exceed$38,858 for eligible expenses upon execution of this Agreement and submittal of invoices approved by the County showing purchase orders or receipts for eligible expenditures pursuant to this Agreement including Attachment A: Scope of Work and Budget. 4 of 17 b. The Grantee may submit invoices to the County once per month for eligible costs and expenditures on the project. The Grantee will submit invoices and appropriate supporting documentation such as purchase orders, records of supplies orders, payments, vendor price quotes, or other documentation of eligible expenditures as required by the County. This shall ensure the eligibility of the expenditures consistent with this Agreement prior to payment. Upon review and approval of each submittal by the County,payment will be made to the Grantee using the County's normal bill paying process and cycle. Payment is also contingent on prior submittal of any due progress reports required by Section 10 of this Agreement. c. A final report and final project financial statement is due no later than January 31,2025. The financial statement shall include an accounting of grant revenues and expenditures under this Agreement. The Grantee acknowledges that funds received from the County may be treated as taxable income, when applicable. 4. Grantee's Use of Grant Funds. The Grantee shall ensure that all grant funds expended are necessary to the listed project, and are eligible in accordance with the terms of this Agreement, including Attachment A: Scope of Work and Budget. 5. Termination. The County may terminate this Agreement, for convenience or otherwise and for no consideration or damages, upon 10 days prior written notice to the Grantee. In the event of any default by Grantee hereunder (including but not limited to failure to provide the equipment for the intended purposes defined in this Agreement), upon written notice by the County to Grantee with regard to failure to perform, Grantee shall have fourteen(14) days to cure the default to the County's satisfaction, or if not cured, then the County shall be entitled, without further notice or demand,to give notice of termination. Upon termination, for default, Grantee shall reimburse the County for the difference calculated as the actual grant funding provided minus the total value of actual in-kind consideration services provided,if the value of the consideration is less than the grant. For purposes of determining "total value of actual in-kind consideration," it shall be pursuant to the Grantee's reports pursuant to Section 11 below, or a final report completed upon termination, it being understood that the values set forth in the Budget Table of Attachment A are estimates only, and the actual value may be higher. 6. Independent Contractor. Grantee and the County agree that Grantee is an independent contractor with respect to the services provided pursuant to this agreement. Nothing in this agreement shall be considered to create the relationship of employer and employee between the parties hereto. Neither Grantee nor any employee of Grantee shall be entitled to any benefits accorded County employees by virtue of the services provided under this agreement. The County 5 of 17 shall not be responsible for withholding or otherwise deducting federal income tax or social security or for contributing to the state industrial insurance program,otherwise assuming the duties of an employer with respect to Grantee, or any employee of Grantee. 7. Indemnification. Grantee acknowledges that the designated project is the Grantee's own project, and not the County's or the City of Port Townsend's. The Grantee agrees to defend, indemnify and hold the County and the City of Port Townsend,their officers, officials, employees, agents and volunteers harmless from and against any and all claims, injuries, damages, losses or expenses including without limitation personal injury, bodily injury, sickness, disease, or death, or damage to or destruction of property, which are alleged or proven to be caused in whole or in part by an act or omission of the Grantee, its officers, directors, employees, and/or agents relating to the Grantees' performance or failure to perform under this Agreement. The section shall survive the expiration or termination of this Agreement. 8. Insurance. Grantee shall obtain and keep in force during the terms of the Agreement, policies of insurance as follows: If and only if Grantee employs any person(s)in the status of employee or employees separate from or in addition to any equity owners, sole proprietor, partners, owners or shareholders of Grantee, Worker's Compensation Insurance in an amount or amounts that are not less than the required statutory minimum(s) as established by the State of Washington or the state or province where Grantee is located. Commercial Automobile Liability Insurance providing bodily injury and property damage liability coverage for all owned and non-owned vehicles assigned to or used in the performance of the work for a combined single limit of not less than $1,000,000 each occurrence. General Commercial Liability Insurance in an amount not less than a single limit of one million dollars($1,000,000)per occurrence and an aggregate of not less than two(2)times the occurrence amount($2,000,000.00 minimum) for bodily injury, including death and property damage, unless a greater amount is specified in the contract specifications. The insurance coverage shall contain no limitations on the scope of the protection provided and include the following minimum coverage: a. Broad Form Property Damage, with no employee exclusion; b. Personal Injury Liability, including extended bodily injury; c. Broad Form Contractual/Commercial Liability—including completed operations; d. Premises—Operations Liability (M&C); d. Independent Contractors and subcontractors; e. Blanket Contractual Liability. 6 of 17 The County and the City of Port Townsend shall be named as an additional insured party under both the Commercial Automobile Liability and the General Commercial Liability insurance. Such insurance coverage shall be evidenced by one of the following methods: • Certificate of Insurance; • Self-insurance through an irrevocable Letter of Credit from a qualified financial institution. Certificates of coverage as required by this section shall be delivered to the County within fifteen (15) days of execution of this agreement. Any deductibles or self-insured retention shall be declared to and approved by the County prior to the approval of the contract by the County. At the option of the County, the insurer shall reduce or eliminate deductibles or self-insured retention or Grantee shall procure a bond guaranteeing payment of losses and related investigations, claim administration and defense expenses. Grantee shall include all subcontractors as insured under its insurance policies or shall furnish separate certificates and endorsements for each subcontractor. All insurance provisions for subcontractors shall be subject to all of the requirements stated herein. Failure of Grantee to take out and/or maintain any required insurance shall not relieve Grantee from any liability under the Agreement, nor shall the insurance requirements be construed to conflict with or otherwise limit the obligations concerning indemnification. It is agreed by the parties that insurers shall have no right of recovery or subrogation against the County(including its employees and other agents and agencies),it being the intention of the parties that the insurance policies so affected shall protect both parties and be primary coverage for any and all losses covered by the above described insurance. It is further agreed by the parties that insurance companies issuing the policy or policies shall have no recourse against the County (including its employees and other agents and agencies) for payment of any premiums or for assessments under any form of policy. It is further agreed by the parties that any and all deductibles in the above described insurance policies shall be assumed by and be at the sole risk of Grantee. It is agreed by the parties that judgments for which the County may be liable, in excess of insured amounts provided herein,or any portion thereof,may be withheld from payment due,or to become due,to Grantee until such time as Grantee shall furnish additional security covering such judgment as may be determined by the County. The County reserves the right to request additional insurance on an individual basis for extra hazardous contracts and specific service agreements. 7 of 17 Any coverage for third party liability claims provided to the County by a "Risk Pool" created pursuant to Ch. 48.62 RCW shall be non-contributory with respect to any policy of insurance Grantee must provide in order to comply with this Agreement. If the proof of insurance or certificate indicating the County is an"additional insured"to a policy obtained by Grantee refers to an endorsement (by number or name) but does not provide the full text of that endorsement, then it shall be the obligation of Grantee to obtain the full text of that endorsement and forward that full text to the County. The County may, upon Grantee's failure to comply with all provisions of this contract relating to insurance, withhold payment or compensation that would otherwise be due to Grantee. 9. Compliance with Laws. Guidelines. The Grantee shall comply with all applicable federal, state, and local laws and all applicable requirements (including certifications and audits), in carrying out the designated project and in performance of this Agreement. 10. Limits on Use of Funding. The Grantee MAY NOT use the funding for the following activities: a. Any expense that would not be considered an eligible business expense by IRS rules; b. Political contributions; c. Bonuses to owners or employees; d. Charitable contributions; e. Gifts or parties; f. Draw or salary to owner that exceeded the amount that they were paid on a weekly or monthly basis for the same period in 2019; or, g. Pay down or pay off debt by more than required in underlying debt instrument. 11. Reports. Grantee shall provide the County a final project report and a financial report about its project on or before January 31,2025, subject to County approval. The report shall briefly describe the specific activities performed, identifying specific populations served (by geographic region if available), specific programs created or utilized and include any known or intended outcomes, results or community impacts. The financial report for each project shall identify grant revenues received under this Agreement, as well as other revenues for the project; list expenditure categories, quantities and unit & total costs; and shall calculate any grant fund balance remaining. In addition, Grantee shall provide the following progress reports subject to County approval (see Phase definitions in Attachment A: Scope of Work and Budget): 8 of 17 a. 30 days after Phase A Initial Service period of 90 or more days: Grantee will report on Phase A, including: (i) the number of days porta potties were in place for each tent gathering space, and open to the public including the number and types of porta potties, and their operating hours; (ii) any available metrics on how heavily or lightly the porta potties were used by the public at each tent location; (iii) describe the types of challenges or problems encountered, their impacts, and how the challenges or problems were mitigated; and, (iv) summarize financial information from the start, through the end of Phase A, including a summary of expenditures, and a breakdown of GRANTEE's "at-cost" rate for events. b. January 31, 2022: Year-end report for 2021: Grantee will report about activities in the prior calendar year, including: (i) A summary of sanitation services provided for Phase A activities; Phase B Resumed Cultural Events and Community Festivals; Phase C Winter Holiday Season; Phase D County- and City-sponsored events; and Phase E the homeless population. (ii) the number of events and days,number of porta potties or the restroom trailer were provided and open to the public; (iii) any available metrics on how heavily or lightly the porta potties were used by the public; (iv) describe the types of challenges or problems encountered, their impacts, and how the challenges or problems were mitigated, (v) summarize financial information for the preceding calendar year, such as but not limited to: for Phases A, B, C, D and E, a summary of events serviced at 50% of GRANTEE's regular rate(s); as well as the value of at-cost or below cost services compared to GRANTEE'S regular market rates. c. 30 days after Phase B's first round of Resumed Cultural Events and Community Festivals is complete: Grantee will report on Phase B,the same types of information as the year-end report for 2021, but restricted to Phase B for the entirety of Phase B. d. January 31, 2023: Year-end report for 2022: Grantee will report about activities in the prior calendar year, including the same types of information in the year-end report for 2021, for Phases B, C, D, and E, but also including similar information for Phase F Subsequent Cultural Events/Festivals/Community Events. e. January 31,2024: Year-end report for 2023: Grantee will report about activities in the prior calendar year, including the same types of information in the year-end report for 2021, for Phases C, D, E and F. f. January 31, 2025: Final Report: 9 of 17 (i) Grantee will report about activities in the prior calendar year, including the same types of information in the year-end report for 2021,for Phases C, D,E and F;and, (ii) Grantee will provide a summary report covering all Phases including the In-Kind consideration Grantee has provided for each phase, as well as the total In-Kind consideration summed for all Phases. 12. Maintenance and Audit of Records. The Grantee shall maintain records, books, documents, and other materials relevant to its performance under this Agreement for a period of 6 years. These records shall be subject to inspection, review and audit by the County upon reasonable notice. If it is determined during the course of the audit that the Grantee was reimbursed for unallowable costs under this Agreement, the Grantee agrees to promptly reimburse the County for such payments upon request. 13. Notices. Any notice desired or required to be given hereunder shall be in writing,and shall be deemed received five (5) days after deposit with the U.S. Postal Service, postage fully prepaid, certified mail, return receipt requested, and addressed to the party to which it is intended at its last known address, or to such other person or address as either party shall designate to the other from time to time in writing forwarded in like manner: Grantee Amanda Funaro, Principal Operations Officer Good Man Sanitation 2495 Cape George Rd. Improper Influence. Each party warrants that it did not and will not employ, retain, or contract with any person or entity on a contingent compensation basis for the purpose of seeking, obtaining, maintaining, or extending this Agreement. Each party agrees, warrants, and represents that no gratuity whatsoever has been or will offered or conferred with a view towards obtaining, maintaining, or extending this Agreement. 10 of 17 15. Conflict of Interest. The elected and appointed officials and employees of the parties shall not have any personal interest, direct or indirect, which gives rise to a conflict of interest. 16. Time. Time is of the essence in this Agreement. 17. Survival. The provisions of this Agreement that by their sense and purpose should survive expiration or termination of this Agreement shall so survive. Those provisions include without limitation Indemnification and Maintenance and Audit of Records. 18. Amendment. No amendment or modification to this Agreement will be effective except by written amendment executed by both parries in the same manner as the original Agreement. 19. Governing Law; Venue. This Agreement will be governed in all respects by the laws of Washington state, both as to interpretation and performance, without regard to conflicts of law or choice of law provisions. Any action arising out of or in connection with this Agreement may be instituted and maintained only in a court of competent jurisdiction in Jefferson County, Washington or as provided by RCW 36.01.050. 20. Non-Waiver. No failure on the part of the County to exercise, and no delay in exercising, any right hereunder shall operate as a wavier thereof;nor shall any single or partial exercise by the County of any right hereunder preclude any other or further exercise thereof or the exercise of any other right. The remedies herein provided are cumulative and not exclusive of any remedy available to the County at law or in equity. 21. Binding Effect. This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors. 22. Assignment. Neither party shall assign or transfer any of its interests in or obligations under this Agreement without the prior written consent of the other party. 23. Entire Agreement. This Agreement constitutes the entire agreement between the County and the Grantee for the use of funds received under this Agreement and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written between the parties with respect to this Agreement. 24. No Third Party Beneficiaries. Nothing herein shall or be deemed to create or confer any right, action, or benefit in, to, or on the part of any person or entity that is not a party to this Agreement. This provision shall not limit any obligation which either party has to the Washington State Department of Commerce of these grant funds, including the obligation to provide access to records and cooperate with audits as provided in this Agreement. 11 of 17 25. Severability. In the event that one or more provisions of this Agreement shall be determined to be invalid by any court of competent jurisdiction or agency having jurisdiction thereof, the remainder of this Agreement shall remain in full force and effect and the invalid provisions shall be deemed deleted. 26. Counterparts. This Agreement may be executed in counterparts, any of which shall be deemed an original but all of which together shall constitute one and the same instrument. 27. Authorization. Each party warrants to the other party, that the person executing this Agreement on its behalf has the full power and authority to do so. 28. Public Records Act. Notwithstanding any provisions of this Agreement to the contrary, to the extent any record, including any electronic, audio, paper or other media, is required to be kept or indexed as a public record in accordance with the Washington Public Records Act, Chapter 42.56 RCW (as may be amended), the Grantee agrees to maintain all records constituting public records and to produce or assist the County in producing such records, within the time frames and parameters set forth in state law. The Grantee also agrees that upon receipt of any written public record request, Grantee shall,within two business days, notify the County by providing a copy of the request per the notice provisions of this Agreement. Hunsucker DATE Chief Civil Deputy Prosecuting Attorney 12 of 17 ATTACHMENT A: SCOPE OF WORK & BUDGET Background: This Scope of Work and Budget were developed by Good Man and County, with extensive input from the 2020 ICC Arts&Culture Committee and the City of Port Townsend,in coordination with The Production Alliance under a separate County COVID grant, for the gathering spaces that the sanitation services would accompany. Project Overview Good Man will use up to $38,858 in COVID emergency grant funds from County to support the acquisition, operation, and maintenance of a four-unit-minimum restroom trailer, as well as the use of regular and ADA accessible porta potties to serve COVID relief efforts. The use of the restroom trailer is subject to its delivery and acceptance (see Trailer Timeline below), with other equipment to be used to provide services until the restroom trailer is delivered and accepted. The proposed project includes: A. 2021: Sanitation to support local businesses during PHASE I of StrongerTowns'/The Production Alliance's grant with the County. Good Man will provide sanitation appropriate for the 90 days of two publicly accessible,COVID-safe outdoor gathering spaces and amenities Stronger Towns/The Production Alliance are providing in Port Townsend's Uptown and Downtown historic districts; B. 2021,2022: Sanitation with 50%off of the at-cost rates for the 1st Round of Resumed Cultural Events/Festivals/Community Events; C. 2021, 2022, 2023: Sanitation at-cost for 3 weekends per year in the Winter Holiday Season in downtown Port Townsend; or sanitation for other COVID Response of similar size; D. 2021, 2022, 2023: Sanitation at 50% off of regular rates for County- and City-sponsored events, where the cumulative value of rate reductions shall not exceed $5,400 total for the entire three year period; E. 2021 — 2024: tracking of rate subsidies off of regular rates that Good Man may provide for sanitation for the homeless population; and F. 2022 — 2024: tracking of rate subsidies off of regular rates that Good Man may provide for sanitation for subsequent Cultural Events/Festivals/Community Events after Phase B, above. Equipment: In collaboration with the ICC Arts & Culture Committee and the City of Port Townsend, and The Production Alliance, Good Man has researched and vetted regional vendors to identify which can deliver the highest-quality,affordable restroom trailer for this project,which is tentatively identified as one Satellite Suites Commercial 4-Unit Trailer Model or equivalent. Good Man shall have discretion over the brand/manufacturer, quantity, and cost of the restroom trailer, provided the total grant cost does not exceed $38,858 for equipment, delivery, and licensing, and the item meets the intended purposes under this Agreement. 13 of 17 In addition, Good Man will provide use of Good Man's other portable restrooms (porta potties)as needed for the Operations Plan below, including any necessary to meet ADA accessibility requirements. Operations Plan Good Man will acquire the aforementioned equipment and shall manage it as property of Good Man. Good Man will assume responsibility for: • Insuring all equipment • Scheduling and receiving of equipment • Transporting, positioning, storing, and maintaining all equipment • Servicing and cleaning of equipment,including replenishing supplies of hand sanitizer and toilet paper • Managing reservations and scheduling equipment use • Assess reasonable fees as described in this Agreement, oversee billing and collection • Report any necessary updates or project outcomes to funding source Any event to be held by a third-party and requesting sanitation by Good Man pursuant to this Agreement may require that party to obtain a Special Event Permit from the City or County, and the party and Good Man shall adhere to the restrictions and rules of conduct dictated within such permit. Trailer Timeline: The restroom trailer is on back order and will be in place as soon as possible after purchase, depending on manufacturer and distributor schedules. Phase A - 2021: Initial Service Period of 90 Days or More of Outdoor Gathering Space to Support Businesses Operating During the Pandemic,by providing porta potties and potentially the restroom trailer for COVID-safe outdoor gathering space of tents and amenities in Port Townsend's Uptown and Downtown historic districts in a manner compliant with federal, state and local COVID requirements and guidelines. The Initial Service Period may be extended beyond 90 days, pursuant to the Grant Agreement of StrongerTowns/The Production Alliance with the County. Good Man will coordinate with the City of Port Townsend, StrongerTowns/The Production Alliance, and Main Street in the number, types, scheduling and placement of the sanitation facilities to service the needs of outdoor gathering spaces in two locations: • Tent#1 - Tyler Street Plaza • Tent#2 - Jefferson Community Center Hours of Operation: Sanitation will at a minimum coincide with the operating hours of each outdoor gathering space. It is anticipated that each outdoor space will be open to the public Sunday through Thursday from 12 p.m. until 3 p.m. and Friday through Saturday from 3 p.m. until 7 p.m., but may vary, pursuant to the Grant Agreement of StrongerTowns/The Production Alliance with 14 of 17 the County. Good Man will coordinate with StrongerTowns/The Production Alliance on daily opening and closing of the sanitation facilities. At the conclusion of Phase A, Good Man will remove all equipment from public property. Phase B-2021-2022: 50% Subsidy of Sanitation for First Round of Resumed Cultural Events and Community Festivals throughout East Jefferson County. Good Man recognizes that in addition to the business assistance in Phase A, this COVID grant is intended to support the recovery of the arts and culture sector from the impacts of the COVID pandemic, with associated benefits throughout the economy Jefferson County. Setup and operation of sanitation for approximately 17 or more events will be subsidized at 50% below Good Man's regular rate in partial consideration for the grant support to purchase the bathroom trailer;and is part of providing pandemic-related economic assistance to those non-profit organizations by lowering the operating costs for this initial set of events. A tentative list of Resumed Cultural Events & Community Festivals for Phase B is shown in TABLE 1 on the next page. Good Man will coordinate with StrongerTowns/The Production Alliance to support the COVID- safe outdoor gathering spaces in theist Round of Resumed Cultural Events/Festivals/Community Events, as well as other events selected by Good Man, by providing adequate sanitation services at 50%below Good Man's regular rate. In servicing those gathering spaces and events, Good Man shall provide appropriate numbers and types of porta potties (regular and ADA accessible) and/or the restroom trailer. Good Man will coordinate with Port Townsend Main Street to offer and provide sanitation for up to 3 Winter Holiday Season weekends per year in 2021, 2022, and 2023 at Good Man's actual cost(which is less than Good Man's regular rate), should Main Street wish to order and pay for the services. This may include appropriate numbers and types of porta potties (regular and ADA accessible)and/or the restroom trailer. By mutual agreement of Good Man,Main Street,the City of Port Townsend, and the County, alternate events in the community's recovery from the COVID pandemic of similar size may be substituted, with appropriate payment arrangements made for the reduced-cost service. Phase D - 2021, 2022, 2023: Sanitation at 50% off of regular rates for County- and City- sponsored events,where the cumulative value of rate reductions shall not exceed$5,400 total for the entire three year period. Good Man will coordinate with Jefferson County and the City of Port Townsend to provide sanitation for up to approximately two two-day events sponsored by the County and approximately two two-day events sponsored by the City of Port Townsend, in each year for 2021, 2022 and 2023, at 50%below Good Man's regular rate,paid by the County or the City respectively This may include appropriate numbers and types of porta potties (regular and ADA accessible) and/or the restroom trailer. However the total value of this discount shall not exceed $5,400 total over the entire three-year period. Phase E - 2021 — 2024: tracking of rate subsidies off of regular rates that Good Man may provide for sanitation for the homeless population. Good Man typically chooses to provide some sanitation services to support the homeless population at reduced cost below regular rates to a sponsoring organization. During the four-year period of 2021-2024, Good Man will track and report these services provided for the homeless population and the value of the rate subsidies. Phase F - 2022 — 2024: tracking of rate subsidies off of regular rates that Good Man may provide for sanitation for subsequent Cultural Events/Festivals/Community Events after Phase B, above. Good Man typically chooses to provide some sanitation services to support Cultural Events/Festivals/Community Events at reduced cost below regular rates. After the conclusion of Phase B above, in years 2022-2024, Good Man will track and report these services provided to the organizations sponsoring the events, and the value of the rate subsidies. Project Budget A project budget is shown in the Budget Table on the next page. The County will provide the Grantee a total COVID grant sum not to exceed $38,858 for the purchase, delivery and licensing of a 4-unit restroom trailer for this project, which is tentatively identified as a Satellite Suites Commercial 4-Unit Trailer Model or equivalent upon execution of this Agreement and submittal of invoices approved by the County showing purchase orders or receipts for eligible expenditures pursuant to this Agreement.
