Group
STATEMENT OF ISSUE: Jefferson County entered into a Professional Services Agreement with
Demarche Consulting Group for Leadership and Team Development on July 15, 2019 in the
amount of$46,960. Supplement No. 1 to that agreement for Interim Leadership Services was
subsequently approved on November 4, 2019 in the amount of$97,760. Lastly, Supplement No.
2 for Justice, Diversity, Equity and Inclusion Services (JDEI) was approved on December 21, 2020
in an amount not exceed $5,000 which was to come out of the $46,960 approved in the original
agreement. Demarche has provided JDEI services that exceed the $5,000 not to exceed amount
and have additional JDEI services that will still need to be provided. The County cannot pay
those invoices because of the$5,000 not to exceed limit.
ANALYSIS: Because of the importance of the JDEI services and because there is $6,865 in
unexpended contract authority under the original agreement amount staff recommends
increasing the current JDEI not to exceed amount of$5,000 by$6,865 to $11,865.
FISCAL IMPACT: This request uses authorized amounts under the contract but shifts some
funds from Leadership and Team Development to JDEI services, therefor there is no fiscal
impact.
RECOMMENDATION: That the Board of County Commissioners approve the attached
Supplement No. 3 to the Professional Services Agreement for Demarche Consulting Group for
Leadership and Team Development.

SUPPLEMENT NO. 3 —PROFESSIONAL SERVICES AGREEMENT FOR DEMARCHE
CONSULTING GROUP
The Professional Services Agreement for Demarche Consulting Group, by Jefferson County
and the Demarche Consulting Group, executed on July 15, 2019 for Leadership and Team
Development: Jefferson County Community Development, as amended by Supplement No. 1,
executed on November 4,2019 and by Supplement No. 2, executed on December 21,2020 is hereby
amended as described below in this Supplement No. 3.
That portion of Paragraph a. of Section 4. which currently reads:
Payment for Leadership and Team Development to Support Justice, Diversity,
Equity and Inclusion services shall not exceed$5,000, as provided in Exhibit C.
Is amended to read:
Payment for Leadership and Team Development to Support Justice, Diversity,
Equity and Inclusion services shall not exceed$11,865. Specific services
provided and hourly rates are provided in Exhibit C.
Supplement No. 3 shall take effect immediately upon execution by all parties.
