WHEREAS, Jefferson County is the owner of certain real property containing
approximately 7.75 acres which is not necessary to the future foreseeable needs of
the County, the description of which is set out on Attachment "A" ; and
WHEREAS, Port Townsend Paper Corporation is the owner of certain real
property containing approximately 10 acres, the description of which is set out on
Attachment "B"; and
WHEREAS, Jefferson County Board of Commissioners is desirous of exchanging
the property described in Attachent "B" for the property described in Attachment "A",
and it appears that it is in the best interests of Jefferson County to exchange the said
parcels of property; and
WHEREAS, the exchange of County-owned real property for private property is
authorized by the laws of 1965, 1 st Ex. Sess., Ch 21 RCW 36.34.330;
NOW THEREFORE IT IS HEREBY RESOLVED that the Jefferson County
Prosecuting Attorney should proceed to present this matter to the Superior Court for a
public hearing and authorization to exchange the parcels of property described in
Attachments "A" and "B" herein.

Intent to Exchange County Property: Larry Scott Memorial Park
The purpose of this exchange is to acquire land owned by Port Townsend
Paper Corp. along the railway right-of-way between the Port of Port Townsend
and Mill Rd for Larry Scott Memorial Park. The county property to be exchanged
is a 7.75-acre parcel donated to Jefferson County by H.J. Carroll with a deed
restriction limiting its use to park purposes only. The county has no plans to
utilize this property for county purposes.
The Port Townsend Paper Company will accept the county parcel with the deed
restrictions limiting its use to park purposes only, and in addition will provide
public access to the portion of the parcel directly adjacent to the waterfront trail
for a picnic area. I have met with Jack Carroll regarding this exchange, and it
has his approval.
The railway right-of-way between the Port of Port Townsend and Thomas St. at
the paper mill has two sets of train tracks in place. Port Townsend Paper
requires that an easement for future access along one of these tracks remain
with them or their assignee. I do not foresee this posing a problem for county
use of the property, since Port Townsend Paper is amenable to use agreements
regulating operations involving this stretch of track, such as speed of travel,
hours of operation, frequency of operation, etc. Trail corridors function well as
multi-use areas, and in the event this corridor were to see rail use again it would
be a minimal-intensity use with only an occasional train.
This exchange is a beneficial arrangement for both parties. Port Townsend
Paper will provide the access we have requested at the 7.75-acre site, and will
preserve the site as an undeveloped park-like setting. County residents will
acquire over one mile of 60-foot-wide trail right-of-way (6,810 feet, totaling
nearly 10 acres) and will still have access to the parcel to be acquired by Port
Townsend Paper. It is very beneficial to the Larry Scott Memorial Park project to
be able to make this acquisition without spending limited grant funds, and the
county parcel to be traded will make up a significant portion of the local match
requirement.

PARCEL A:
All that portion of Tax No.7 lying Northerly and Westerly of the
right of way of the former Chicago, Milwaukee, St. Paul and Pacific
Railroad Company, as conveyed by deed recorded June 28, 1919 in Volume
87 of Deeds, page 92, in Section 15, Township 30 North, Range 1 West
of the Willamette Meridian, the whole of said Tax No.7 being
described as follow8, to-wit: Commencing at a point North 35° 22' East
728 feet distant from a copper bolt set in a squared stone on the
South line of the Briggs Donation Claim; thence North 50° 30' West
499.60 feet;
thence North 39° 30' East 1440.10 feet;
thence South 50° 30' East 300.30 feet;
thence South 39° 30' West 380.20 feet;
thence South 50° 30' East 324.70 feet to the meander line;
thence Southwesterly following said meander line to a point which is
