RESOLUTION NO. 37A-85
) WHEREAS, Jefferson County entered into a contract with
Palmer Constructors on September l5, 1983, for the construction of
a new jail for the County; and
WHEREAS, on December 7, 1985, the architect advised the
Board of Commissioners that the contract had been violated in several
specific areas for which, pursuant to Article 14.2 of the contract,
termination of the contract should be sought; and
WHEREAS, Palmer Constructors and its surety, Fidelity and
Deposit Company of Maryland, were notified that Jefferson County
intended to terminate said contract within seven days of receipt of
such notice of termination by the contractor and its surety, and the
contractor was terminated on December 26, 1985; and
WHEREAS, negotiations with Fidelity and Deposit Company
proceeded from December 17, 1984, through May 21, 1985. On May 21,
1985, the surety notified the County that the surety would not
complete the jail.
WHEREAS, it is of prime importance to the citizens of
Jefferson County that the jail be completed in an expedient manner,
which completion necessitates the hiring of a new contractor.
NOW, THEREFORE, IT IS HEREBY RESOLVED, that an emergency
exists and the public interest of Jefferson County would suffer
material financial injury if construction of the jail is not completed
in a timely manner, therefore, pursuant to RCW 36.32.270, it is
resolved that the proposal submitted by pç & D Inc. be accepted with

the condition that PC & D Inc. use the original subcontractors when-
ever possible; savings resulting from such action to be passed on to
Jefferson County.
