THIS AGREEMElfl' made and entered into on this 15th day of Septembel',

as the County
and the State of W8.shingtQn, Department of Highways,
acting by and through its Director, hereinafter designated as the "State" j
WITNESSEl'H:
WHEREAS, the parties hereto.. under the provisions of the Federal .Aid
Road Act of 1944, the amendments thereto and the rules and regulations pro-
mulgated by the Public Roads Administration thereunder, desire to enter into
the construction of that certain Federal .Aid Project No.

from funds to be provided by the Count:r
arid by the Federal Government
under the aforesaid Federal Aid Road Act of 1944 j now, therefore..
IT IS HEREBY AGREED as follows:
I.
The State, as agent acting for and on behalf of the Oounty
shall
advertise for bids, award a contract and construct the abOve described project
all in accordanoe with plans and speoifications as approved by the County
,
the State and the Public Roads Administration.
II.-
During the progress and oonstruction and until final oompletion of the
project, the State will act for the County
in all matters eoncernine
the projeot.
III.
The State will furnish a resident engineer-inspector, or other supervisor,
for the supervision and inspection of the work in progress. Salary of such
inspector, or other supervisor, and all other salaries and costs incurred by
the State engineering forces upon the project will be considered a oost thereof.
If any Count,.
engineering forces are utilized in the conduct of the
work, the salaries and wages of such forces, and any other eJtpsnses incurred
by reason of the employment of the Count,'
personnel, will be considered

Engineer and the Oow;Lty
administrati ve or overhead expense are to be
excluded. Separate records are to be maintained showins the time of each
engineering employee upon the work and each charge' against the project must be
supported by a definite expenditure. All engineering costs incurred by reason
of the employment of the ;Oounty
forces shall be supported by the certifica-
tion of the Sta.te resident engineer-inSpector, or other supervisor furnished
instead of such inspCtctor j before payment, and shall be paid from local
funds, after which payment reimbursement from the project funds shall be mde
to the Oounty
for such payments" e1 ther monthly, or at such times as rre.y
be desirable to the parties upon submission of a voucher to the State Department
of Highways, any suoh voucher shall be suppOrted by certified oopies of payrolls
and all vouchers shall indioate the O'ounty

shall be submitted to the state resident-engineer-inspeotor, or other supervisor
instead of such inspector, in triplicate, who shall in turn certify to the
correotness of the claim. and forward same to the state distriot engineer for
a.pproval. The state district engineer shall process such vouchers in the usual
manner presoribed for state highway business and shall charge the reimbursement.
to the engineering upon the work. All engineering costs incurred by the state
residont engineer-inspeotor and other ensineera and employees of the State,
employed or working on the project, will be paid directly by the State in the
customary manner upon highway payrolls and vouchers, and shall be charged as
costs of the projeot.
IV.
All oosts incurred and paid by the State whioh are denied as partioipating
costs by the Publio Roads Administration in its final audit shall be the oblige.-
tion of the 'Oounty
and shall be included in reimbursement to the state.
v.
The total cost of the project, including all engineering oosts and expenses
of the State, is to be paid from funds furnished. by the Public Beads Administrat-
ion under the Federal Aid Road Act of 1944 and by the Ooant,. from its
Washington Stat. Seventeen thousand seven bundred

From time to time, as circtu::stancee :may require in connection with the
construction and progress of the work, the state will make advances from its
own funds of amounts necessary to pay all costs of the Project. The ,County

VI.
The County
w111 hold the state harmless from arJ:3 and all costs,
claims, demands and obligations of whatsoever nature ar1sins by reason of the
State's participation in or actions for the County'
in connection
with the project.
VII.
That certain MeIllorandum issued by the State of Washington, Department of
Highways, governing financing of county and city projects included in the Federal
Aid Postwar Program, 'such Memorandum being dated February 18, 1946, consisting of
four mimeographed sheets, copy of which memorandum is marked "Exhibit A" and
attached hereto 1 insofar as the provisions thereof are not inconsistent with
matters contained in this agreement, shall .pertaintothe project; the said
memorandum being now referred to and by such reference incorporated herein and
made an integral part hereof.
IN WITNESS WHEREOF the parties hereto baye set thoir hands and seals on the
