ADDENDUM TO EIS COORDINATOR AGREEMENT
THIS ADDENDUM TO THE AGREEMENT is made and entered into on or
about the date set forth below, by and between JEFFERSON COUNTY, a
Washington municipal corporation, acting by and through its Board
of County Commissioners (hereinafter referred to as "Jefferson
County") , and POPE RESOURCES, a Delaware limited partnership
(hereinafter referred to as "Pope Resources") . For and in
consideration of the mutual covenants contained herein, the parties
agree as follows:
1. PURPOSE. Pope Resources has submitted a proposal for a
mixed-use residential, commercial, and recreational development at
Port Ludlow adjacent to the existing marina (hereinafter referred
to as "the Proposal") , which is a component of Pope Resources'
overall development plan in the Port Ludlow area over the next ten
years. Jefferson County is the lead agency and the Board of County
Commissioners is the Responsible Official. Jefferson County hired
an EIS Coordinator to coordinate preparation of the EIS for the
Proposal. Pope Resources provided the initial $5, 000 of salary
expense for that position as per the original agreement. Further
expenditures are now necessary to complete the EIS.
Jefferson County and Pope Resources agree that additional
salary expense not to exceed $1, 500 shall be the mutual and equal
responsibility of the parties. Each party shall pay 50 percent of
the additional salary expense.
The EIS Coordinator shall submit invoices directly to Pope

Resources. Pope Resources shall transmit the original invoices and
a check for 50 percent of the amount stated therein to Jefferson
County. Jefferson County shall forward the Pope Resources Check
and the remaining 50 percent of the invoice amount to the EIS
Coordinator.
All other terms and conditions of the original Agreement
remain in effect.
