HomeMy WebLinkAboutAgreement of Formation JEFFERSON - PORT TOWNSEND REGIONAL COUNCIL AGREEMENT OF FORMATION THIS AGREEMENT made and executed this 25th day of March , 19 74 , by the undersigned public or private corporations and governmental divisions of the State of Washington. WITNESSETH: WHEREAS, THE undersigned, acting through their respective appropiate legis- lative agencies, have each individually determined that it is for the self-interest of each to create a regional council for the purpose of enlarging and formalizing cooperative efforts through planning amongst the several jurisdictions, and WHEREAS, the undersigned have by resolution or ordinance direct their appropriate representatives to participate in the creation of such regional council. NOW, THEREFORE, the undersigned, for and in consideration of the cove- nants and conditions hereinafter contained, agree as follows: SECTION I Pursuant to the laws of the State of Washington a regional council for Jefferson County, State of Washington, to be known as the Jefferson - Port Townsend Regional Council, is hereby created. SECTION II The responsibility and powers of the Council shall be as follows: A. The Council shall act as a research and fact-finding agency of the members thereof. To that end, it may make such surveys, analyses, researches and reports as are generally authorized or requested by a majority of its members. The Council, upon such request or authority may also: 1 . Make inquiries, investigations, and survery concerning the resources of the county; 2. Assemble and analyze data thus obtained and formulate plans for the conservation of such resources and the systematic utilization and development thereof; 3. Make recommendations from time to time as to the best methods of such conservation, utilization and development; 4. Cooperate with other commissions, with the State and with other public and private agencies of the County, State and United States in such planning, conservation and development; -1- .111 B. The Council shall, insofar as possible: 1. Coordinate general planning among and for the several participating members; 2. Provide technical planning assistance with budget limitations to all of the participating members; and 3. Promote and expedite orderly development of the whole of Jefferson County. C. The Council may within its authorized budget engage a single staff director and may authorize him to employ such other personnel as may be necessary to carry out the planning program. The Council may also engage such other special and professional personnel as may be necessary to carry out the planning program. SECTION III Official membership of the Council shall consist of those duly designated official and alternate member-representatives of the undersigned public and private agencies and such other agencies as may hereafter be elected to member- ship by the Council. Prior to the execution of this agreement, each of the undersigned ,member agencies of this Council shall designate an official member- representative to the Council and an official alternate representative. Such official member-representative, or in his absence his official alternate, shall be the voting delegate of the member agency which he represents. SECTION IV The Council shall hold regular bi-monthly meetings and such special meetings as the Council may determine. All meetings shall be held at the time and place designated by. the Council. The Chairman of the Council shall be elected from among the members of the Council. The Council may also select a secretary who may be one of its members or its Staff Director. The fiscal year of the Council shall be the calendar year. SECTION V Upon the execution of this agreement, the Council thereof shall meet and adopt comprehensive and complete by-laws for the operation of the Jefferson - Port Townsend Council. SECTION VI An annual work program shall be adopted by the Council not later than September 1st each year for the ensuing year beginning January 1 in order that the various member agencies may properly prepare their budgets. and plan their -2- I expenditures to carry out their financial obligations incurred in furtherance of the work program. Such work program shall be consistant with the needs of the member agencies. SECTION VII The total budget proposed for the operation of the Council shall be prepared and forwarded to the Council by its staff or Chairman by July 1 of each year, so that the budget may be reviewed by each member agency in ascertaining its appropriations and/or share of the work load. Such budget shall become final only after each member agency has adopted the member agency's own budget showing the member agency's appropriation to the Jefferson - Port Townsend Regional Council for the next ensuing year and the Council has met to make final alloca- tion of available funds to the program of the Council. Authority is also granted for the acceptance of such lawful grants of money, gifts, services, and use of property as may be appropiate to the furtherance of these joint efforts. SECTION VIII All funds and appropriations paid to the Jefferson - Port Townsend Council shall be deposited to a special account in the office of the Jefferson County Treasurer. Expenses and lawful claims against the Jefferson - Port Townsend Regional Council shall be disbursed by the Treasurer upon warrents drawn by the County Auditor upon vouchers approved by any One of the officers of the Jefferson - Port Townsend Regional Council. SECTION IX No participating agency shall withdraw from membership in the Jefferson - Port Townsend Regional Council within any budget year so long as there is out- standing any incomplete contract for State or Federal Planning assistance to the Council.
