AGREEMENT
THIS AGREEMENT is made and entered into this � 4 day
of . 1978 , between BAYSHORE ENTERPRISES , INC. , a
Washington non-profit corporation, hereinafter referred to as
"Bayshore, " and JEFFERSON COUNTY , hereinafter referred to as the
"County. " This agreement supersedes that agreement made by the par-
ties hereto under date of July 26 , 1976 .
WITNESSETH:
WHEREAS, the parties to this agreement are both concerned
with the welfare of the handicapped and retarded citizens of eastern
Jefferson County; and
WHEREAS , it is recognized that services for this identified
population are not offered elsewhere in eastern Jefferson County;
and
WHEREAS , BAYSHORE states that it is capable of providing
the services and meeting the requirements set out below;
Now, Therefore,
IT IS AGREED as follows :
(1) BAYSHORE will operate an Activity Center which will
offer the following described, on-going activities to meet the needs
of the severely disabled:
(a) Home , personal and community living skill
training, to develop each individual' s ability to survive
as independently as possible in the community.
(b) Physical development and recreational training,
to develop each individual' s ability to function physically
to the best of his ability by use of physical development
and recreation techniques.
(c) Work training and evaluation, to develop
appropriate vocational skills to enable the individual to
obtain gainful employment in the labor market.
(2) BAYSHORE will utilize community facilities to provide

various recreational activities , including bowling swimming.

Experienced supervision and instruction will be utilized in con-
junction with these activities .
(3) BAYSHORE will maintain a staff to client ratio of
not less than one to twelve and will use the professional resources
and volunteers of the community to meet the program needs of each
individual served where appropriate.
(4) The parties hereto will abide by the provisions of
WAC 275-25-030 (6) and basic agreement 9301-LTG-11781 between the
Department of Social and Health Services and Jefferson County.
(5) The parties hereto agree to provide to the secretary
of DSHS on request such program and fiscal data as the secretary
reasonably requires and authorize the secretary to make periodic
inspection of facilities and to evaluate the performance of the
contract. The secretary and the State Auditor shall have the
authority to inspect all records and other material which they deem
pertinent to the contract.
(6) The parties hereto shall maintain books, records ,
documents and other evidence and accounting procedures and practices
which properly reflect all costs expended in the performance of this
agreement. BAYSHORE will retain all books, records , documents and
other material relevant to this agreement for five years after
settlement and the Office of the State Auditor , Federal Auditors
and any persons duly authorized by DSHS shall have full access to
and the right of examining any of the said materials during said
period.
(7) Title to all property furnished by DSHS shall remain
in DSHS . Title to all property purchased by BAYSHORE for the cost
of which BAYSHORE is entitled to be reimbursed as a direct item of
cost under this contract shall pass to and vest in DSHS upon delivery
of such property by the vendor. Title to other property, the cost
of which is reimbursable to BAYSHORE under the contract, shall pass
to and vest in DSHS upon: (1) issuance for use of such property in

the performance of this contract; or (2) commencement of use of such
property in the performance of this contract; or (3) reimbursement
of the cost thereof by DSHS in whole or in part, whichever first
occurs.
Any property of DSHS furnished to BAYSHORE shall, unless
otherwise provided herein or approved by the contracting officer,
be used only for the performance of this contract.
BAYSHORE shall be responsible for any loss or damage to
property of DSHS which results from willful misconduct or lack of
good faith on the part of BAYSHORE or which results from the
failure on the part of BAYSHORE to maintain and administer in
accordance with sound management practices to insure that the
property will be returned to DSHS in like condition to that in which
it was furnished to BAYSHORE.
Upon the happening of loss or destruction of or damage
to DSHS property, BAYSHORE shall notify the contracting officer
thereof.
BAYSHORE shall surrender to DSHS all DSHS property prior
to settlement upon completion or cancellation of this agreement.
(8) During the performance of this agreement neither
the county nor BAYSHORE shall discriminate against any employee or
applicant for employment on the basis of religion or as provided
in Chapter 49 . 60 RCW.
(9) BAYSHORE will not, on grounds of race , color, sex,
religion, national origin, creed, marital status , age or presence
of any sensory, mental or physical handicap :
(a) Deny an individual any services or other benefits
provided under this agreement.
(b) Provide any service (s) or other benefits to an
individual which are different, or are provided in a
different manner from those provided to others under this
agreement.
(c) Subject an individual to segregation or separate

treatment in any manner related to his receipt of any
service (s) or other benefits provided under this agreement.
(d) Deny any individual an opportunity to participate
in any program provided by this agreement through the pro-
vision of services or otherwise , or afford him an opportunity
to do so which is different from that afforded others under
this agreement. BAYSHORE, in determining (i) the types of
services or other benefits to be provided; or (ii) the class
of individuals or whom or the situation in which, such
services or other benefits will be provided; or (iii) the
class of individuals to be afforded an opportunity to parti-
cipate in any services or other benefits will not utilize
criteria or methods of administration which have the effect
of subjecting individuals to discrimination because of their
race, color, sex, religion, national origin, creed, marital
status , age or the presence of any sensory, mental or physical
handicap or have the effect of defeating or substantially
impairing accomplishment of the objectives of this agreement
in respect to individuals of a particular age , race , color,
sex, religion, national origin , creed, marital status , or
those with the presence of any sensory, mental or physical
handicap.
(10) This agreement will continue in effect from year
to year unless terminated by mutual agreement or by written Notice
of Termination by either party not less than ninety (90) days prior
to the end of each annual period.
