THIS AGREEMENT, is made and entered into this 1st day of January 1978,
between Jefferson County acting through the Board of County Commission-
ers, hereinafter called the "County", and the Clallam-Jefferson County
Community Action Council acting through its "Board of Directors" here-
inafter called the "Council".
WHEREAS, the County desires to operate the Jefferson County Health
Department in an efficient manner, and
WHEREAS, the County has considered a number of alternatives for the
administration of the Jefferson County Health Department, and
WHEREAS, Gael Stuart, serving at the pleasure and direction of the
Council has the capability of providing administrative services for
the Jefferson County Health Department, and
WHEREAS, the County finds it reasonable, efficient, and desirable to
purchase administrative services from the Council,
NOW THEREFORE, in consideration of the terms, conditions, covenants
and performance contained herein, an attached and incorporated and
made a part thereof the parties hereto agree as follows:
I. SCOPE OF WORK
The Council through the services of Gael Stuart shall provide full
administration services for the Jefferson County Health Department.
These services are listed in part below.
1. Administration of personnel under the personnel policies adopted
by the Jefferson County Commissioners. This includes development
of work schedule and employee accountability.
2. Preparation of the annual budget and proper control of expenditures
and receipts of the program.
3. Program development in consulation with the Department Staff and
the Health Department Board.
4. 4ssing responsibility under the direction of the Health Officer
to see that the health regulations of the State of Washington and
Jefferson County are properly carried out.
5. To attend the regular monthly meeting of the Board of Health and
prepare the meeting agenda.
b. To meet regularly with the Health Department staff and keep them
informed of the actions of the Board of Health.

7. To prepare reports or supervise their preparation as required by
the State of Washington, Jefferson County or United States of
America.
8. All of the above services shall be provided by Gael Stuart directly
under the direction of the Jefferson County Board of Health.
II. SERVICE COSTS AND PAYMENT
The Council shall be paid by the County for services rendered under
this contract as provided hereinafter:
The County shall compensate the Council a total sum of Three Thousand
Dollars ($3,000.00). Said compensation shall be paid by the County
according to the following schedule upon receipt of an appropriate
Invoice from the Council:
On or about April 1, 1978 - $750
On or about July 1, 1978 - $750
On or about October 1, 1978 - $750
On or about December 1, 1978 - $750
In the event of termination of this contract, the County shall compen-
sate the Council in an amounty equal to $250 per man-month of services
rendered.
III. CONTRACT PERIOD AND TERMINATION
This contract shall be effective January 1, 1978.
Upon sixty (60) days written notice either party may terminate this
contract. If the contract is terminated, payment for all services
provided shall be made in accordance with provisions of Section III
above.
IV. INDEMNITY
The County hereby agrees to hold the Council harmless from any loss,
and shall process and defend at its own expense, all claims, demands
or suits at law or equity of whatever kind or nature brought against
the County arising from the Council's performance or failure to perform
the provisions of this contract.
V. AMENDMENT
The terms of this contract, including but not limited to the schedule
of service costs, may be amended in writing by the parties hereto.
