BY -LAWS OF BECKETT POINT FISHERMEN CLUB
KNOW ALL MEN BY THESE PRESENTS:
ARTICLE I
'That the purpose for which this corporation is formed are the following:
1. To provide a recreational area for members of the corporation.
2. To promote and stimulate interest in salt water fishing, and provide for competition.
3. To promote, by precept and example, the highest standards of sportsmanship.
4. To aid in the dissemination of information touching upon the propagation and preservation of
game, game fish and food fish.
5. To assist in the observation and enforcement of our game laws.
6. To purchase, lease from others, and otherwise acquire, sell, convey, transfer, lease to others, and
otherwise dispose of, mortgage, or otherwise encumber real or personal property.
That the corporation shall have the capacity to act possessed by a natural person. But this corporation shall
have authority to perform only such actions as are necessary and proper to accomplish its purpose and
which are not repugnant to law.
ARTICLE II PERFORMANCE OF THE CORPORATION
SECTION 1. The affairs of the corporation shall be managed to achieve the purpose of Article I and to best
serve the interest of the members. Commercial ventures for profit and other considerations are
expressly prohibited. Long term non-transient rental of cottages is permitted.
SECTION 2. Actions by the Officers and the Board of Trustees shall be in accordance with these By-
Laws and Rules and Regulations for Building, Sanitation and Grounds of Beckett Point Fishermen
Club, and no such actions shall be at variance with the Articles of Incorporation and Member
Lease Agreements.
ARTICLE m MEMBERS

SEqwpN 1. Active membership of this organization shall be limited to persons who have subscribed to
-{ I the form of agreement previously adopted for the acquisition of leasehold to a lot or subdivision of
~:;! land of the real estate of the corporation or successors and assignees and whose annual dues and
,~I assessments, if any have been currently paid.
) I A. New members may be admitted upon the same basis, provided applications for membership
I are approved by a committee and concurred by the Board of Trustees.
" B. Participation in the activities of the organization shall be restricted to members, immediate
1 families and guests.
I C. In the event an active member sells his property, voting rights of the active member and the
;;:,;, f right to hold corporation office shall be assigned to the buyer.
~-: D. No individual shall be allowed to have more than one vote regardless of the number of lots
c'': I owned by an individual.
SECTION 2. Social membership shall be accorded to persons interested in the privilege of using the club
premises and endowments provided that candidates make application for membership, are
interviewed and approved by the Board of Trustees.
A. Social members shall conform to applicable club rules and pay dues as stated in Article IV
Section I.
B. Social membership is not transferable, and is required of and shall be limited to persons in
the following categories:
1. Adult members of leasehold's family who use the club premises on a regular basis
or for sustained periods of time.

2. Persons considered being friends of the club who seek the privileges of Social
Membership but are not otherwise associated with the organization. For this group, a
quota for any year(s) shall be set by the Board of Trustees. Application for membership
will be considered when the numbers of such members of the previous year are
detennined to be in good standing by March 31 of the then current year.
3. Persons dwelling as renters in the cottage of an active member. Rental agreements
shall be for single occupancy only; multiple simultaneous arrangements shall not be
permitted. Leaseholders shall remit all fees for social membership, yearly dues, water or
any other fee as a result of renting. Further, Leaseholder shall ensure that said renter
fully complies with all terms as stated herein for Social Members. Social Membership
shall cease when the rental arrangement is terminated with the Leaseholder.
C. Social Membership does not include any property interest in club holdings or voting
privileges.
ARTICLE IV
DUES, ASSESSMENTS, AND TAXES
SECTION 1. Annual dues and assessments, ifany, shall be in addition to the payment to be made under
the agreement referred to in Section 1 of Article IV of these By-Laws, and shall be fixed by a
majority of quorum at a regular or special meeting.
SECTION 2. Corporate land tax divided equally among leaseholds and personal property tax on
improvements on individually identified leased parcels are assessed by Jefferson County. Said
taxes are billed to and payable by the Corporation. The amount due on each leased parcel shall be
billed to lessee as soon as practicable by the Secretaryrrreasurer.
SECTION 3. Taxes, Annual Dues, and assessments, if any, shall accrue from the 1st Day of January of
each succeeding year and shall become due upon the due date noted on the billing statement at
which point., if not received, they shall be declared delinquent. Delinquent payment of taxes, dues,
and assessments shall result in a 5% surcharge upon the delinquent amount. In addition, the
delinquent amount shall accrue an interest penalty of 1.5% per month (18% annual) upon the
unpaid balance. The President of the Club shall cause a letter to be sent to the delinquent
leaseholder 30 calendar days after the date of delinquency demanding immediate payment of the
delinquent amount. The delinquent leaseholder shall have 15 days to respond after which time the
matter shall be referred to legal counsel for appropriate action. All attorneys' fees, filing fees,
court or other fees incurred by the club resulting from the matter shall be reimbursed by the
delinquent leaseholder to the club or shall become an assessment against the subject delinquent
leaseholder's property, payable immediately. Nothing in this article shall preclude the delinquent
leaseholder from appealing the matter to the club's Board of Directors. If the resolution of the
Board of Directors is unsatisfactory to the delinquent leaseholder, he/she may invoke the dispute
resolution process contained in the Rules and Regulations. The findings/order of the dispute
resolution board shall be the final decision of the Beckett Point Fishermen Dub regarding the
matter.
ARTICLE V
MEETINGS
SECTION 1. The Annual Meeting of the Active Members shall be on the 1st Saturday of July.
SECTION 2. Special Meetings of the Active Members may be called at any time by a two-thirds majority
of the whole Board of Trustees or by the Secretary upon request of any fifty members in good
standing.
SECTION 3. Notice of all special meetings of the members, stating the time and place, in general terms
the purposes thereof, shall be mailed by the Secretary to each member in good standing at his or
her address, at least five days prior to the date of the special meeting.
SECTION 4. A quorum shall consist of 40 members in good standing.
SECTION 5. Each individual who has subscribed to the agreement as specified by Sectionl, Article ill of
these By-Laws shall be entitled to one vote. Ballots shall be distributed to Lessee as they sign the
register at the Annual Meeting.
SECTION 6. Robert's Rules of Order shall govern all proceedings.

, The president shall be the chief executive of the corporation and shall preside at all meetings of the
members and of the Board of Trustees; have general charge of the position of the corporation; and shall
execute, with the Secretary, all instruments authorized by the Board of Trustees.
ARTICLE VI
TRUSTEES
SECTION 1. The corporate powers, business, and property of the organization shall be exercised,
conducted and controlled by a Board of ten Trustees.
SECTION 2. The Board of Trustees, when authorized by a majority of a quorum present at any regular or
special meeting, shall have full power to borrow money on behalf of the corporation, including the
power and authority to borrow money from any of the members, trustees or officers of the
corporation, and otherwise incur indebtedness on behalf of the corporation, and to agree to pay
interest thereon: to sell, convey, transfer, assign, exchange, lease, and otherwise encumber the
property real and personal, on behalf of the corporation; and generally to do and perform, or cause
to be done and perform any and every act which the Corporation may lawfully do perform
EXCEPT a poll of the entire membership with a majority vote will be required in all instances
calling for borrowing of money, mortgaging or the sale, conveyance or purchase of real estate.
SECTION 3. Stated meetings of the Board of Trustees shall be held each quarter at such time and place as
the President may designate.
SECTION 4. Special meetings of the Board of Trustees shall be called at any time on the order of the
President or on the order of a majority of the Trustee.
SECTION 5. A majority of the whole number of Trustees shall constitute a quorum for the transaction of
business.
SECTION 6. Election of Trustees shall take place at each Annual Meeting in July. Trustees shall hold
office for a period of three years and may serve two consecutive terms if nominated by other than
the retiring members of the Board of Trustees.
SECTION 7. Vacancies in the Board of Trustees shall be filled by appointment of the Board of Trustees.

SECTION 1. The executive officers of the corporation shall be a President, Vice-President, Secretary, and
Treasurer, provided however, upon direction of the Board of Trustees, the duties of the latter two
officers may be combined.
SECTION 2. All officers must be active members in the organization.
SECTION 3. The officers shall be elected by leaseholders in good standing. A majority of votes cast
exclusive of blanks will be elect. Officers shall hold offices for one year or until their successors
are elected. Because of the administrative burden as well as the willingness and qualifications of
the available candidates, the Secretary shall be appointed by the Board of Trustees.
S'eCTTON 4. Officers and Trustees shall be deemed to stand in fiduciary relation to the corporation and
shall discharge the duties of their respective positions in good faith and with that diligence, care
and skill which ordinarily prudent men would exercise under similar circumstances in like
positions.

ARTICLE IX
VICE-PRESIDENT
The Vice-President shall be vested with all the powers and shall perform all the duties of the President in
case of the absence of disability of the President
ARTICLE X
SECRETARY
The Secretary shall keep the minutes of all proceedings of the members and the Board of Trustees in books
provided for that purpose. The Secretary shall execute with the President, in the name of the corporation,
all instruments authorized to be executed by the Board of Trustees.

ARTICLE XI
TREASURER
The Treasurer shall keep, or cause to be kept, full and accurate accounts of receipts and disbursements in
books to be kept for that purpose. The Treasurer shall receive and deposit all monies of the corporation,
and shall disburse the funds as may be directed by the Board of Trustees, and shall in general perform all
the duties incident to the office of the Treasurer.
ARTICLE xn
CLUB PROPERTY AND HOLDINGS
SECTION 1. An audit of club finances and an inventory of property will be accomplished annually and a
report of condition by the Treasurer, and a detailed report to be made to members in the Annual
Bulletin.
ARTICLE xm
BY-LAW CHANGES
These By-Laws may be altered and amended at any meeting of the organization, providing a quorum is
present, by a majority vote of the active members.
