Trendwest Resorts, Inc. (Developer) was established for the purpose of acquiring and marketing resort properties
and recreation facilities through a vacation club concept. Trendwest is a direct wholly-owned subsidiary of Wyndham
Vacation Ownership, Inc (Formally known as Cendant Timeshare Resort Group, Inc.), which is a subsidiary of Wyndham
Worldwide Corporation ("WVVC"~ ' a publicly-traded, New York Stock Exchange Cornpany, whose principal executive

THE PROGRAM: HISTORY AND GENERAL INFORMATION

World Mark, The Club is a Nonprofit Mutual Benefit Corporation organized under the Nonprofit Mutual Benefit
Corporation Law of California on July 18, 1989. The speCific primary purpose for which the corporation is formed is to
care for, own, lease, maintain, operate and manage the real property and improvements thereon and personal property
therein which it owns, wherever located, which has been dedicated to the World Mark, The Club Vacation Owner Program
by a declaration recorded by Trendwest Resorts, Inc. ("Declarant"), an Oregon Corporation. The term "Member" is used
instead of "Owner" in the organizational documents of the Club to express that the .Owner" of Vacation Credits has a
"Member" relationship to the Club.

The World Mark, The Club program is designed for resort vacations. The Program is structured to offer flexibility
in vacation length and location.
Trendwest Resorts, Inc. is the promoter of the WorldMark, The Club Vacation Ownership Program. Trendwest
Resorts, Inc. established WorldMark, The Club, a California Nonprofit Mutual Benefit Corporation, on July 18, 1989, as an
owner association to hold and manage all World Mark, The Club Vacation Credit Owner interests. Trendwest Resorts, Inc.
acquires properties at its sole expense, dedicates them through recorded covenant to World Mark, The Club Owner use,
and transfers the interest in these properties to the Club, retaining the right to sell all World Mark, The Club property usage.
The WorldMark, The Club Declaration of Vacation Owner Program which Trendwest Resorts, Inc. records
against each resort property, dedicates the properties to WorldMark, The Club Owner use, and defines how the
World Mark, The Club Vacation Owner Program operates. This Declaration provides for a distribution of the usage time in
World Mark, The Club resort units to the WorldMark, The Club Owners through a fixed inventory of points or credits.
(C1) THE NATURE OF THE VACATION CREDITS WHICH YOU ARE PURCHASING
You are purchasing Vacation Credits which give you a right to participate in the corporate ownership of
WorldMark, The Club properties. World Mark, The Club is a Nonprofit corporation, which owns or leases Units
and Resorts and manages those units and the Vacation Credit program for the usage and benefit of the Vacation
Credit Owners. Your ownership interest in WorldMark, The Club entitles you to voting rights to elect WorldMark,
The Club board members and to vote on certain major Club decisions, and a right to participate in the corporate
ownership, along with other Vacation Credit Owners, in all WorldMark, The Club assets including the World Mark,
The Club Resort Unit properties. Your level of ownership and usage rights is determined by the number of
Vacation Credits you purchase.
(C2) USE OF VACATION CREDITS
World Mark, The Club resort units can be used only through the application of World Mark, The Club
Vacation Credits or Bonus Time. Owners may individually rent out to non-Owners or allow guests use of that
Vacation Credit time to which they are entitled, and may allow guests to use their Bonus Time subject to Club
rules. Rentals may be subject to local limitations.
To obtain use of Vacation Credits, the Owner must make reservations by telephoning the Reservation
Department at (425) 498-3600 or (800) 457-0103 and giving the basic stay information needed to make the
reservation. Reservations may be made thirteen (13) months in advance to forty-eight (48) hours in advance.
Fourteen (14) days before usage, units are subject to reservations for "Bonus Time". All reservations are made
on a first come, first served, space available basis.

(C3) CARRY-OVER AND BORROWING OF VACATION CREDITS
1) Carrv-Over: Vacation Credits which remain unused at the end of each anniversary year will
automatically carry over for us~ during the subsequent year, and will expire at the end of that year. Usage will be
charged first against any carry-over Vacation Credits and then against the current year's Credits.
Vacation Credits might be carried over for longer periods by changing them into time periods and
"banking" those periodswith an independent exchange organization whenever WortdMark, The Club may make
such organization available to its Owners. See Section P of this Public Offering Statement for a description of
the current exchange program.
2) Borrowina: Owners may use their Vacation Credits one year in advance, borrowing against the
succeeding year's assignment of Credits.
(C4) BONUS TIME
"Premier Owners" can buy additional usage time which is paid for and reserved at each usage. This is
called "Bonus Time". Please see Section D3 for an explanation of "Premier Owners".
Conditions of bonus time usage may be established by Club Guidelines (rules).
(C4) OWNER/CLUB GUIDELINES (Rules)
The Owner Agreement and Club Declaration and Bylaws provide for the adoption and amendment of
Club Guidelines (rules) by the owner association, WorldMark, The Club, for the benefit of Owners and the
management of the resorts whether general rules or applicable to specific resorts. These rules may govern the
following subjects, among others: A) Reservations; B) Number of occupants and guests and fees; C) Charges for
use of specific facilities; D) Personal conduct and behavior; E) Check-out times; F) Care and maintenance of
units and facilities; G) Conditions for the use and purchase of Bonus Time; H) Rental of units by Club to non-
Owners when not in use by Owners.
(C5) RESTRICTIONS AFFECTING OWNER'S USE AND ENJOYMENT
The Club Declaration and Club Guidelines set forth the rules ofthe Club including restrictions that affect
owners' use and enjoyment. The Club Guidelines and a prototype of the Club Declaration are in the WorldMark
Vacation Owner Program Governing Documents booklet that has been provided to you with this Public Offering
Statement.

Some resorts and/or units may have limited kitchen, recreational and/or parking facilities. Please
contact your Vacation Planning Center at 1-800 -457-0103 for details.
Pursuant to the developer's rights reserved under the declaration, units may be used for sales and
marketing purpose, and will not be available for reservations during such time.
The common areas of World Mark, The Club-owned resorts are operated and maintained byWortdMark,
The Club. The common areas of resorts where WorldMark, The Club does not own all of the units are operated
and maintained by each project's master association.
The furnishings in WorldMark, The Club-owned resorts are owned and maintained by WorldMark, The
Club. Your right to use them results from your ownership of Club Vacation Credits. In projects where WorldMark
does not own the furnishings, the furnishings are owned and maintained by a master association. WortdMark,
The Club is a member of the master association and your right to use them results from your ownership of Club
Vacation Credits.
There mayor may not be security services provided at the WorldMark Resorts. Any security services
that are provided may be temporary. If you are concerned about the level of security provided presently, or what

All promised improvements have been built or are in the process of being built at resorts that are in the
construction process. A completion bond is issued in favor of WorldMark, The Club and held in Escrow until all
construction has been completed and certificate of occupancy have been issued.
(01) TYPE. PRICE AND NUMBER OF WORLDMARK. THE CLUB UNITS

Use of each accommodation unit requires a certain number of credits depending upon the location of
the unit, the size and/or type of unit, the season of the year and the day of the week. These credit values are
shown for each resort in Table 2. The total Vacation Credit inventory for sale is shown in Table 2. This
inventory is registered under state timeshare laws, and can be increased only by the addition of more units. This
system of irrevocable allocation and registration protects purchasers by establishing a fixed inventory of time
available.
There is a pool of usage time available to Owners, which is the total of all the time registered in all of the
units. The pool of usage time is allocated among the Owners through a Point system called "Vacation Credits".
The minimum number of Vacation Credits to establish rights in WorldMark, The Club is 5,000, though the
minimum number that can be purchased is usually higher than this. Please see the above Section D for an
explanation of the types of units in the World Mark, The Club Program. Effective April 1, 2006, the price for
Vacation Credits is $1.77 per Credit. Owners may upgrade their Vacation Credit package by purchasing
additional Credits at any time, provided they are available in the WorldMark, The Club inventory of Vacation
Credits. Pricing for credits sold to existing Owners may vary depending upon the number of credits purchased.
Vacation Credit pricing is subject to change. The Vacation Credits purchased renew annually at no additional
cost during the term of the membership. World Mark, The Club currently owns 4,876 units located in 71 resort
locations.
(02) IDENTIFICATION AND LOCATION OF UNITS

(03) TYPES AND DURATIONS OF MEMBERSHIPS

The Program is marketed and sold as two different types of ownership of Vacation Credits: "Standard
Vacation Credits" which usually last for 40 years, and "Premier Vacation Credits" which last perpetually. Both
types of Ownership include the same usage and voting benefits, except that: (i) the rights expire at the end of
forty (40) years for Standard Ownership of Vacation Credits; (ii) Standard Owners cannot use Bonus Time.
(04) NUMBER OF UNITS TO BECOME PART OF THE WORLDMARK. THE CLUB
VACATION CLUB PROGRAM

Trendwest Resorts, Inc. is continually adding inventory as sales are made. However, to avoid
overburdening the Club with operating costs of unsold inventory, Trendwest Resorts, Inc. plans to pace its
acquisitions and increases to WorldMark, The Club inventory in a manner that creates enough surplus for sales
between registrations of properties without creating an excess.
There is no contractual obligation by Trendwest Resorts, Inc., to WorldMark, The Club for increasing
World Mark, The Club inventory; nor does WorldMark, The Club have any contractual obligation to the Owner to
increase WorldMark, The Club inventory.
(05) MAXIMUM NUMBER OF UNITS THAT MAY BECOME PART OF THE WORLDMARK. THE
CLUB VACATION CLUB PROGRAM

There is no maximum number of units that may be added to the WorldMark, The Club Vacation Club
Program.

PROMOTER ARRANGED FINANCING

Trendwest Resorts, Inc. offers WorldMark, The Club Vacation Credits on an installment sales basis to purchasers
of Premier ownerships that have credit standing acceptable to Trendwest Resorts, Inc. and World Mark, The Club.
Trendwest Resorts, Inc. does not finance the purchase of Standard ownerships. The terms ofthis financing can range as
follows:
Aqreement Pavment Period: The period for installment payments of an Owner Agreement can range from one to
ten years.
Discounts: Discounts may be offered to purchasers as a bonus for deciding to purchase on the first visit or for
the percent of down payment made by the purchaser. These discounts may be offered to installment purchasers
from time to time for pre-payment of contracts. There are no restrictions against or penalties for pre-payment.

OWNERSHIP OF ALL PROPERTIES

Trendwest Resorts, Inc. has assured future availability of program properties by transferring all property interests
to the Nonprofit cooperative owner association, WorldMark, The Club, unaffected by any debt encumbrance. These
properties are also transferred to the Club subject to a covenant or declaration, dedicating their use to the World Mark, The
Club Vacation Owner Program. By virtue of these legal arrangements, no loss of resort usage can occur to Owners as a
result of bankruptcy, debt or future transactions of the Promoter, Trendwest Resorts, Inc.
World Mark, The Club, the owner association, does itself have the right under the owner agreement and the
Declaration of Vacation Owner Program, to change the location and specific nature of units and resorts. However, in
making such changes, the Club is always obligated to provide comparable units and resorts. This provision allows Club
management the ability and flexibility to satisfy Owner needs and desires as real estate and/or recreation opportunities
change.
In summary, future availability of properties is assured in the following way: WorldMark, The Club, the owner
association, holds and controls the Club properties for the full term acquired in the property, through purchase or lease,
unaffected by debt encumbrances, and for the sole benefit of Owners, until the Club desires to exchange the property for
equivalent or more desirable property. Please refer to Section D. CLUB PROPERTIES for a description of legal interests
and any encumbrances to title for specific World Mark, The Club properties.

VACATION OWNER AGREEMENT

At the time you purchase Vacation Credits, you will be asked to sign a Vacation Owner Agreement. This
Agreement is a contract with Trendwest Resorts, Inc. for the purchase of Vacation Credits and with WorldMark, The Club
to accept a membership in the Club and abide by the Rules and Regulations of the Club.
You will receive, in addltion to this Public Offering Statement, a Resort Directory, a booklet entitled "WorldMark,
The Club Vacation Owner Program Goveming Documents" which contains the following documents:

(G3) PURCHASE MONEY HANDLING
Purchaser's funds will be deposited into Developer's general operating account and no restrictions will
be placed on the use of these funds.
(G4) SECURITY INTEREST
The Vacation Owner Agreement gives World Mark, The Club a security interest in the Agreement to
assure the fulfillment of Agreement terms.

MANAGING AND SERVICING THE PROGRAM

World Mark, The Club has entered into a Management Agreement with Trendwest Resorts, Inc. which engages
Trendwest Resorts, Inc. as the exclusive managing and servicing agent for the World Mark, The Club Vacation Owner
Program. The Agreement is for three years beginning October 1, 1989, and is automatically renewed annually, unless
certain notices are given by either party for termination.
Trendwest Resorts, Inc. may sub-contract on-site management services, such as guest registration, cleaning and
maintenance to local management entities at particular resorts or which are located near particular resorts. This will be
especially true in cases where WorldMark, The Club does not have a majority of the units available for its use. Trendwest
Resorts, Inc. does intend to continue its management role of World Mark, The Club indefinitely even if sales stop at some
time in the future.
For a complete and detailed description of the duties and obligations ofTrendwest Resorts, Inc. as the managing
entity, please refer to "Section 5" of the "Management Agreement" with WorldMark, The club. You will find a copy of this
Agreement in the booklet entitled "World Mark, The Club Vacation Owner Program Governing Documents" which you will
receive at the time you receive this Public Offering Statement.
Generally, as Manager of World Mark, The Club, Trendwest Resorts, Inc. shall provide or cause to be provided all
services and personnel required to administer the affairs of the Club and to manage and operate the Vacation Club
Program contemplated by the Declaration, consistent with the governing documents, the resolutions of the Board and
Owners, and the Management Agreement. The management services broadly cover Club administration, finance,
property and resort usage. The annual compensation to Trendwest Resorts, Inc. for managing WorldMark, The Club will
be fifteen percent (15%) of the budgeted annual expenses and reserves of the Club, exclusive of manager's fee.
The Board of Directors of World Mark, The Club have the authority, through the Bylaws, to select management or
terminate management for cause. The Owners of the Vacation Credits elect the Board of Directors, and by a majority vote
can prevent an automatic renewal of a Management Agreement.

MARKETING AND SELLING THE VACATION OWNER PROGRAM

In consideration for developing the WorldMark, The Club Vacation Owner Program and paying for the cost of
properties, Trendwest Resorts, Inc. has obtained from WorldMark, The Club the exclusive right to market and sell all
Vacation Credit usage in WorldMark, The Club properties and keep the gross proceeds from such sales.
Trendwest Resorts, Inc. uses its own marketing and sales staff. All Washington sales staff are registered
timeshare salespersons under the Washington State Timeshare Law. Most sales occur off-site and are not subject to site
inspections. Thorough information on units available for Owner use is presented in this disclosure document and at the
time of sale. This information is considered to be a fair disclosure for a purchase decision.
Based upon prior experience, the Developer's costs of sale can be categorized as sales costs, marketing costs,
and administrative costs. Sales costs include payrnents to the sales staff and the costs of any incentives given to
purchasers. Marketing costs include any advertising, printing, mailing, incentives given to tour guests as well as fees paid
to any party that generates such tour guests. Administrative cost include such genera~ eC)msel\~ rent, utilities,

and salaries to administrative staff involved in contract preparation and escrow processes. Based upon the past
experience of Trendwest Resorts, these costs of sale total approximately 49.69% of sales proceeds.

OWNER COSTS OTHER THAN PURCHASE PRICE AND DUES

. Costs beyond the actual purchase price and dues, which Owners may incur are as follows and are subject to
change:
Facilitv Use: At present, the only facility charges may be for the use of cribs and roll-away beds which might be
made available. World Mark, The Club could require other specific use charges in the future, but only on equipment or
facilities added after the purchase of Vacation Credits. Charges for roll-away beds and cribs may vary from resort to
resort, but are minimal.
Housekeepina Service: World Mark, The Club pertorms regular housekeeping service once every seven days
and at checkout. Additional housekeeping service is available at your request. You are provided one free housekeeping
service annually for use of Vacation Credits. Any additional housekeeping service connected with the use of Vacation
Credits is charged to you at the following rates per service, these rates are subject to change:

Regular housekeeping service during Bonus Time usage is already paid for by the Bonus Time fees and is not
subject to the above listed fees.
Owners who purchased prior to July 1, 1991 are not subject to any housekeeping service fees for their use of
Vacation Credits. The cost for this benefit and the benefit of one free housekeeping service annually to purchasers who
purchase after July 1, 1991, is paid for from the annual assessment revenue from all Owners. There is one additional free
cleaning annually for each increment of 10,000 Vacation Credits owned above the first 10,000 Vacation Credits owned for
those subject to Housekeeping Service Fees.
Reservations: World Mark, The Club does not charge for making reservations.
Damaaes: The Owner will be charged for any damages Owner causes over and above normal wear and tear,
and must pay this charge before any further use of the program.
Sales and Occupancv: Any sales or occupancy taxes levied by a govemmental entity upon unit usage will be
paid by the Owner.
Offsite Parkina: Any offsite parking charges will be paid by the Owner.
Late Fees: Retail Installment Contract payments, dues or assessment payments that are late will be subject to a
late fee and if not remedied, interest charges at the maximum allowable by law.
Initial or Specific Fees Due at Closina: In addition to the purchase price, each purchaser is required to pay a
Processing Fee, which is currently $199.00. This fee is used to cover the costs associated with processing the sales
documents including things such as document preparation expenses, personnel and related expenses, office and

overhead expenses and other related expenses. There are no other initial or special fees due from the purchaser at
closing other than those outlined in the Retail Installment Contract Vacation Owner Agreement. This Processing Fee is
subject to change.

The WorldMark, The Club Board determines the annual operating budget to provide for Club operating
expenses and capital reserves for each year. This budget is funded by Owner's Annual Dues payments and
reimbursement payments to the Club from Trendwest Resorts, Inc. Under this budget the annual dues, effective
June 1, 2006, are indicated in the example below. Annual dues are subject to change based on the Board-
approved annual operating budget.

The Annual Dues shall be paid by Owners in advance, beginning at the time of purchase, and paid in a
manner as determined by the Board. Dues shall be paid to WorldMark, The Club, at 9805 Willows Road,
Redmond, Washington 98052. The due date for the first Dues payment shall be within forty-five days of the
date of purchase.
World Mark, The Club is obligated to pay all Homeowners Dues for each project in which World Mark,
The Club operates its Program, but is not in control of the project "Master Association". This expense is one of
the expenses included in the WorldMark, The Club annual budget, which forms the basis for WorldMark, The
Club Owner Dues. Indirectly, therefore, Owners are charged for the expense of Master Association
assessments or dues through World Mark, The Club assessments or dues.
DEFAULT OF THE PAYMENT OF ANNUAL DUES, AS WELL AS OTHER DEFAULTS, CAN RESULT
IN THE LOSS OF OWNERSHIP OF VACATION CREDITS, THE DECLARING OF ALL UNPAID BALANCES
DUE UNLESS PROHIBITED BY LAW, AND THE RETAINING OF ALL MONIES PAID AS DAMAGES.
(K2) METHOD OF DETERMINING DUES AND DUES CHANGES
RCW 64.36.140(11)(b)
The World Mark, The Club Board of Directors shall determine and fix the Dues to be levied against each
Owner for the coming year. The Board shall determine the Annual Dues based upon the following formulas:
Dues Formula: $ x = annual dues base for year.
$ x per year for each Basic Membership of 5,000 Vacation Credits.
Plus 30.4% of x per year for each additional 2500 or portion thereof in the same Membership.
The projected World Mark, The Club operating budget is based on known costs of similar operations and
WorldMark, The Club's own operating history. WorldMark, The Club Bylaws require the preparation and
distribution to Owners of the annual operating budget, and certain financial reports. Owners may also inspect
the financial records of the Association. Refer to "Section 7" of the World Mark, The Club Bylaws for a detailed
description of member rights in regard to these matters.
Since World Mark, The Club Dues are based on actual operating expenses, it is anticipated that Dues
will increase only in proportion to normal inflationary increases in operating costs. Club Bylaws limit Dues
increases by the World Mark, The Club Board of Directors to no more than the higher of the following two
amounts above the annual Dues for the immediately preceding fiscal year: (I) five percent (5%), or (ii) the
percentage increase in the U.S. Consumer Price Index for all Urban Consumers in the United States.

Under paragraph 6.2 of the Bylaws, the Club may levy special assessments as follows:
Special Assessments may be levied at any time upon determination by the Board that such
assessments are necessary for capital improvements or major expenses, repairs or acquisitions for which no
reserves have been established, for deficiencies in such reserves, or for any purpose related to the mutual
health, safety and welfare of the Owners pursuant to the Articles, Declaration, Bylaws and Rules.
No special assessments shall in the aggregate exceed five percent (5%) of the budgeted gross
expenses of the Club for the current fiscal year without the approval of a majority of the voting power held by
Owners other than the Declarant (Trendwest Resorts, Inc.).

SECURITY FOR WORLDMARK. THE CLUB OPERATING COSTS

Trendwest Resorts, Inc. pays dues on unsold Vacation Credits held in inventory. These dues are a prorated
share of the Club's annual budget and are calculated based on the number of assessable Vacation Credit units which
Trendwest Resorts, Inc. holds; an assessable Vacation credit unit is defined as the average number of Vacation Credits
purchased per Owner.

Vacation Credits may be transferred entirely or partially at any time during their term and without limitation to the

RCI has agreed to provide its exchange program to owners of Vacation Credits in the Club. Trendwest is not an
agent for RCI and any representations or promises made by Trendwest, or their agents, are not binding on RCI. RCl's
responsibility for representations regarding RCI exchange programs, as well as RCI current or future services, is
limited to those made in written material furnished by RCI. Trendwest and RCI are both subsidiaries of a common
parent company; however, Trendwest makes no representations or warranties as to an Owner's ability to obtain any
particular exchange or as to any services, rates or charges of RCI. Participation in the RCI program is entirely
voluntary and subject to applicable membership fees payable to RCI.
