HomeMy WebLinkAboutTyler Technology re: EnerGov Intergration/PH - 032723• ••••*' tyler • terhnoloiec, AMENDMENT This amendment ("Amendment") is effective as of the date of signature of the last party to sign as indicated below ("Amendment Effective Date"), by and between Tyler Technologies, Inc. with offices at One Tyler Drive, Yarmouth, Maine 04096 ('Tyler") and Jefferson County, Washington, with offices at 1820Jefferson Street, Port Townsend, Washington 98368 ("Client"). WHEREAS, Tyler and Client are parties to an agreement dated July 17, 2018 ("Agreement"); and WHEREAS, Tyler and Client desire to amend the terms of the Agreement as provided herein. �— NOW THEREFORE, in consideration of the mutual promises hereinafter contained, Tyler and Client agree as follows: 1. The services set forth in the Investment Summary attached hereto as Exhibit 1 are hereby added to the Agreement. Services added to the Agreement pursuant to this Amendment, along with applicable expenses, shall be invoiced as provided and/or incurred. 2. The scope of utilization of the service hours quoted shall be allocated for and limited to: a. Consulting services to support the Client's third -party integration development with the previously purchased Application Programming Interface. Services are provided with the objective of correcting data transfer to and from the third -party software with no guarantee of success. b. Project Management services to coordinate the consulting services. 3. This Amendment shall be governed by and construed in accordance with the terms and conditions of the Agreement. 4. Except as expressly indicated in this Amendment, all other terms and conditions of the Agreement shall remain in full force and effect. ANALYSIS/STRATEGIC GOALS/PROS and CONS: This amendment is necessary to support the third -party integration development with the previously purchased Application Programming Interface (API) with the objective of correcting data transfer to and from the third -parry software known as "Online RME". FISCAL IMPACT/COST BENEFIT ANALYSIS: The "Septic - Other On -Site /Wastewater Management" (Program Code: HEH548) funding source from the Washington State Department of Health will be used to cover this expense.
