HomeMy WebLinkAboutO3A By-Laws OLYMPIC AREA AGENCY ON AGING ADVISORY COUNCIL BY-LAWS ARTICLE I : PURPOSE The Advisory Council shall advise and make recommendations to the Olympic Area Agency on Aging (03A) staff and Council of Governments in the following areas: 1 . Identify needs of the elderly and persons with disabilities on a priority basis within the four- county project area; 2 . Review the comprehensive area-wide plan and recommend priorities and changes in the plan; 3 . Recommend how funds should be allocated according to priorities and counties; 4. Develop viable goals and objectives for the 03A; 5 . Review program applications and recommend to 03A which programs and service providers should be contracted, and 6 . Provide other technical assistance as needed, including operations conducted under the plan. ARTICLE II : MEMBERSHIP Section 1 . Number of Representatives. The Council shall consist of up to eighteen ( 18) members . There will be four (4) resident representatives each from Clallam, Jefferson, Grays Harbor, and Pacific counties, one ( 1 ) representative from a major ethnic/racial minority group within the four- county area, and one ( 1 ) member who shall be a locally elected official appointed by the Council of Governments. The representative from the major ethnic/racial minority group and/or the locally elected official may be one of the county resident representatives or the seventeenth/eighteenth member. Counties may appoint an alternate to stand in for one of the resident representatives. Section 2 . Ad Hoc Participants. The Council may invite persons with special interest or expertise to participate in its deliberations but these participants will not be eligible to vote on proposals or other business of the Council . Section 3 . Character of Representation. The Council shall be comprised of persons who, in the judgment of the board of Revised May 1991 county commissioners are supportive of and advocates for programs and/or concerns affecting the senior population and persons with disabilities of the service area. A majority of the members shall be at least 60 years off age and considered as consumers as opposed to providers of services. Included will be older persons in greatest economic or social need. Section 4. Appointment and Terms of Office. Appointment shall be made by the Board of Commissioners of the respective counties. The terms of service of each representative member of the Council shall be specified as three-year appointments by the board of county commissioners who shall retain full authority to replace or return such representative for successive terms . New members shall take office at the next regular council meeting following formal appointment. ARTICLE III : OFFICERS Section 1 . Officers . The officers of the Council shall be a chairperson, vice-chairperson, recording secretary, and other officers the Council may deem either permanently or temporarily necessary. Section 2 . Election of Officers. Officers shall be elected to a one-year term of office by the Council annually at its first meeting of the calendar year, and take responsibility the following month. No officer may serve more than three (3) consecutive terms of office. Officers serving in 1991 shall be eligible for three additional one-year terms of office. ARTICLE IV: CONFLICT OF INTEREST Section 1 . No member of the Council shall vote on a proposal or resolution if that member has a conflict of interest. A conflict of interest shall be defined as being employed by or serving as a policy board member of an agency or organization submitting a proposal, progress report, etc. , for consideration by the Council and/or O3A. Section 2 . Challenges for conflict of interest. Any member is qualified on motion, if seconded, to challenge the authority of any other member to vote on any issue. A majority vote will determine qualification to vote based on provisions of Article IV, Section 1 . ARTICLE VI : AMENDMENTS Section 1 . These by-laws may be amended by a majority vote of the Council members at any regular or special meeting of the Council, provided that Article V requirements have been Revised May 1991 met, that such meeting notification has been accompanied by written proposed amendments or changes, and that all such amendments and/or changes are subsequently ratified by the Council of Governments.
