Statement of Issue: Execution of Change Order #2 to the contract with Ovivo USA,
LLC for supply of the Membrane Bioreactor (MBR) wastewater treatment plant
equipment for Port Hadlock.
Analysis/Strategic Goals/Pro's tt Con's: Change Order #2 adds $438,000.00(plus
WSST) to the contract for a master control panel (materials and on-site support). The
master control panel will be used to coordinate communications between Ovivo and
non-Ovivo provided equipment. Since the bid was submitted, design has been
modifided to enhance overall operations of the treatment plant; reduce odors;
enhance operation in the future by buffering the effects of low and high flow events;
provide emergency power and sludge thickening.
Fiscal Impact/Cost Benefit Analysis: Change Order #2 is for $438,000.00. 100-
percent of the funding for this work comes from State Dept. of Commerce revenue
that has been dedicated to this project.
Recommendation: Public Works recommends that the Board sign Change Order #2
where indicated and return signed change order to Public Works for further
processing.

This External Change Notice(ECN) is issued pursuant to the current contract between Port Hadlock("Client")
and Ovivo("Vendor"), effective September 6', 2023. This ECN is subject to the terms and conditions
contained in the contract between the parties and is made a part thereof.Any term not otherwise defined
Czherein shall have the meaning specified in the contract. In the event of any conflict or inconsistency between
the terms of this ECN and the terms.of the contract,the terms of this ECN shall govern and prevail.
Proposal Overview
Tetra Tech has requested Ovivo, as per"RFP—Ovivo SCADA Integration 02162023" (attachment#1),to
provide a proposal for the Port Hadlock WWTP project to cover additional scope related to the three items
listed below.
1) provision of a new Master Control Panel for non-Ovivo provided plant equipment,
2) services related to the programming and integration of all plant equipment into new panel,
3) provision of a plant SCADA system*.

'At this time Ovivo cannot commit to scope 3) of providing a plant SCADA system, and we regretfully need to
decline offering a proposal for this scope. As Ovivo does not generally provide services related to SCADA
programming it would be a scope that we would have to subcontract out; and therefore,we feel we would
not provide enough reasonable value for the client in taking on this scope and only end up providing
additional overhead and management costs.
In this proposal Ovivo gives an overview of the scope being offered, including both material and labor, related
to items 1) &2)above.
Ovivo Scope of Supply
Ovivo has taken the requirements laid out in Tetra Tech's RFP and have applied them to the August 2022
version of the P&IDs(attachment#2) and the 90%design Electrical Enlarged Site Plan (attachment#3). As this
is the basis of Ovivo's proposal, any future changes of the equipment depicted in these drawings, due to the
maturing of the design, is open for future changes.
• Supply/program—new Master Control Panel, located in Electrical room/chemical storage.

will count against 15 business day balance.
• Training of staff during installation and commissioning on the HMI and program use

Note: Ovivo assumes all starters/VFDs to be either Allen Bradley or Schneider, any other

Technical Services Rate sheet at time of scope execution.

Tetra Tech to design final location of new Master Control panel and all conduit runs from
plant equipment. Ovivo to provide design input as needed.

General Contractor to unload panel from delivery truck and install into final location within
plant.
Electrical Contractor to make all wiring field runs and land all wires within panel. Ovivo to

Pricing and Commercial Terms
• Item 2 to oe billed in full week increments. If third week is not utilized,then the third week will not
be billed.
• Standard Terms are 30 days NET, interest charged at 1 %%per month (18%) per annum on
outstanding balances. Please refer to contract terms for a reference point.
• Pricing are net,taxes are not included.
• Prices are valid for 30 days from proposal issuance date. If a formal purchase order is not received
and accepted within this validity period Ovivo reserves the right to review and adjust pricing and lead
times as necessary.
• Prices are quotes in US Dollars unless otherwise noted.
• No allowances have been included for bonds of any kind.
Warranty
Warranty terms will remain consistent with Ovivo's project warranty statement, with the scope
contained within this proposal being covered by Part 2 of the Ovivo M.BR System Warranty.
General Notes
Pricing is based on the use of Ovivo standard design,equipment engineering submittals(IFI),
materials of construction, QA/QC procedures and documentation.

RFP Description:
Ovivo to provide full integration services during construction for all MBR and non-MBR equipment.A list
of anticipated services includes, but is not limited to the following:
Services:
• Create Process Flow Diagram showing the high-level connectivity between the control systems
o OV: Controls specific or expand standard PFD?
■ Tt: OV to create control block diagram for controls portion
o P&ID:
■ Tt: OV to take over MID ownership for extended scope,to own control and
make update to control line as needed
• Detailed control sequence of operation
o OV: expanded SCC
• Integration of field instruments to local/remote controllers
o OV: tie in additional instruments into local 10
o Tt: currently have an OV panel and plant panel
o OV: evaluate distance between 10 to determine remote 10 or panels, prefer less wiring
and more ethernet

The scope would include setting up a SCADA server and remote workstation within the Administration
Trailer using remote desktop services, or equal.The goal is to provide a single unified SCADA platform,
fully integrated without need for novel interfaces between MBR/Non-MBR SCADA platforms, or which
would otherwise require separate operator consoles for MBR versus non-MBR processes.
The quote is to be based upon the phase 2 100%drawings and specifications. Please refer to the
following specification sections, which shall be utilized as minimum requirements for the quote:
• Section 409002 Testing and Commissioning
• Section 409600 SCADA System Software
• Section 409635 Programming
Quote to include a construction phase submittal to be submitted from Ovivo through the Contractor.
The quote should also include costs for site visits,testing, training, and record documentation of the
new SCADA system.
