In the Matter of an Assignment of Support and Maint- }
enance Agreement from Government e-Management }
Solutions, Inc. to Harris Computer Corporation }
RESOLUTION NO. 01-07
WHEREAS, the Jefferson County did enter into an Agreement with Government e-
Management Solutions, Inc. (GEMS) to use various financial software programs; and
WHEREAS, that Agreement did include provisions for future maintenance and
support of said financial software programs; and,
WHEREAS, Government e-Management Solutions, Inc. (GEMS) did sell the
ownership and rights to said financial software programs to Harris Computer Corporation;
and,
WHEREAS, Government e-Management Solutions, Inc. (GEMS) has requested that
Jefferson County consent to the assignment of the Agreement from Government e-
Management Solutions, Inc. (GEMS) to Harris Computer Corporation; and,
WHEREAS, the County Administrator and Central Services Director are supportive
of this assignment,
THEREFORE BE IT RESOL VED, that the Board of Commissioners hereby
consents to the assignment of the Agreement to Harris Computer Corporation and the
assumption by Harris Computer Corporation of Government e-Management Solutions, Inc.
(GEMS) obligations under this agreement; and,
BE IT FURTHER RESOL VED, that the Board of Commissioners hereby releases
Government e-Management Solutions, Inc. and its affiliates from any obligations that may
arise under or related to the Agreement.
