So I will restate what I just said, which is I will call the special meeting of the Jefferson County Board of Commissioners to order. 12:31:14 And we are here today to discuss the emergency shelter located at the American Legion and a professional service agreement with Bayside Housing and an MOU and lease with the American Legion. 12:31:29 So I'm going to turn this over to My colleague, Commissioner Brotherton, has been working very actively on this project. 12:31:37 Sure, thank you, Heidi. And, you know, I know Kate would want to be here, but she is, I think, literally on a plane right now. 12:31:44 But Phil, well, I'll let go into more details about the specifics about what we're considering today, but. 12:31:52 You know, we're just trying to get stuff done to make sure that we maintain operations at the emergency shelter right now in an uninterrupted fashion. 12:32:00 So there were a few. Last minute. Negotiations I'll say and the contract that we signed on Monday needed some amending really just to the parties on it from a 3 party to a 2 party. 12:32:13 And then we also had the professional. Complete at the time of the Monday meeting, but is ratified or is complete now and ready for us to ratify. 12:32:22 I think the copy we have is a signed copy from Bayside too. So Bayside did vote to authorize it so pretty much with our kind of slight pivot on the MOU and, approval of the professional services agreement. 12:32:38 I believe we have everything in place to, approval of the professional services agreement. I believe we have everything in place to maintain continuous operation of the emergency shelter at the American Legion. 12:32:46 With that, I'll pass that with. 12:32:46 And so we need, we need action on a couple of items today that are, that reflect what Commissioner Brotherton was. 12:32:53 Was saying. Or the base side, I'll start with the base side agreement first.st 12:33:06 Okay. 12:33:10 So, this is what we've been calling the funding. Agreement and aside from some really minor changes. 12:33:18 Okay. 12:33:19 The biggest change is here. And on in this section E. For E just to give them some cushion in case there's an extraordinary expense or something. 12:33:34 Good. 12:33:34 That causes them to go over. $25,000 a month, then they can get approval from the county, administrator. 12:33:43 For an additional payment that month. Of $10,000. But they can't exceed the total amount of $300,000 over a year. 12:33:53 That and that's a little different from what we talked about on Monday. I would call it a tweak. 12:34:00 Just to deal a practical tweak. And so I think the wisest thing would be to, to authorize Commissioner Brotherton to sign this version. 12:34:12 Of the, of it or because it's already set up for his signature. You wanted to do a caveat basically a carve out so If we get that donation like for food, like in our budget, I think it's $7,500 for food. 12:34:38 And if they get coast says, oh, here's $30,000 for food. They wanted the amount above the budgeted amount to be separate from our contribution. 12:34:50 So if they got $7,500 worth of donation for food, that would deduct from our contract with them. 12:34:56 But anything over that donated specifically for that budget item or for something that's not a budgeted item, that would be above and beyond our contract with it. 12:35:04 So commissioner brother has correct brother 10 has correctly described how it works. The thing that's different is we added donations to grants from when we talked about it. 12:35:14 Last time I think the other language is basically the same because it refers to the budget and exhibit. Exhibit A and I think we just, we might have tweaked the language a little bit to make it explicit that it's the budget and exhibit exhibit A. 12:35:29 Here, but the main thing is we added donations. The American Legion's intention, but they really only wanted to have that MOU between the county and the American Legion. 12:37:35 So we. We made that adjustment. So There will be an MOU between. 12:37:42 The American Legion and the County to run the shelter and then we are and they know that we have a contract, a professional services Agreed to, that we will use to contract with Bayside. 12:37:57 So it doesn't change any of the communication pathways or anything really just the Contracting pathways and it made them more comfortable. 12:38:04 So.
