'b'1'4 JCJl 1\&5) STATE OF WASHINGTON County of Jefferson In The Matter Of Extending } A Non-Exclusive Franchise } On County Road Rights-of- Way } Millennium Digital Media (Cable TV) } RESOLUTION NO. 75-07 WHEREAS, Millennium Digital Media has been authorized to provide, and has provided cable television service within Jefferson County pursuant to Jefferson County Resolution No. 63-81; and WHEREAS, the franchise granted pursuant to Resolution No. 63-81 did expire on June 23,2006 and it is the desire of Jefferson County and Millennium Digital Media to continue to provide cable television service within Jefferson County; and WHEREAS, the parties desire that the cable television service being provided by Millennium Digital Media shall continue without interruption during the period of time that the parties are negotiating a new franchise agreement; and NOW, THEREFORE, BE IT RESOLVED by the Board of Commissioners in and for the County of Jefferson as follows: SECTION 1: The terms and provisions of said Jefferson County ordinance are hereby extended for a period of approximately one (1) year, to and including September 1, 2008, and Millennium Digital Media shall continue to have a franchise to provide the services identified in Resolution No. 63-81 for and during such a period. As provided in below, the parties agree that the former franchise ordinance, is obsolete and should be replaced with a new and revised ordinance, and this renewal and extension of the prior franchise is entered into on an interim basis, and upon reaching agreement respecting, and the adoption of, a new franchise agreement and ordinance, and thereafter this extension shall be of no further validity or effect provided, however, that any obligation imposed by the said Resolution No. 63-81 and this extension, which shall have accrued prior to the effective date of the successor ordinance, shall survive the adoption of such successor ordinance. SECTION 2: Jefferson County and Millennium Digital Media agree hereby to continue to negotiate in good faith to reach agreement upon a successor ordinance, superseding the terms and provisions of Resolution No. 63-81 and this extension. Millennium Digital Media, the Franchisee, shall accept ofth terms, conditions and obligations hereof, which includes all ofthe te s, conditions and obligations of the original Jefferson County Resolution No. 63 81, except only as modified herein.
