C O N T R A C T THIS AGAEE~dEI~T made and entered into this 6 day of December, A.L. 1816, between the Bo~-rd of County Commissioners of Jefferson .County, Washirgtfln, hereinafter called the Board, and James H. Coyne of Port Townsend, ~,ashington, hereinafter called the Contract~ar, ~ITIdESSETH: That in consideration of the payments, covenants, and agreements hereinafter mentioned, to be made and performed by the Board, the Contractor hereby covenants and agrees as follows: 1. To do all the work and furnish all the materials necessary tv con- struct, impr~ave and complete, the Public Highway known as the hest Val- ley Chimacum Road, between stations 0+00 and Station SO+00, in ace®rd~ ante with, and as described in the attached profiles, maps, plans, and Specifica~.tions, which are hexeby made a part here®f, and shall have the same affect as though the same were fully inserted herein, and in full compliance with the terms, conditions, and stipulativna of this ogre e meet. II. ,~ ,.: The Contractor shall pr@vide, and be at the expense of, all mat~ar~ isle, labor, carriage, tools, implements, and conveniences and all things of every description that may be requisite for the transfer of materials, and for improving, constructing, and completing the work above described. III. It is understood and agreed by and between the parties hereto that the work included in this contract is to be dons under the direction and supervision of the County Engine®r, or the Constuction Engineer, who may be dssigns,ted the Engineer in Charge by the Board, and hereinaf~ ter called the Engineer, and his decision as to the true conatructicn and meaning of the profiles, maps, Plana. and specifications and esti~ mates shall be final. It is also understood and agreed that such additional drawings and explanations as may be necessary to detail and illustrate the work are to be furnished by the Engineer, and the Con- tractor s,grees to conform to and abide by the same s~ far as may be consistent with the purpose and intent of the original drawings and specifications. IV. Should the Contractor, at any time, refuse or neglect to supply a sufficiency Qf pr©per skilled workmen or of materials of the proper quality, or fail, in any respect, to prosecute the work Frith promptness and diligence, mr fail in any respect in the pexfcrmance of afterf the agreements herein contained, the Beard shs.ll b® at liberty, three days written naticg to the Contractor, to provide any such labor or_materials and to deduct the cost thereof frorr~ any moneys then due or thereafter to became due to the contractor under this contract; and if the Engineer shall certify that such refusal, nbglwritt~nf notice, is sufficient grflund for such action, the Beard may, y terminate the employment of the Coontractor for the said Mork and enter upon the premises and take possession of all„the materials, tools and appliances thereon for the purpose of completing the work included under this c:ontraet, and employ, by contract or otherwise, dnY Peramn ®r persons to finish the work, and provide the materials therefore and in case of such discontinuance of the employment of the contractor, he shall. not be entitled to receive any further balance ®f the s.m©unt to be paid under this contract until the work shall be wholly finished, at which time, if the unpaid balance of the amount to be paid under this c©ntract shall execs the expense incurred by the Board in finishing the wprk, such excess shall be paid by the Board to the Contractor, but if such expense shall exceed such unps.id balance, the Contractor ,shall pay the difference to the Board. ~. It is further agreed by the Contractci~' herein, or any sub-con- tractor or contractors employed by hire shall~be subject to the provis- ions of said act as provided and required by Section l7 thereof. ' VIII. All payments under this contract shall be made by the County. Treasurer upon warrants drawn by the County Auditor upon presentation of proper vouchers by the Contractor. Said warrants to be drawn upon the County Road & Bridge Fund in the manner provided by law. Ix. X. Thv Contractor shalll provide sufficient, safe and proper facilities at all ties for the inspection of the work by the Board or its author- ized representatives. The said Contractor shall furnish without charge to the Board or its authorized representatives, samples or cement or other materials used in construction, as said samples may be required, in order that the character of such materials may be determined. All materials and methods shall be subject to the e,pproval of the Engineer. Defective work or material may be cond~mnad by the Engineer at any time bef9re the final acceptance of the work. Notice of condemnatie~n shall be given in writing by the Engineer. Such condamnead work wall be im- mediately removed, takencbe~i or changed. Defective material shall be immediately removed or disposed of tea the satisfaction of t:~e Engineer. Failure or na~glect ®n the part of the Engineer to condemn uxies,tisfac-~ tary material or to reject inferior workmanship shall in no way release the Contractor, nor shall it be construed to mean the acceptance of such work, nor shall the final acceptance bar-thr County @f Jefferson from recovering damages in case fraud was practised. Time lost in re- placing such inferior wmrk shall furnish no ground to the contractor far claiming an extenaifln of time for the completion of the work. Incompetent, careless or negligent employes shall be forthwith discharged by the contractor upon the written request of the Engineer in charge, and failure to comply with such request will be sufficient ~raund for the termination of this contract as provided for in this Article or in Article IV hereof. Should the Contractor be delayed in ~• ~I the prosecution or completion of the wn$k by the act, .neglect or der fault of the Board or Engineer in charge, or of any other contractor employed by the Board upon the work, or by any damage caused by fire or other casus,lty for Which the Contractor is not responsible, or by combined action of workmen in no way caused by or resulting from the acts default or collusion on the part of-the Contractor, the tine herr~in Elrod for the completion of the work shall be extended for a period equivalent to the time lost by reason or all or any of the causes ' aforesaid, which extended period shall be determined and fixed by the Board, a,nd such eixtension shall be in fall settlement for all damages arising therefrom to the Contractor; but no such allowance shall be made unless a claim therefor is presented in writing to the Board within ten days after the occurenco of such delay. xz.
