! WHEREAS, the Port of Port Townsend does not have adequate equipment or faCilitiJs

Ii w-IEREAS, the County has the necessary personnel, equipment and facilities to ::
Ihandle the maintenance, repair and construction of the city streets, and in consideration of ;i
I'the mutual covenants and agreements herein contained and pursuant to the laws of the State of :1
i,washington, in particular R.C.tv. 35.77.020 and 35.77.030,

i!noted city streets of the City of Port Townsend within port property to the same standards
i!provided by the County in the unincorporated area of the County. Sohedule of said work to be
:mutually agreed upon the "County" and the "Port" prior to performance of said work.

'! 2. The County shall further provide the necessary engineering and administrative
:!services necessary for the planning, establishment and maintenance of the streets wi thin the '
I:port property, including engineering and clerical services necessary and in providing such ser..:
iyices, the County Engineer may exercise all the powers and perform all th e duties vested by ;i
lilaw or by ordinance in the City or Town Engineer or other officer or department charged with
:!street administration.

;i 3. The Port hereby agrees to pay to the County the oosts of the work performed
~bY the County Road Department on the actual cost of labor, equipment rental, engineering,
;'materials used in the construction or maintenance work involved, plus all costs for fringe
[Ibenefi ts to labor, including, but not limited to, Social Security, retirement, industrial in-
i!surance and medical aid costs, prorated sick leave, holidays am vacation time, and group
i'!medical insurance. In addition thereto, five (5%) per cent of the total costs shall be added
iifor overhead costs fa: accounting am billing and administrative services; provided tha t the
i:County shall submit to the Port a certified statement of the costs within thirty (30) days,
lithereafter the Port shall pay to the County the amount of said statement.

II 4. It is understood and agreed between the parties hereto that the Port will
Ipold the County harmless from all claims, losses, demands, actions or causes of action of any
[,nature whatsoever by reason of the performance of this agseement by the County. The Port
lifurther agrees to defend, at its own expense, the County in the event that any action is

i;employees because of or in any way arising out of the work to be performed under this contract

Ii 5. The Port agrees to procure and maintain in full force and effect. and the
itounty to be named as a named insured, public liability insurance in the sum of not less than
!: $100,000.00 to $300,000.00 public liability and $25,000.00 property damage.

ii 6. It is understood and agreed between th e parties tha t this contract cannot
ihe assigned, transferred or any portion subcontracted hereunder by the County without the
iprior written permission of tl1e Port.
