I SCOPE OF WORK
The Agency will provide all the work, labor, materials and services
necessary_ to perf or'," the project which is described and set fonh in detail
in the "Project Description" and "Type of Work," The, State, as 8gent
acting for, sndon behalf of th,e Agencv. shall perf-;;~m these services
described a";d Indicated in "Type of Work" above, for the described project.
all in accordance with plans and specifications as proposed by the Agency
and approved by the State and the Federal Highway Administration,
II DELEGATION OF AlITHORITY
The State 15 acting 10 fulfill the responsibilities to the Federal
Government by the administration of this project. The Agency agrees that
the State shall have the full authority to carry out this administration. The
State shall review, process and approve documents required for Federal.aid
reimbursement in accordance with Federal requirements. If the State
advertises and awards the contract, the State will further aCl for the Agency
in all maHars concerning the project, as requested by the Agency. If the
local agency advertises and awards the project the State shall review the
work to. insure. conformity with the approved plans and specifications.
III PROJECT ADMINISTRATION
Certain types of work and services shall be provided by the State on
this project as requested by the Agency and described in the "Type of
Work" above. In addition, the State will furnish qualified personnel for the
supervision and inspection of the work in progress. On local agency
advertised andawardecf projects, the supervision and inspection shall be
limited to ensurin~ all work is in conformance with approved plans,
specifications and Federal-aid requirements. The salary of such engineer or
other supervisor and all other salaries and costs incurred by State lorces
upon the project will be considered a cost thereof. All costs related to this
project incurred by employees of the State in the customary manner on
highway payrolls and vouchers shall be charged as costs of the project.
IV AVAILADlLlTYOF RECORDS
All project records in support of all costs incurred and actual
expenditures kept by the. Agency, are to be maintained in accordance
with procedures prescribed by the Division of Municipal Corporations of
the State Auditor's Office, the U. S. Department of Transportation and
Washington State Dctpartment of Highways. The records shall be open to
Inspection by the. State and Federal Government at all reasonable times
and shall be retained and made available for such inspection for a period
of not less than. three years from the final paymen: of any Federal.aid
funds to the Agency. Copies of said records shall be furnished to the State
and/or Federal Government upon request.
V COMPLIANCE WJTII PROVISIONS
The Agency shall not incur any Federal-eid participation costs on
any classification of work on this project until authorization in writing by
the Stata for each classification. The classification of wOI'k for projects are:
1. Preliminary Engineering up to and including design approval
2. Preparation of PS & E
3. Right-of-Way Acquisition
4. ProJect construction
In theevenlthat Right-of.Way acquisition for, or actual conSlruction
of the road for which Preliminary Engineering is undertakan Is not stllrted
by tho closing of the fifth fiscal year following the fiscal year in which Ihe
agreement is executed, the Agency will repAy to the State the sum or sums
of Federal fund. paid to the Agency under the terms of this agroernerlt.
The Agency 8g~es that aU stages of construction necossary to pro-
vide Ihe Initially planned complete facility, within the limIts of this project,
will conform to at htest the minimum values set by lIpproved AASHO
dMIgn standards applicable to this class 01 highways, even though such
additional work is financed without Federal.aid parllcipation.
The Agency agrees that on Foderal-ald highway construclion pro/acts
tho CUrrent Foderal.aid regulations which apply to liquldlltad damllp
relative to the basi, of Federal partlclpatlon In the project COlt shall be
applicable In the event the contractor fails to complete the contract within
the contract time.
VI PAYMENT AND PARTIAL RElMIIURSEMENT

indicated under "FUNDING" on the first page of this agreement.
2. Project Construction Costs
Project construction financing will be accomplished by one of the
three methods as indicated on the first page of the ilgreement:
METHOD "A":
The Agency will place with the State, within twenty (20) days
after the award of the construction contract, an advance in the
amount of 15% Of the estimated total cost of the project. The
State will notify the Agency of the exact amount to be deposited
with the State at the time of contract award.
The State will pay all costs incurred under the contract upon
presentation of progress billings from the contractor. Following
such payments, the Stilte will submit a billing to the Federal
Government for the Federal-aid partiCipation share of the cost
and shall bill the Agency for the Agency's share of the cost. Whon
the project is substantially completed and COSl$ of the project
including an estimate of COSIS not yet paid can be determined the
State will present the Agency with a semi-final billing showing the
amount due the State or the amount.due the Agency. This billing
will be cleared by either a payment from the Agency to the State
or by a refund from the State to the Agency. A final billing will be
submitled by the State to the Agency when final cons are known
and settlement will be made at that time.
METHOD "B":
The Agency's share of the estimated lotol cost of the project shall
be withheld from its monthly fuel tax allotments to the extent of the
amount of the contract plus up to 15% for engineering. The extent of
withholdingwil/ be confirmed by letter from the State at the time of
contract award. This letter shall establish the months in which the
withholding shall take place and the exact amount to be withheld
each month. Upon receipt of progress billings from the contractor,
tho State will submit such billings to the Federal Government for
paym~nt of its participating portion of such billings.
METHOD "C":
The Agency will initially pay for all costs incurred on the project
with the Agency's own funds. Following such payments, vouchers
shall be submitted to Ihe State in the format prescribed by the
State, in triplicate, not more than one per month. Tt}e State will
sub mil a billing to the Federal Government for the Federal share
of the invoice at the current pro rata. Upon receiving payment
Irom the Federal Government. the State will transmit a like amount
to the Agency.
The Agoncy agrees that if payrmmt Uf any of the State's billlngs
relative to the proJecl is not made to the SIBte within 45 days after the
Agency has been billed, the State shaH effect reimbursement of the total
sum due from monthly fuel tax allotments which the Agency is normally
entitlerl to receive from the Motor Vehicle Fund.
VII AUDIT or FEDERAL AID PROJECT
The Agency, if services of a Consultant are required, shall be
responsible for audit of the Consultilnt's records to determine eligible
Federal.old COIlS on the project. The repon of said eudlt shall be In the
Agency's files and made available to the State and the Federal Government.
The State Ihall audit the Agency's records for eligible Federal.aid
costs on Ihe proJDct.
If upon audit it is found that an overpayment, or partIcipation 01
Federal moODy In ineligible hems of cost, has occurred, the AgDncy sholl
reimburse tho State upon demand for the amount of luch overpayment or
elllcen Pllrticipotion.
VlII TRAFFIC CONTROL, SIGNING, MARKING,& ROADWAY
MAINTENANCE

I SCOPE OF WORK
The Agency will provide all the work, labor, materials and services
necessary to perform the project which is described and set forth in detail
in. the "Project Oescription" and "Type of Work," The State. as agent
acting for and on behalf of the Agency. shall perform these scrvices
described and indicated in "Type of Work" above, for the dl!scribed project,
all In accordance with plans and specifications as proposed by the Agency
and approved by the State and the Federal Highway Administration.
II DELEGATION OF AlITllOIUTY
The State is acting to fulfill the responsibilities to the Federal
Government by the administration of this project, The Agency agrees that
the State shall have the full authority to carry out this admlnislfation. The
State shall review. process and approve documenu required for Federal.aid
reimbursement In accordance with Federal requirements. If lhe State
advertises and awards tho contract. the State will further act for the Agency
in all matters concerning the project, as requested by the Agcf"Icy. If the
local agency advertises and awards the project the State shall re....iew the
work. to. insuro. conformity with the approved plans and .specifications.
III PROJECT AmllNISTRATlON
Certoln types of work Dnd services shall be provided by the State on
this project as requested by the Agency and described in the "Type of
Work" above. In addition. the State will furni!.h qualified personnel for the
supervision and inspection of the work In progress. On local agency
advertised and awarded projecu. the supervision 03nd inspectIon shall be
limited to. ensurlnR all. work. is in conformance with approved plans,

2. Project Conuruction Costs
Project r:on$lruction financing will be accomplished by ono of tho
three mClhods as indicated on the first page of the agreement:
METHOD "A":
The Agency will place with the State, within twenty (20) days
after the award of the construction contract, an advance in the
amount of 15% Of the estimated total cost of the project. The
State will notify the Agency of tho exact amount to be deposited
with the State at the time of contract award.
The State will pay all costs incurred under Ihe contract upon
presentation of progress billings from the contractor. Following
such payments, the State will submit a billing to the Federal
Government for the Federal.aid participation share of the cost
and shall bill the Agency for the Agency's share of the cos,. When
the project is substantially cornpleted and costs of the project
inclUding an estimate of costs not yet paid can be determined the
State will present the Agency with a semi.final billing showing the
amount due the State or the amount due the Agency. This billing
will be cleared by either a payment from the Agency to the State
or by a refund from the State to the Agency. A final billing will be
submitted by the State to the Agency when final costs are known
and settlement will be made at that time.
METHOD "S":
The Agency's share of the estimated total cost of the project shall
be withheld from its monthly fuel tax allotments to tho extent of the
emountof the contract plus up to 15% for engineering. The extent of
withholding will be confirmed by letter from the State at the time of
contract award. This letter shall establish the months In which tho
withholding shall take place and tho exact amount to bo withheld
each month. Upon receipt of progress billings from the contractor,
the State will submit such billings to the Federal Government for
payment of its participating portlon of such billings.
METHOci',~c":
The Agency will initially pay for all costs incurred on the project
with the Agency's own funds, Following such payments, vouchers
shall be submitted to the Stale in the format prescribed by the
State, in trlplieste. not more thon one per month. Tl}e State will
submit a billing to the Federal Government for Ihe Federal share
of the Invoice at tho current pro rata. Upon receiving payment
from the Federal Government, the Stato will transmit a like amount

Specifications within 30 warking days.
WASTE SITE FOR EXCESS MATERIALS and DEBRIS - Surplus materials may be
disposed of within the County furnished site detailed on Sheet 1 of
the plans as directed by the Engineer. For informatianal purposes
the maximum capacity of this site is 3000 cubic yards neatline,
measurement. The Waste Site provided is to be nsed within the area
staked by the Engineer. The waste' area is to be smoothed and neatly
shaped to the satisfaction of the Engineer.
