RESOLUTION NO. 80-09
WHEREAS, the Brown Dairy Project was approved for Conservation Futures
funding in the amount $77,500 on June 8, 2009 to acquire a Conservation Easement on
this 50-acre farm, Assessor Parcel Numbers 901 151004; 901142 047; 901142 042;
and,
WHEREAS, the Brown Dairy is also widely known as Chimacum Dairy; and,
WHEREAS, an application to the Recreation and Conservation Office's (RCO)
Washington Wildlife and Recreation Program Farmland Preservation Account, in
partnership with the Jefferson Land Trust, was approved on July 21,2008 to provide
additional funding towards the acquisition of the conservation easement; and,
WHEREAS, on June 1, 2009, the Chair of the Board of County Commissioners
signed the Certification of Sponsor Match required by the RCO prior to final
determination of grant awards; and,
WHEREAS, on September 28, 2009 an agreement with the RCO, #08-1214C, to
provide $77,500 to the project was approved; and,
WHEREAS, the Jefferson Land Trust has raised an additional $17,547 to complete
the project; and,
WHEREAS, a professional services agreement with the Jefferson Land Trust to
perform project services was approved on October 26,2009; and,
WHEREAS, the conservation easement document was reviewed by the Deputy
Prosecuting Attorney on December 1, 2009; and,
WHEREAS, an Assignment of Rights to execute a purchase and sale agreement
for the conservation easement was previously approved on December 14,2009; and,
WHEREAS, it is necessary for the County's Conservation Futures funds allocated
for this project be placed in escrow at First American Title in Port Townsend on or before
December 22, 2009 in time for closing to occur as scheduled; and,
WHEREAS, while it is the Board of County Commissioners that have the
authority to bind the County in any contract or purchase where County funds will be
exchanged for items of value such as real or personal property, they are also empowered

to grant to their employees, agents or representatives authority to execute (sign)
documents that might be required by third-parties (such as title companies) in order to
implement and complete such contracts or purchases.
NOW, THEREFORE BE IT RESOLVED, by the Board of County Commissioners
of Jefferson County that:
1. The Auditor's Office issue a warrant for Conservation Futures funds in the
amount of $77,500.00 to be placed in escrow with First American Title
Companv on or before Tuesday, December 22, 2009.
2. Water Quality Division staffTami Pokorny, as primary, and Neil Harrington,
as alternate, be granted the authority to execute all closing and baseline
documents that might be required by third parties in order to undertake and
complete the project identified above.

ASSIGNMENT OF RIGHTS
Subject to the terms and conditions contained in that certain Conservation Easement Purchase and
Sale Agreement dated November 12, 2009 (the "Agreement"), Jefferson Land Trust is the holder of
the right to purchase a conservation easement on real property owned by Gloria Brown, commonly
known as Chimacum Dairy, as specifically described in the Agreement.
Pursuant to the Agreement, Jefferson Land Trust does hereby assign all of its rights and obligations
under said agreement to Jefferson County and Jefferson County does hereby accept the assignment
of all such rights and obligations. Jefferson County shall hereafter be subject to all of the terms and
conditions of the Agreement.
This Assignment of Rights does not alter or modify any other agreement between Jefferson Land
Trust and Jefferson County regarding the transaction contemplated by the Agreement.

CONSERVATION EASEMENT PURCHASE AND SAL.E AGREEMENT
On this 12.. day of N.1l""'t-........, 2009, at Port Townsend, Washington, GLORIA BROWN,
(referred to in this Agreement as'Seller"), agrees to sell and JEFFERSON LAND TRUST, a.
Washington non-profit corporation, and its assigns {referred to in this Agreement as 'Buyer"}
agrees to purchase a conservation easement thai will permanenlly reslrictland uses within the
real property described herein, subject to tile following terms and conditions:
1. . Sale and. Purchase. For the Purchase Price hereinafter s(lt forth, Seller agrees to sell
and Buyer agrees to purchase a conservation easement that will restrict land uses within
the real property legally described in the attached Exhibit A. which is incorporated herein
by this reference. Seller and Buyer authorize Closing Agent to correct over their
signatures the legal description of the real. property as originally set forth herein if
erroneous or incorrect. The conservation easement shail be in llubstanlially the same
form as the attached Exhibit B,-which is il1corporated herein by this reference,
2. .Purchase Price. The total monetary consideratiori for the purchase of the conservation
easement is ONE HUNDRED and FIFTY THOUSAND and NO/l00 DOLLARS
($150,000.00) ("the Purchase. Price'), which aha II be paid as follows:
(a) An earnest money deposit in the amount of THREE HUNDRED DOLLARS and
NO/l00 DOLLARS ($SOO.OO) in the form of a promissory note eJ(ecuted by
Jefferson Land Trust and payable to Seller; and
{b} A callh payrnentof the Purchase Price at cJosing,
3. Continaencies, Seller and Buyer acknowledge and agree Ihat the transaction
contemplated by this Agreement is contingent all the availability of funding being
provided through conditional grants to be provided by the Washington Stale Recreation
and Conservation Office ('Reo') and the Jefferson County Conservation Futures
program ("CCF'). The conditional grants will be administered by Jefferson County and
are to fund nol only the monetary consideration for the purchase of the conservation.

reCording fees, and other costs that would normally be paid by the purchaser of the.
conservation easement, Buyer's offer is contingent upon tinal review and approval of the
terms and conditions of the oonservatlon easement and all other documentation,
including, but not limited to the clOsing statemenl i;lpportioning escrow fees and closing
cosls between Buyer and Seller, ralated to the completion of the transaction
contemplated by this Agreement, asweil as compliance with and completion of alf
procedures required by ReO anellor ecl'". In the ever1t that RCO or CCF fails to provide
all of the fu"ding anticipated, Buyer shall have the right to render this agreement nuU and
void and to thereby I;>e released from any lia.bilily underthill agreament. If this agreement
is rendered null and void, the promissory note deposited In escrow. by Jefferson Land
Trust shall be returned to Jefferson Land Trust.
4, Environmental Matters, . Seller warrants as follows: {a} during SeUer's ownership of the
property there hall been no production, disposal or storage of any Hazardous.
Substance~ on the property; (b) SaUer is not presentiy aware of aniinformation which
would indicate the presence of Hazardous SubstanCes on the property or the migration
of any Hazardous Substances from or to adjoining property; and (c) there Is no pending
or threatened inquiry or proceeding by any governmental authority with respect 10 the
presence of Hazardous Substances on the property. For the purposes ofthie

Agreement, Hazardous Substances has the same definition as used in the
Comprehensive Environmental Response, Compensation' and Liability Act, 42 USC
9601, et sea.. as amended. '
5. SeUer Further Warranties. Seller additionally warrants that all defects and problems,
known to Seller directly ,or indirectly related to the property have been fully disclosed to
, Buyer. Seller agrees to indemnify and save harmless Buyer from all losses and claims
directly or Indirectly related to defects and problems known to Seller related to the
property and not disclosed to Buyer by Seller.
6. Conveyance, Seller shall convey the conservation easement being purchased by Buyer,
'as described herein, by Oeed of Conservation Easement delivered to Buyer upon
fulfillment of all of the terms and conditions of this Agreement. Seller's tille to the
property shall be good, marketable and free of all liens, encumbrances, or defect!! nol
approved in writing by Buyer. All warranties of Seller contaIned herein shall survive
closing. '
7. Closina Acent. The Closing Agent is Fil'$t American Title Corporation, 2424 South Park
Avenue, Port Townsend,-WA 98368. This transaction shail be closed on or before
December 31,2009, or as soon thereafter as funding is made available by RCO and
CCF. Seller and Buyer may agree in writing to modify the closing date. Seller and Buyer
shall deposit with Closing Agent alllnstrumenls. documents and monies necessary 10
close this transaction In accordance with this Agreement.
8. Riahts Upon Closina. Buyer shall be entitled to exercise all rights arising out of and
, enforce the terms and conditions of the conservation easement on closing; "closing"
means the date on which all of the documents are recorded and the saie proceeds are
available to Seller.
9. Default and Attornev's Fees, If Buyer falls to complete the transaction contemplated
hereby through no fau~ of Seller, Closing Agent shall deliver the promissory note
deposited with Closing Agent to Seller and Ihe liquidation of the note shall be the
exclusive remedy available to Seller, If Seller falls 10 complete the transaction
contemplated hereby through no fault of Buyer. Buyer shall have avaiiable all legal and
equitable remedies. If either Seller or Buyer fiies sun to enforce any rights under this
Agreement, the prevailing party shall be entitled 10 recover its co\lrt cosls alld
reasonable attorneys' fees.
10. Title Insurance. The policy of title insurance is to be issued to Buyer. The titie insurance
may contain no exceptions other that those Included in the standard for of title insurance.
If title cannol be made so insurable prior to closing and, under such circumstances,
Buyer. elects not to waive the defects or ellcumbrances, this Agreement shali be
lerminated and the promissory note shsll be relumed 10 Jefferson Land Trust.
11. Costs. Seller shall be responsible for the payment of the real estate excise lax in
aocordance with Washington law. Real property taxes for the current lax year, as well as
any assessments and utility charges, shall be paid by Seller. Seller and Buyerwarranl to
each other that no real estate brokers have been invoived With this sale and that no
brokerage commission is due any broker as a result of this transaction.

13. Entire Aareement: Time is of the Essence. There are no verbal or other agreements
which modify or in any way affect the terms of this Agreement. THIS AGREEMENT
REPRESENTS THE FULL UNDERSTANDING AND AGREEMENT BETWEEN SELLER
AND BUYER. Any change, amendment or modification to this Agreement she" only oe
effective if in writing and signed by Seller and Buyer, Seller and Buyer each agree to
perform any further acts and to execute and dElliver any documents which may be
reasonably required to carry outthe interests and provisions of the parties. Time is of
the essence of this Agreement.

Approvals of Assignments of Rights and
Resolutions for the Finnriver Farm and Brown
Dairy Projects.
STATEMENT OF ISSUE:
Jefferson County Public Health, Water Quality Division, is requesting time for staff, and
Sarah Spaeth of the Jefferson Land Trust, to update the Board on two conservation
futures projects, Finnriver Farm and Brown Dairy, and to request approval of reiated
Assignments of Rights and resolutions. Both projects have been previously approved for
conservation futures and state Recreation and Conservation Office farmland protection
funds and the closings are anticipated to occur on December 23, 2009. Water Quality will
be returning to the Board on December 21 to request approval of the final conservation
easement documents.
Approval of the Assignment of Rights would enable Jefferson County to acquire a
conservation easement on each property at the previously negotiated price based on
appraised values. The resolutions would authorize Water Quality staff to sign other
necessary closing documents and provide confirmation to the state that the conservation
futures funds allocated to these projects are in the process of being dispersed.
ANALYSIS/STRATEGIC GOALS/PRO'S and CON'S:
On July 14, 2008 the BoCC awarded $203,500 from the Conservation Futures Fund
towards the acquisition of a conservation easement on Finnriver Farm. On September
28, 2009, matching funds were secured from the Recreation and Conservation Funding

Trust. The Assignment of Rights assigns all of the rights and obligations under this
agreement to Jefferson County.
On June 8, 2009 the BoCC awarded $77,500 from the Conservation Futures Fund for the
Brown Dairy Project. On September 28, 2009, matching funds were secured from the
Recreation and Conservation Funding Board (RCO #08-1214C) and additional funds have
been raised by the Jefferson Land Trust to complete the project. A Conservation
Easement Purchase and Sale Agreement is currently held by the Jefferson Land Trust.
The Assignment of Rights assigns all of the rights and obligations under this agreement
to Jefferson County.
The resolutions are intended to provide the necessary assurances to the RCO that the
conservation futures funds awarded to these projects will be in available in escrow
before closing and, second, to authorize Water Quality Division staff to sign necessary
closing documents. However, the conservation easement documents themselves will be
provided to the BoCC for signature later this month.
FISCAL IMPACT/COST BENEFIT ANALYSIS:
There is no impact to the General Fund for approving these documents. All costs will be
covered by grant funds and previously awarded conservation futures funds.
RECOMMENDATION:
JCPH management recommends that the BoCC hear the presentation and approve the
Assignment of Rights documents and resolutions.
