STATEMENT OF ISSUE:
Jefferson County Public Health, Water Quality Division, is requesting Board approval of the Contract
Agreement with Washington State University Jefferson County Extension (WSU) for WRIA 17 Planning Unit;
January 1, 2010 - June 30, 2010; $3,000
ANALYSIS/STRATEGIC GOALS/PRO'S and CON'S:
WRIA Planning Unit will continue to use Department of Ecology Water Quality, Phase 4 Implementation
funding to focus on public education. WSU will reconvene with WRIA 17 Education Subcommittee to develop
an education and outreach strategy. The Committee will examine other organizations, including puget
Sound Partnership, Hood Canal Watershed Education Network, the Hood Canal coordinating Council and
other local WRIAs and will design a strategy to complement and leverage the activities of those
organizations. The Education Committee will also develop a draft budget for implementing optional
strategies in years to follow. The Committee will also explore options, considering of a new name, logo and
mission statement.
FISCAL IMPACT /COST BENEFIT ANALYSIS:
This contract is funded by Watershed Planning Grant No. G0700097 from the Department of Ecology.

CONTRACT AGREEMENT
Between
Washington State University Extension
And
Jefferson County
THIS AGREEMENT is entered into between the County of Jefferson a municipal corporation,
hereinafter referred to as "the County", and Washington State University Extension, (WSU),
hereinafter referred to as "the Contractor", in consideration of the mutual benefits, terms, and
conditions hereinafter specified.
1. Project Designation. The Contractor is retained by the County to perform education and
outreach services in connection with the WRIA 17 Planning Unit.
2. Scope of Services. Contractor agrees to perform the services, identified on Exhibit A,
Statement of Work, attached hereto, including the provision of all labor, materials,
equipment, and supplies.
3. Time for Performance. This Agreement shall commence on January 1,2010 and
continues through June 30, 2010 unless terminated as provided herein. The agreement
may be extended beyond June 30, 2010 upon mutual written consent of the County and
the Contractor.
4. Payment. The Contractor shall be paid by the County for completed work and for
services rendered under this agreement as follows:
a. Payment for the work provided by Contractor shall not exceed $3,000 without
express written modification of the agreement signed by the County.
b. The Contractor may submit vouchers to the County once per month during the
progress of the work for work completed to date. Such vouchers will be checked
by the County, and upon approval thereof, payment will be made to the Contractor
in the amount approved.
c. Final payment of any balance due the Contractor of the total contract price earned
will be made promptly upon its ascertainment and verification by the County after
the completion of the work under this agreement and its acceptance by the
County .
d. Payment as provided in this section shall be full compensation for work
performed, services rendered and for all materials, supplies, equipment and
incidentals necessary to complete the work.
e. The Contractor's records and accounts pertaining to this agreement are to be kept
available for inspection by representatives of the County and state for a period of
six (6) years after final payments. Copies shall be made available upon request.
5. Ownership and Use of Documents. All documents, drawings, specifications and other
materials produced by the Contractor in connection with the services rendered under this
agreement shall be the property of the County whether the project for which they are
made is executed or not. The Contractor shall be permitted to retain copies, including
reproducible copies, of drawings and specifications for information, reference and use in
connection with Contractor's endeavors.
6. Compliance with laws. Contractor shall, in performing the services contemplated by this
agreement, faithfully observe and comply with all federal, state, and local laws,
ordinances and regulations, applicable to the services to be rendered under this
agreement.
7. Indemnification. Contractor shall indemnify, defend and hold harmless the County, its
officers, agents and employees, from and against any and all claims, losses or liability, or
any portion thereof, including attorneys fees and costs, arising from injury or death to
persons, including injuries, sickness, disease or death to Contractor's own employees, or
damage to property occasioned by a negligent act, omission or failure of the Contractor.
8. Insurance. The Contractor shall obtain and keep in force during the terms of the
Agreement, or as otherwise required, the following insurance with companies or through
sources approved by the State Insurance Commissioner pursuant to RCW 48.05:
a. Worker's compensation and employer's liability insurance as required by the State of
Washington.
b. Commercial Automobile Liability Insurance providing bodily injury and property
damage liability coverage for all owned and non-owned vehicles assigned to or used
in the performance of the work for a combined single limit of not less than $300,000
each occurrence.
9. Independent Contractor. The Contractor and the County agree that the Contractor is an
independent contractor with respect to the services provided pursuant to this agreement.
Nothing in this agreement shall be considered to create the relationship of employer and
employee between the parties hereto. Neither Contractor nor any employee of Contractor
shall be entitled to any benefits accorded County employees by virtue of the services
provided under this agreement. The County shall not be responsible for withholding or
otherwise deducting federal income tax or social security or for contributing to the state
industrial insurance program, otherwise assuming the duties of an employer with respect
to Contractor, or any employee of Contractor.
10. Discrimination Prohibited. The Contractor, with regard to the work performed by it
under this agreement, will not discriminate on the grounds of race, color, national origin,
religion, creed, age, sex or the presence of any physical or sensory handicap in the
selection and retention of employees or procurement of materials or supplies.
11. Assignment and Subcontracting. The Contractor shall not sublet or assign any of the
services covered by this agreement without the express written consent of the County.
12. Termination.
a. The County reserves the right to terminate this agreement at any time by giving
ten (14) days written notice to the Contractor.
b. In the event of the death ofa member, partner or officer of the Contractor, or any
of its supervisory personnel assigned to the project, the surviving members of the
Contractor hereby agree to complete the work under the terms of this agreement,
if requested to do so by the County. This section shall not be a bar to re-
negotiations of this agreement between surviving members of the Contractor and
the County, if the County so chooses.
13. Integrated Agreement. This Agreement together with attachments or addenda, represents
the entire and integrated agreement between the County and the Contractor and
supersedes all prior negotiations, representations, or agreements written or oral. This
agreement may be amended only by written instrument signed by both County and
Contractor.

Attachment A: Statement of Work
Task 1: Develop an Education and Outreach Strate2V
Working with the Planning Unit's facilitator, WSU will reconvene the WRIA 17 Education
Subcommittee to develop an education and outreach strategy. As part ofthis task, the Education
Committee will investigate the current and planned activities of other organizations, including
the Puget Sound Partnership, Hood Canal Watershed Education Network, other local WRIAs
(16 and 18), and the Hood Canal Coordinating Council. The WRIA 17 Education and Outreach
Strategy will be designed to complement and leverage the activities of other groups while
achieving the Planning Unit's education and outreach goals. The Education Committee will also
develop a draft budget for implementing optional strategies in subsequent years.
The Education Committee will present the draft strategies and budget options to the Planning
Unit by May 2010, and incorporate any Planning Unit edits into the final strategy.
Deliverable(s): Final WRIA 17 Comprehensive Education and Outreach Strategy and budget
estimates.
Due Date: June 30, 2010
Costs FY 10: $1,200 (Contracted Services)
Task 2: Develop a New Plannine: Unit "Brand"
Working with the guidance of the Steering Committee, the Education Committee will explore
options with respect to the development of a new name, logo and mission statement for the
current Planning Unit. The Education Committee will recommend options for the development
of these to the Planning Unit for their decision and approval by February 2010. Options may
include contracted, professional services; locally generated suggestions (e.g. a school-based
"contest"); or other approaches.
Deliverable(s): A "Logo", Mission Statement and new name for the WRIA 17 Planning Unit.
